party of the second part,
WITNESSETH, that the party of the first part, in consideration of Two Million Seven Hundred
Thousand Dollars ($2,700,000.00) and other valuable consideration paid by the party of the
second part, docs hereby remise, release and quitclaim unto the party of the second part, the
heirs or successors and assigns of the party of the second part forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon
crected, situate, lying and being in the Town of Southold, County of Suffolk and State of New
York, being Lot I on a certain map entitled "Minor Subdivision Plan made for Elizabeth
McCance, Fox Avenue and Cottage Place, Fishers Island, New York" prepared by Chandler,
Palmer & King dated March 3, 1986 and revised and filed in the Suffolk County Clerk's Office
on December 26, 1990 (File No. 9043 ABS #11713).
Su~icct to the rights of others to pass over in vehicles and on foot a portion of the above
described tract which is described as follows: Beginning at the most southerly comer this
described tract,'said point being located 3882.56 feet North ora point which is 2828.94 feet West
o1' thc monument marking the United States Coast and Geodetic Survey Triangulation Station
"PROS" and running thence North 80 degrees 30' 40" West 50.86 feet to a monument; thence
North 20 degrees 05' 30" East 68.50 feet to a point; thence North 73 degrees 25' 30" East 97.57
I'cct to a point; thence South 16 degrees, 34' 30" East 50.00 feet lo a point; thence South 73
degrees, 25' 30" West 72.45 feet to a monument; thence South 20 degrees 05' 30" West 34.04
feet to the point of beginning.
Together with the right of ingress and egress over the existing driveway which runs
southwcsterly t'rom thc above described parking area to Fox Avenue.
Said premises being known on the tax assessment maps of the Town of Southold as District
1,0011, Section 6, Block $, Lot 5.2. Being and intended to be the same premises convcyed to the
party of the first part by deed dated December 22, 1993, and filed in the Office of the Clerk of
Suflblk County in Liber 11658, Page 42.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any
streets and roads abutting the above described premises to the center lines thereof; TOGETHER
with thc appurtenances and all the estate and rights of the party of the first part in and to said
premises; TO HAVE AND TO HOLD the premises herein granted unto the party of the second
part, the heirs of successors and assigns of the party of the second part forever.
AND thc party of the first part, in compliance with Section 13 of the Lien Law, covenants that
the party of thc first part will receive consideration for this conveyance and will hold the right to
receive such consideration as a trust fund to be applied first for the purpose of paying the cost of
the improvement and will apply the same first to the payment of the cost of the improvement
before using any part of the total of the same for any other purpose.
The word "party" shall be construed as if it read "parties" whenever the sense of this indenture
so requires.
