THIS INDENTURE, made as of this /C* day of
1991 by and between the PEOPLE OF THE STATE CF NE") YORK, acting
by and through the DORMITORY AUTHORITY OF THE STATE 01 NEW YORK,
a public benefit corporation created under the Dormitory
Authority Act, having an office at 161 Delaware Avenue, Delmar,
Ne. York 12054, and the Dormitory Authority, parties of the first
part, and independent Group Home Livina Program, Inc. , a not-for-
profit corporation incorporated pursuant to the Not-For-Profit
Corporation Law for the purposes of providing community mental
hygiene services for persons with mental retardation and
deveiocmecta- disab..lit'.es pursuant to the Mental Hygiene Law,
having an office at 62 pine Street, P.O. Bos 638, East Moriches,
New York 11940 party of the second part.
WHEREAS, the party of the second part is a voluntary agency
as defined by subdivision 19 of Sect.cn 4403 of the Facilities
Development Corporation Act; and
WHEREAS, pursuant to subdivisior 13-a of Section 5 of the
Facilities Development Corporation Act (Chapter 359 of the Laws
of !969, as amended) , the Facilities Development Corporation was
authorized and empowered, subject to the determination of the
Commissioner of the Office of Mental Retardation and
Developmental Disabilities, to make a facility under the Office's
jurisdiction available under license or permit to a voluntary
agency for use in rhe provision of community mental retardation
services or to convey the right, title and interest of the People
of the State of New York in and to such facility and the land
appurtenant thereto to such voluntary agency mpon such terms and
conditions as shall be provided in an agreement among the Office
Of Mental Retardation and Developmental Disabilities, the
Facilities Development Corporation and the voluntary agency, with
the approval of the Director of Budget and the Comptroller; and

WHEREAS, pursuant to sections 177 through 190 and subsection
10 of section 362 of chapter 53 of the Laws of 1995, effective
September 1, 1995, the Dorm—tory Authority of the State of New
York succeeded to the posers, duties and functions of the
Facilities Development Corporation; and
WHEREAS a Disposition Agreement dated 1997,
between the parties of the first part, the party of the second
part and the Office of Menta" Retardation and Developmental
Disabilities was approved by the Director of Budget and the State
Comptroller and is being recorded simultaneously frith this Deed.
NOW THEREFORE WITNESSETH, that the parties of the first
part, in consideration of the premises and T.renty T4c Thousand
Two Hundred Ten and no/100 Dollars f$22,21Ci , lawful money of the
United States, paid by the party of the second part, do hereby
remise, release and quitclaim all c `. their right, title and
interest in end cc the premises described in Schedule A attached
hereto and hereby made a part hereof !the "Property") unto the
party of the second part, its successors and assigns forever,
BEING THE SAME premises acquired by The People of the State
of: New York, acting by and through the Facilities Development
Corporation, pursuant to Article 71 of the Mental hygiene Law and
the Eminent Domain Procedure Law.
TOGETHER WITH the appurtenances, buildings, improvements,
fixtures, machinery and equipment installed or placed thereon and
all the estate and rights of the parties of the first cart in and
to said Property.
TO HAVE: AND TO 'HOLD, the above granted premises unto the
par"; of the second part, i-s successors and assions subject to
the terms and conditions of said Disposition Agreement .
THIS INDENTUPE :s subject to the express condition that the
party of the second fart, ac.s successors and assigns utilize the
premises as an authorized n.,,.-for-profit community mental hygiene
services for persons with mental retardaton and develcpmental
disabilities or, in the event that there is no longer a need for
community mentai hygiene services for persons with mental
low
retardat.ior. and developmental disabilities, another legally
authorized not-for-profit menta: hygiene program. purpose.
A RIGHT OF REA000ISIT=ON is retained by the parties of the
first part, its successors and assigns, which coon notice of a
breach of the aforementioned conditions, made to the principal
place of business of the party of the second part, and not
subject to any right of cure, will cause title to said premises
to revert to the parties of the first part, its successors or
assigns wi Clout cost;
TH:!S INDENTURE is further subject to municipal, public
utility and party wall easements, in existence or of record, if
any, affecting said premises.
IN WITNESS WHEREOF, the Dormitory Authority of the State of
New York, on behalf of the parties o. the first part, has caused
this instrument to he signed by its dulv authorized officer as of
the day and year first above written.
