PALASCIANO, residing at 8 Garden Court, Ho-Ho-Kus, New Jersey, 07423 as Ancillary Executrix of the Last Will and Testament of Massimo Palasciano, a/k/a Martin J. Palasciano late of Suffolk County, deceased, Suffolk County Surrogate's Court File #98P2000, who died on the 27th day of February, 1997 party of the first part, and JOHN PALASCIANO, residing at 224 Pinehurst Drive, Shelburne, Vermont, 05482, as sole remainderman of a trust under Will of said Massimo Palasciano party of the second part, WITNESSETH, that the party of the first part, by virtue of the power and authority given in and by said last will and testament and in consideration of TEN ($10.00) DOLLARS AND NO/100THS, mid by the party of the second part, does hereby grant and release unto the party of the second part, the heirs >r successors and assigns of the party of the second part forever, ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon erected, situate, lying and being at Laughing Water, near Southold, in Southold Town, Suffolk County, New York, bounded and described as follows: BEGINNING at a point formed by the intersection of the southerly line of Opechee Avenue and the westerly line of Minnehaha Boulevard, THENCE North 72 degrees 41 minutes West 133 feet by and along the southerly line of Opechee Avenue to the point and place of beginning. THENCE South 11 degrees 19 minutes East 160.5 feet to a point, THENCE South 87 degrees 26 minutes West 105 feet by and along the northerly side of Wabun Street to a point, THENCE North 11 degrees 19 minutes West 202.4 feet to a point, THENCE South 72 degrees 40 minutes East 120.25 feet by and along the southerly line of Opechee Avenue to the point or place of BEGINNING. TOGETHER with all right, title, and interest of the party of the first part, if any, in and to land lying within the bounds of Opechee Avenue adjacent to the said premises, to the center line thereof. TOGETHER with any and all rights to the use of roadways and beaches above mean high water, jointly owned by Laughing Water Property Owners Association, or used jointly by all Laughing Water Property Owners. HELEN PALASCIANO, receipient of a life estate created under Will of Massimo Palasciano, having died on March 11, 2000. BEING AND INTENDED TO BE the same premises conveyed to Massimo Palasciano, deceased, by deed recorded in the Suffolk County Clerk's Office in Liber 11722 page 256. TOGETHER with all right, title'and interest, if any, of the party of the first part in and to any streets and roads abutting the above described premises to the center lines thereof; TOGETHER with the appurtenances, and also all the estate which the said decedent had at the time of the decedent's death in said premises, and also the estate therein, which the party of the first part has or has power to convey or dispose of, whether individual, or otherwise; TO HAVE AND TO HOLD the premises herein granted unto the party of the second part, the heirs or successors and assigns of the party of the second part forever. AND the party of the first part covenants that the party of the first part has not done or suffered anything whereby the said premises have been incumbered in any way whatever, except as aforesaid. AND THE party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of the first part will receive the consideration for this conveyance and will hold the right to receive such consideration as a trust fund to be applied first for the purpose of paying the cost of the improvement, and will apply the same first to the payment of the cost of the improvement before using any part of the total of the same for any other purpose. The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so requires.
