This Indenture, made thc ~ day of May, Two Thousand and Six,
BETWEEN
PENELOPE JOAN MCCARTHY AND PATRICK DENNIS MCCARTHY,

party of the first part, and
BAYVIEW PACIFIC LTD., with an address at I" Floor, BCI House. Avam,
Rarotonga, Cook Islands
party of the second part,
WITNESSETH, that the party of the first part, in consideration of Ten Dollars and.
other valuable considerntion paid by the party of the second pan, does hereby grant
and release unto tho party of thc second part, the heirs or successors and assigns of
the part}, of thc second part forever, in
ALL that certain plot, piece or parcel of land, with buildings and improvements
thereon erected, situate, lying and being in the Town of Southold, Suffolk County,
New York, known and designated as and by the Plots Nos. 53 to 58 inclusive, on n
certain map entitled "Map of Goose Bay Eslates", filed in the Cognty of Suffolk on
November 13, 1934 as Map No. ! 176.
TOGETHER with thc interest of the first party in that portion of land lying in front of
and adjacent to said plots to the mean high water line of Goose Creek, subject to the
right of other owners of plots on said Map to pass over and use the same.

BEING AND INTENDED TO BE thc same premises conveyed to the Grantors by
Deed dated December 5, 1997 and recorded in the Suffolk County Clerk's Office on
December 24, 1997 in Liber 11869 page 437, the Grantors being the same persons
described as the Grantees in said Deed.
Together with all right, title and interest, if any, of the party of the first part in and to
any streets and roads abutting the above-described premises to the center lines thereof;
Together with the appurtenances and all the estate and rights of the party of the first
~art in and to said premises;
['o have and to hold the premises herein granted unto the party of the second part. the
heirs or successors and assigns of the party of the second pan forever.
And the party of the first pan covenants that thc party of the first pan has not done or
suffered anything whereby the said premises have been encumbered in any way
whatever, except as aforesaid.
And the party of thc first pan, in compliance with Section 13 of the Lien Law,
covenants that the party of the first part will receive the consideration for this
conveyance and will hold the right to ~ceive such consideration as a trust fund to be
applied first for the purpose of paying the cost of improvement and will apply the
.,mmc first to the payment of the cost of the improvement before using any part of the
total of the same for any other purpose. The word 'party' shall he construed as if it
read "panics" whenever the sense of this indenture so requires.
