BEING AND INTENDED TO BE the same premises conveyed to the party of the first by Deed dated October 27, 1998 and to be recorded simultaneously herewith. This conveyeance is made in the ordinary course of business of the party of the first..part and does not constitute a sale or transfer of substantially all of the assets of the party of the first part.
