RESOLVED that the Town Board of the Town of Southold hereby authorizes
and directs Supervisor Scott L. Harris to execute an Agricultural
Development Rights Acquisition Option Agreement for the property of
Madeline L. & Vernon F. Moelius, located on the north side of Main Road,
Southold, Tax Map No. 1000-75-2-16, 16 acres, at a price of $7,000 per
acre, for a total of $112,000; all in accordance with the approval of the
Town Attorney.

OPTION AGREEMENT
THIS AGREEMENT made this /~/ day of May
1992, between
hereinafter described as the Optionor, and the TOWN OF SOUTHOLD, a
,municipal corporation of the State of New York having its office and principal
place of business at Main Road, Southold, New York, hereinafter described as
the Optionee.
WITNESSETH:
1. In consideration of the sum of Ten ($I0.00) Dollars, paid by the
Optionee, the Optioner does hereby give and grant to the Optionee the
exclusive option, right and privilege to purchase the premises at
Main Rd. Southold NY Tax Map 1000-75-2-16
and more particularly described in Schedule A annexed here,6~ made a part
hereof, and initialed by the parties hereto.
2, That this option shall continue in effect until 12 o'clock midnight
on the 60th day after the Southold Town Board holds a public hearing on the
question of the acceptance of this option, as required and provided in Section
25-40 of Chapter 25 of the Southold Town Code. The Optionee represents that
it will hold such public hearing within 45 days from the date hereof. In the
event that the Optionee fails to hold such hearing within 45 days from the date
hereof, the Optionor shall have the right to terminate this option by giving
written notice of termination to the Southold Town Clerk.
3. The total purchase price shall be SEVEN ?HOOSAND, DOLLARS ~($7~,000.00)
Dollars per acre of land, to be paid by the Optionee, if this option is
exercised, as provided in the annexed form of agreement.
q. If this option is exercised by the Optionee as herein provided,
the Optionor and the Optionee will respectively as seller and purchaser perform
the obligations set forth in the form of agreement to be performed by the seller
and the purchaser therein, said form of agreement being annexed hereto and
made a part hereof, and marked Exhibit A.
5. This option is to be exercised by the Optionee by written notice
signed b y the Optionee and sent by registered or certified mail prior to the
expiration date, to the Optionor at his address set forth above.
6. The deed conveying the Development Rights in the premises shall
be in the form annexed hereto and made a part hereof and marked Exhibit 13.
IN WITNESS WHEREOF, the parties hereto have executed and
delivered this agreement the day and year first above written.

SUPERVISOR HARRIS: The first pu!~lic hearing is in Relation to the Development
Rights in the Agricultural Lands of Madeline L. & Vernon F. Moelius. This is
part of the Farmland Development Rights Bond, that was passed last year by the
Town of Southold. This will be the first taking of property, and at this time
we'll be having a public hearing. Proof of publication, and verification of such
will read by our Town Councilman, George Penny.
COUNCILMAN PENNY: "Legal Notice. Notice of Hearing. Notice is hereby given
that pursuant to the provisions of the Agricultural Lands Preservation Law of
the Town of Southold, constituing Chapter 25 of the 5outhold Town Code, the
Town Board of the Town of Southold will hold a Public Hearing on the 2nd day
of June, 1992, at 4:30 P.M., at the Southold Town Hall, Main Road, Southold,
New York, on the question of the acceptance of the option for the acquisition,
by the Town of Southold, of the development rights in the agricultural lands of
Madeline L. & Vernon F. Moelius, comprising approximately 16 acres, located on
the north side of Main Road, Southold, and designated as Tax Map No. 1000-75-
2-16. Further Notice is given that the option agreement between the owners of
the above described parcel and the Town of Southold, containing a more detailed
description of the above mentioned parcel of land, is on file in the Southold Town
Clerk's Office, Southold Town Hall, Main Road, Southold, New York, and may
be examined by any interested person during normal business hours. Dated:

publication from The Suffolk Times, a like affidavit from The Traveler-Watchman,
an affidavit of posting by the Town Clerk, that this has been posted on the Town
Bulletin Board for the appropriate time. We have several documents here, prepared
legal documents on the acquisition of development rights. We have communications

from here from to the Land Preservation, Southold Town Board would like a brief
report from your committee outlining the selection criteria of Moelius, Berkmann,
Courtez~.~ and Dickerson parcels, being considered for the acquisition of development
rights. We have an indenture agreement between Madeline L. & Vernon F. Moelius,
residing Main Road, Southold, party of the first part, Town of Southold, a mu~cipal
corporation limiting agricultural production This property will be limited to agricul-
tural production, which shall mean the production of commercial purposes of crops,
livestock, and livestock products, but not land or portions thereof used for processing
or retail merchandising of such crops, livestock, or livestock products. Land
used in agricultural production shall also include fences, equipment storage buildings,
livestock barns, irrigation system, and any other structures used exclusively for
agricultural purposes. The party of the first part and the party of the second
part do hereby covenant and agree in perpetuity that either of them or their
respective heirs, successors, legal representatives or assigns, shall only use the
premises on and after this date for the purpose of such agricultural production
and the grantor covenants and agrees that the underlying fee title may not be
subdivided into plots by the filing of a subdivision map pursuant to Section 265
and 277 of the Town Law and Section 335 of the Real Property Law, or any of
any sections of the Town or Real Property l_aw or any laws replacing or in
furtherance of them. The word "party" shall be construed as if it reads "parties"
whenever in the sense of this indenture so requires. In Witness Thereof, the
party of the firt part has duly executed this deed the day and year first above

SUPERVISOR HARRIS: At this time, the Chairman of the Land Preservation
Committee would like to read the statement, that was issued in behalf of the parcel
in question. ?
FREDERICK A. ROSS: Good afternoon, l've prepared a memorand~m for the
Town Board last week, because I didn't know whether I'd be back ~in town today,
or not, but here I am. The parcels, that we're looking at first with some degree
of priority, are Moelius, Berkmann, Courtenay,and Dickerson, and in the memorandum
that sent to you folks on May 28th, I pointed that these where given some degree
of priority because they were originally in the Southold Town Farmland Preservation
pipeline, and we ran out of money, so with the owners' consent we sent them on
to the County. They were not the only ones. There was a dozen or more sent
up to the County program. Some of those County parcels, Farmland Preservation
parcels, went through and were purchased in the County program development
rights. Others were stuck in the pipeline, and the pipeline as far as I'm able
to tell, and sometimes things at the County level are a mystery, as you know,
is frozen for a long timer so that we move these forward. Moelius is a family
farm. The original farm owner is deceased. His widow, and his son, his son's
wife, are now farming the land. It's an ideal piece of land. We are proud to
move that one forward for consideration. I thought the others would be at this
meeting, but do you want me to talk about that now, or not?
SUPERVISOR HARRIS: Just on this one is fine.
TOWN CLERK TERRY: They're coming up at the next meeting. We didn't receive
them in time to schedule them. They came separately.

SUPERVISOR HARRIS: The recommendation was, obviously for purchase of the
Moelius property. Am I right about that?
FREDERICK A. ROSS: Yes.
SUPERVISOR HARRIS: Are there any other members of the audience, that would
like to speak either in favor, or against this acquisition of development rights
of behalf of the Town of Southold?
COUNCILMAN PENNY: I just want to add here, the price in doing this, and there's
quite a few legal documents here, and I finally got down to where the price was.
The price is $112,000.00 for the development rights based upon 16 acres at $7,000.00
per acre, and this is for the development rights only.
SUPERVISOR HARRIS: Are there members, that would like to speak on behalf
or against this acquisition? (No response.) If not, the impact which we prepared
for the residents of the Town of Southold, the tax impact, works out to be $.13
a thousand, or for an assessment of $10,000 it would be $1.30 just for those who
know individually. Hearing no further statements I'll declare this public hearing
closed.

WHEREAS, the Town Board of the Town of Southold entered into an option
agreement with Madeline L. and Vernon F. Moelius for the purchase of the
development rights in their agricultural lands; and
WHEREAS, the Town Board held a public hearing with respect to said
option on the 2nd day of June, 1992, pursuant to the provisions of Section
25-4 of the Southold Town Code; and
WHEREAS, the Town Board deems it in the public interest that the Town
of Southold acquire the development rights in the agricultural lands set
forth in said option agreement between Madeline L. and Vernon/F. Moelius;
now, therefore, be it /
RESOLVED that the Town Board hereby elects to exercise the option to
purchase the development rights in the aforesaid agricultural lands owned
by Madeline L. and Vernon F. Moelius; and
BE IT FURTHER RESOLVED that the Town Clerk be and she hereby is
authorized and directed to give notice of such acceptance to Madeline L.
and Vernon F. Moelius; and
BE IT FURTHER RESOLVED that the Supervisor be and he hereby is
authorized and directed to execute any and all required documents for the
acceptance of said development rights.

TOGETHER with the non-exclusive right~, if any, of the party of the
first part as to the use for ingress and egress of any streets and roads
abutting the above described premises to the center lines thereof,
TOGETHER with a right-of-way approximately 320.70 feet in length and
20 feet in width along the easterly boundary line of the premises retained by
the seller for purposes of ingress and egress from New York State Route 25
(Main Road) to the property being conveyed.
TOGETHER with the appurtenances and all the estate and rights of the
party of the first part in and to said premises, insofar as the rights
granted hereunder are concerned.
TO HAVE AND TO HOLD the said DEVELOPMENT RIGHTS herein granted
unto the party of the second part, its successors and assigns forever.
AND the party of the first part covenants that the party of the first
part has not done or suffered anything whereby the said premises have/been
incumbered in any way whatever, except as aforesaid. The party of th~ first
part, as a covenant running with the land in perpetuity, further covenants
and agrees for the party of the first part, and its heirs, legal
representatives, successors and assigns of the party of the first part, to
use the premises on and after the date of this instrument solely for the
purpose of agricultural production.
AND the party of the first part, covenants in all aspects to comply with
Section 13 of the Lien Law, as same applies with said conveyance.

The definition of "Agricultural Production" as defined in Section 25-30
of Chapter 25 of the Southold Town Code is as follows:
"Agricultural Production shall mean the production for
commercial purposes of crops, livestock and livestock
products, but not land or portions thereof used for
processing or retail merchandising of such crops, livestock
or livestock products. Land used in agricultural
production shall also include fences, equipment storage
buildings, livestock barns, irrigation systems, and any
other structures used exclusively for agricultural
purposes."
The party of the first part and the party of the second part do hereby
covenant and agree in perpetuity that either of them or their respectiv~
heirs, successors, legal representatives or assigns, shall only use the
premises on and after this date for the purpose of such agricultural
production and the grantor covenants and agrees that the underlying fee title
