RESOLUTION 2009-57 ADOPTED DOC ID: 4571 THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2009-57 WAS ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON JANUARY 6, 2009: WHEREAS, the Land Preservation Committee has made a recommendation to the Town Board that the Town Board engage outside legal counsel to prepare contracts for and to provide legal services with regard to farmland acquisitions for the year 2009; and, WHEREAS, funding for such legal counsel is provided for and will be charged to the appropriate Community Preservation Fund budget line; now, therefore, be it RESOLVED that the Town Board of the Town of Southold hereby en~afles the orofessionai services of Lisa Clare Kombrinth Esquire~ to provide legal counsel to the Land Preservation Committee and authorizes the Supervisor to sign a 2009 Retainer Agreement. Compensation shall be at a municipal rate of $210.00 per hour for preparing contracts for and to provide legal services with regard to the farmland acquisitions, and to assist in any other matter related to the Town's land preservation program. Time for paralegals will be billed at $90.00 per hour. Additional expenses subject to reimbursement shall include travel time, long distance telephone calls, telecopies, photocopying and printing fees. Invoices submitted monthly under the terms of this retainer agreement shall be a legal charge to the 2009 Community Preservation Fund budget H3.8660.2.500.100 (Legal Counsel). Elizabeth A. Box 1179 Southold, New York 11971 Re: 2009 Retainer Agreement Dear Supervisor Russell and Town Board Members: This letter confirms that I will serve as special counsel to the Town of $outhold in certain matters related to the Town's land preservation program. I will continue to provide legal advice to Melissa Spiro and her Department, prepare and negotiate agreements for the purchase of development rights, including contracts and conservation easements, attend closings, and perform any needed legal research related to these duties. My work will continue to focus on the farmland preservation program. I will also be available, as necessary, to assist in any other matters related to the Town's land preservation program, including revisions to the grant of development rights easement and to advise Melissa, the Town Board and the Land Preservation Committee regarding policy issues. My time from ]anuary 1, 2009 through December 31, 2009 will be billed at a municipal rate of $210.00 per hour, as discussed by the Board at your December 16, 2008 meeting. This rate reflects a substantial reduction of my usual hourly fee to private clients. Time for paralegals wili be billed at $90.00. Other additional expenses include travel time, long distance telephone calls, telecopies, photocopying, postage and printing fees. Our office sends invoices on a monthly basis. We have worked closely with Melissa $piro and Melanie Doroski to keep legal expenses on these matters at a reasonable level, with ongoing emphasis on efficiency and coordination.
