THIS INDENTURE, made the 28th day of September, 2001, BETWEEN ELK
ASSOCIATES FUNDING CORPORATION, a New York corporation with,its offices
located at 747 Third Avenue, New York, New York 10017, as to an 84.37% interest,
and KWlAT CAPITAL CORPORATION, a New York corporation with its offices located
at 576 Fifth Avenue, New York, New York 10036, as to a 15.63% interest,
party of the first part,
and
ARIQ FOOTAGE, INC., a New York corporation, having its principal place of business
at 12 Goodfriend Drive, East Hampton, New York 11937,
party of the second part,
WlTNESSETH, that the party of the first part, in consideration of Ten Dollars and other
valuable consideration paid by the party of the second part, does hereby grant and
release unto the party of the second part, the heirs or successors and assigns of the
party of the second part forever,

TOGETHER with all right, title and interest, if any, of the party of the first part in and to
any streets and roads abutting the above described premises to the center lines
thereof; TOGETHER with the appurtenances and all the estate and rights of the party of
the first part in and to said premises; TO HAVE AND TO HOLD the premises herein
granted unto the party of the second part,~ the heirs or successors and assigns of the.

SCHEDULE "A" DESCRIPTION
ALL that certain plot, piece or parcel of land, situate, lying and being in the
Village of Greenport, Town of Southold, County of Suffolk and State of New
York, bounded and described as follows:
BEGINNING at a point on the westerly side of Third Street distant 115.00 feet
northerly as measured along the westerly side of Third Street from the corner
formed by the intersection of the westerly side of Third Street with the
northerly side of Front Street;
RUNNING THENCE from said point of beginning along lands now or formerly
of Mr. Roberts Convenience Food Store, South 84 degrees 32 minutes 30
seconds West, a distance of 87.58 feet to lands now or formerly of Lamia;
RUNNING THENCE along said lands now or formerly of Lamia the following
two courses and distances:
1) North 06 degrees 05 minutes 10 seconds West a distance of 7.90 feet; and
2) South 85 degrees 15 minutes 10 seconds West a distance of 70.0 feet to
lands now or formerly of Turner;
RUNNING THENCE along said land now or formerly of Turner North.06 degrees
04 minutes 30 seconds West a distance of 51.75 feet to lands now or formerly
of Carlozzi;
RUNNING THENCE along said land now or formerly of Carlozzi, North 84
degrees 43 minutes 40 seconds East, a distance of 156.49 feet (Deed), 156.78
feet (Actual) to the westerly side of Third Street; and
THENCE along the westerly side of Third Street, South 06 degrees 50 minutes
East, a distance of 60.02 feet to the point or place of BEGINNING.
AND the party of the first part covenants that the party of the first part has not done or
suffered anything whereby the said premises have been encumbered in any way
whatever, except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law,
covenants that the party of the first part will receive the consideration for this
conveyance and will hold the right to receive such consideration as a trust fund to be
applied first for the purpose of paying the cost of the improvement and will apply the
same first to the payment of the cost of the improvement before using any part of the
total of the same for any other purpose. The word "party" shall be construed as if it
read "parties" whenever the sense of this indenture so requires.
