the State of New York, having its principal office at t~e
Suffolk County Center, Center Drive, Riverhead, New York 11901,
party of the first part, and.
INCORPORATED VILLAGE OF GREENPORT, a municipal corporation
of the State of New York. having its principal offices at 236
3~ Street, Gree~port, New York 11944, party of the second part,
WITNE$$ETH, that the party of the first part, pursuant to
Resolution Number 863-2003 adopted by the Suffolk County
Legislature on November 18,2003 and, thereafter, approved by
the County Executive on November 25,2003, in consideration of
ten dollars and other valuable consideration paid by the party
of the second part, does hereby remise, release and quitclaim
unto the party of the second part, the heirs or successors and
assigns of the party of the second part forever,
ALL, that certain plot, piece or parcel of land with any
buildings and improvements thereon erected, situate, lying and
being in the Incorporated' Village of Greenport, Town of
S~uthold, County of Su£folk and State of New York, described on
Map of the Suffolk County Real Property Tax Service
Agency as District 1001, Section 002.00, Block 04.00, Lot
001.000, and acquired by Tax Deed on March 27,2000 from John C.
Cochrane, the County Treasurer of Suffolk County, New York and
recorded on March 30,2006 in Liber 12031, CP 286. and otherwise
know~, as and by Incorporated Village of Greenport, Town of
Sou=hold, N x Webb Street, E x now or formerly Smith, S x
Johnson Ct.. W x now or formerly Village of Greenport,
FUR'F~ER, notwithstanding the above description, it is the
intention of this conveyance to give title only to such property
as was acquired by the County of Suffolk by Tax Deed on March
27,2000 from John C. Cochr.ane, the County Treasurer of Suffolk
County. New York, and recorded on March 30.2000 in biber 12031,
CP 286.
PItOVXDED, however, that the party of the second part, will be
restricted, in its use of the subject premises and will use said
premises solely and exclusively for affordable housing purposes~
with all right, title, and interest reverting to the party of the
£irs= par~, at th~ sole option of the party of the firs= part, in
the event that the party of the second part, at any time uses or
attempts to use said subject premises for other than affordable
housing purposes, in accordance with theapproved plan submitted
by the party of the second part. The reverter clauses contained
herein shall apply to .t~e grantee, or any transferee from ~he
grantee undertaking the construction, reconstruction or
rehabilitation of affordable housing on the subject premises.
Additionally, if any one or more of the following occurs, the
property secured by this deed shall revert as hereinbefore set
~or=h to the party of the first part:
complete construction of affordable housing unit or units on said
property within three (3) years from the date of this deed unless
an extension of time is granted in writing, for good cause shown,
by the Suffolk County Director of Affordable Housing or any
successor thereto~
2) If =he party of the second part sells or otherwise
transfers an affordable housing unit or units to a purchaser or
purchasers whose total annual household income, from all sources,
exceeds the income eligibility guidelines establlshed by the
Director of the Office of Conununity Development or any successor
thereto~
3) If the party of the second part permits the affordable
housing unit or units to be occupied by a family whose total
annual income, from all sources, exceeds the income eligibility
guidelines established by the Director of the Office ~f Co.,~,.~nity
Development or any successor thereto~
4) If the 'party of the second part allows the purchase or
rental price of each affordable housing unit to exceed the sales
price or rental guidelines established by the'Director of the
Office of Community Development or any successor thereto;
5) :~ th~ a~oraable housing uni% or units are ~wner-
occupied, the unit or units ~ust remain the principal residence
of the owner for a period of five (5) years. If the affordable
housing unit or units are tenant-occupied, the unit or units must
remain affordable for ten (10) years.
6) If the party of the second part fails to certify to the
Suffolk County Director of Affordable Housing prior to
closlng of the title with any affordable housing grantee:
the dates of completion and occupancy for any
affordable housing unit or units constructed or
rehabilitated on said property~
b) the total household income, from all sources, of
the purchaser or purchasers of the property and his
or her family~ and
c) the total purchase or rental price of the affordable
housing unSt or units sold or otherwise transferred~ end
d) the affordable housing unit or units meet local building
and zoning codes.
SUB~TECT to the' condition that the Incorporated Village of
· Greenport, Town of Southold will be restricted in its use of the
subject parcel and will use said parcel solely and exclusively
for affordable housing with all right title and interest
reverting to the County of Suffolk in the event that the
Incorporated Village of Greenport, Town of Southold, at any time,
uses or attempts to use said subject parcel for other than
affordable housng or attempts to sell, transfer or otherwise
dispose of or does, in fact, sell, transfer or otherwise dispose
of said subject parcel with said parcel being used thereafter for
af£ordable housing.
SUBJECT to the condition that neither Grantee nor any
Municipality shall bill or charge back to Grantor any cost
incurred or projected to be incurred for the cleaning up of any
debris on said property. In the event that such charge back or
bill is rendered to the Grantor this Deed shall be void ab initio
and the realty shall revert to the Grantor.
It is intended and agreed that the agreements and covenants
herein shall be covenants running with the land and that they
shall, in any event, and without regard to technical
classification or designation, legal or otherwise, and except
only by law, binding for the benefit and in favor of, and
enforceable by, the party of the first part. It is further
understood that such 9greements and covenants shall be binding
only upon the ~arty of the second part, if i= be a municipality
or any assignee of the party of the second part, undertaking the
construction, reconstruction or rehabilitation of affordable
housing, only for such period as they shall have tltle to or an
interest in or possession of the property or part thereof.
TOGETHER with all right, title and interest, if any, of the
party of the first part of, in and to any streets and roads
abutting the above-described premises to the center lines
thereof;
TOGE~ with the appurteoances and all the estate and
fights of the par~y of the first part in and to said premises;
· TO m~v~ AND TO ~OLD the premises herein granted unto the
party of the second part, the heirs or successors and assigns
of the party of the second part forever.
~UBJECT to all covenants,.restr£ctions and easements of
record, if any.
AND the party of the first party, in compliance with Section
13 of the Lien Law, hereby covenants that the party of the
first part will receive the consideration for =his conveyance
and will hold the right to receive such consider&c$on as a
trust fund to be applied 'first for' the purpose of paying the
cost of the i~roveme~c grid will apply the same first to the
payment of =he cost of the improvement before using any part of
the co=al of the same for any other purpose.
