party of the second part,
WITNESSETH, that the party of the first part, in consideration of ten ($10.00) and other valuable
consideration paid by the party of the second part, does hereby grant and release unto the party of the
second part, the heirs or successors and assigns of the party of the second part forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon erected, situate,
lying and being at Southold, in the Town of Southold, County of Suffolk and State of New York, being more
particularly bounded and described on Schedule "A" annexed hereto and made a part hereof.
BEING AND INTENDED TO BE the same premises as conveyed to the party of the first pad by deed dated
December 8, 1993 and recorded in the Suffolk County Clerk's Office on December 8, 1993 in Liber 11655 at
Page 135.
THIS CONVEYANCE is made in the regular course of business of the party of the first part.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to ally streets and roads
abutting the above described premises to the center lines thereof; TOGETHER with the appurtenances and
all the estate and rights of the party of the first part in and to said premises; TO HAVE AND TO HOLD the
premises herein granted unto the party of the second part, the heirs or successors and assigns of the party of
the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything
whereby the said premises have been encumbered in any way whatever, except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of the
first part will receive the consideration for this conveyance and will hold the right to receive such consideration
as a trust fund to be applied first for the purpose of paying the cost of the improvement and will apply the
same first to the payment of the cost of the improvement before using any part of the total of the same for
any other purpose. The word "party" shall be construed as if it read "parties" when ever the sense of this
indenture so requires.

PARCEL I
ALL that certain plot, piece or parcel of land, with the buildings and
improvements thereon erected, situate, lying and being at Southold in the Town
of Southold, Suffolk County, New York bounded and described as follows:
BEGINNING at the point of intersection of the northerly line of Main Road with
the easterly line of Boisseau Avenue, said point being the southwesterly corner
of the premises herein described;
RUNNING THENCE along said easterly line of Boisseau Avenue, North 15
degrees 67 minutes 20 seconds West 153.99 feet to land of Carlisle Cochran;

BEGINNING at a monument set in the northerly side of Main Road distant
244.70 feet easterly as measured along the northerly side of Main Road from the
corner formed by the intersection of the northerly side of Main Road with the
easterly side of Boisseau Avenue, said point of beginning also being where the
easterly line of land now or formerly of E. Cochran intersects the northerly side of
