DEED
THIS INDENTURE, made as of November 8, 2001, between SUFFOLK COUNTY
INDUSTRIAL DEVELOPMENT AGENCY, a public benefit corporation duly organized
and validly existing under and by virtue of the laws of the State of New York, having its
principal office at H. Lee Dennison Building, 10th Floor, 100 Veterans Memorial Highway,
Hauppauge, New York 11788, party of the first part, and C & L REALTY, INC., duly
organized and validly existing under the laws of the State of New York, having an office at
Port of Egypt, Southold, New York 11971, party of the second part,
WITNESSETH that the party of the first part, in consideration of One Dollar ($1.00)
lawful money of the United States and other good and valuable consideration, paid by the
party of the second part, does hereby remise, release and quitclaim unto the party of the
second part, the heirs or successors and assigns of the party of the second part forever, all the
land and improvements described in Schedule A attached hereto.

TOGETHER with all right, title and interest, if any, of the party of the first part in and
to any streets and roads abutting the above described premises to the center lines thereof,
TOGETHER with the appurtenances and all the estate and rights of the party of the
first part in and to said premises,
TO HAVE AND TO HOLD the premises herein granted unto the party of the second
part, the heirs or successors and assigns of the party of the second part forever.
AND, the party of the first part, in compliance with Section 13 of the Lien Law,
covenants that the party of the first part will receive the consideration for this conveyance
and will hold the right to receive such consideration as a trust fund to be applied first for the
purpose of paying the cost of the improvement and will apply the same first to the payment
of the cost of the improvement before using any part of the total of the same for any other
purpose.
The word "party" shall be construed as if it read "parties" whenever the sense of this
indenture so requires.

Legal Description of Real Property
All that certain plot, piece or parcel of land, situate, lying and being in the Town of Southold,
County of Suftblk and State of New York, more particularly bounded aad described as
follows:
Beginning at the northeast comer of the premises hereinafter described where the same
intersects the southerly side of Main (State) Road as the same is presently laid out and in
use, and at which point the westerly side of lands now or formerly of Port of Egypt
Enterprises, Inc., intersect the said southerly side of Main (State) Road;
Running thence from said point or place of beginning along lands now or formerly of Port of
Egypt Enterprises, Inc., South 19 degrees 41 minutes 00 seconds East 445.00 feet to a tie line
connecting the easterly side and westerly side of said premises and having a course of South
79 degrees 35 minutes 00 seconds West and a distance of 185.84 feet to land now or formerly
of Budd's Pond Marina, Inc.;
Thence along lands now or formerly of Budd's Pond the following three courses and
distances:
1. North 23 degrees 30 minutes 00 seconds West 72.95 feet;
2. North 21 degrees 35 minutes 00 seconds West 118.00 feet;
3. North 27 degrees 51 minutes 20 seconds West 196.25 feet to a point on the southerly side
of Main (State) Road aforesaid, said point being distant 1483.25 feet northeasterly as
measured along said southerly side of Main (State) Road from the comer formed by the
intersection of said southerly side of Main (State) Road with the easterly side of Bay
Home Road;
Thence along the southerly side of Main (State) Road as aforesaid the following two courses
and distances:
