ISLAND LIGHTING COMPANY, a corporation duly organized and existing under and by
virtue of the laws of the State of New York, having its principal office at 175 East Old
Country Road, Hicksville, New York (the "Grantor") and MARKETSPAN
CORPORATION, a corporation duly organized and existing under and by virtue of the laws
of the State of New York, having its principal office at 175 East Old Country Road,
Hicksville, New York, and its subsidiaries (hereinafter collectively called the "Grantees").

WHEREAS, Grantor is the owner in fee simple of a certain parcel of land situate in
Arshamomaque, Town of Southold, Suffolk County, State of New York, designated on the
Tax Map of the Town of Southold, Suffolk County as District 1000, Section 045, Block 01,
p/o Lot 11 (the "Grantor's Parcel"); and
WHEREAS, Grantee desires to acquire certain easements and rights-of-way covering
a portion of Grantor's Parcel;
NOW, THEREFORE, Grantor, in consideration of the sum of One ($1.00) Dollar
lawful money of the United States and other good and valuable consideration paid by the
Grantees, does hereby grant and release unto the Grantees, their successors and assigns,
forever, easements and rights-of-way on, over, under, across, through and along that portion
of Grantor's Parcel bounded and described as set forth in Schedule A annexed hereto and
made a part hereof (the "Easement Parcel").
Said easements and rights-of-way hereby granted include the following rights and
privileges:
FIRST: The permanent and perpetual easement to construct, reconstruct,
relocate, operate, repair, maintain and at its pleasure, remove, any and all facilities,
equipment, fixtures and other apparatus and appurtenances used or useful for
communications, the distribution of gas and other operations of the Grantees, including but
not limited to operation and maintenance of an office building, gas compressor station,
communications equipment and related facilities within the Easement Parcel described on
Schedule A.
SECOND: To permit the right of ingress and egress, on foot and by vehicle, to
and from the described Easement Parcel and the adjoining public roads over all existing and
future roads and driveways of the Grantor's Parcel.
THIRD: 'Grantor agrees not to erect or maintain within the Easement Parcel any
building, structure or physical obstruction of any kind or nature whatsoever or permit the
same to be so erected or maintained, except such as the Grantees may specifically consent to
in writing.
IN WITNESS WHEREOF, the Grantor has caused these presents to be duly executed
the day and year first above written.
