BETWEEN JACK J. LEVIN, Individually, and JACK J. LEVIN
and JOSEPH J. SNELLENBURG II, as Executors of the Estate of
Irving I. Levin, P.O. B~§? Greenport, New York 11944, party
of the first part,
AND the COUNTY OF SUFFOLK, a municipal corporation,
having its principal offices at County Center, Riverhead, New
York, acquiring herewith a fifty percent (50%) undivided
interest in and to the parcel, and THE TOWN OF SOUTHOLD, a
municipal corporation, with its principal offices at 53095
Main Road, Southold, New York 11971, acquiring herewith a
fifty percent (50%) undivided interest in and to the parcel as
acquiring tenants-in-common, hereinafter described
individually or as the PURCHASERS, party of the second part,
' WITNESSETH, that the party of the first part, in
consideration of SIX HUNDRED THOUSAND and 00/100 DOLLARS
($600,000.00) and other valuable consideration paid by the party
of the second part, does hereby grant and release unto the party
of the second part, the heirs or successors and assigns of the
party of the second part forever,
THIS DEED is given in accordance with Resolution No. 751-
1997, as amended by Resolution No. 652-1998 and as amended by
Resolution No. 375-1999, Resolution No. 454-1999, and as
amended by Resolution No. 1174-2000, authorizing the
acquisition of land in the Suffolk County Land Preservation
Partnership Program, and further in accordance with Resolution
No. 762-1986, as corrected by Resolution No. 1212-1986, and as
further clarified by Resolution No. 1266-1989, all on file
with the Clerk of the Suffolk County Legislature, and in
accordance with Resolution of the Suffolk County Department of
Parks, Recreation and Conservation Board of Trustees, in
exercise of their duties as authorized by Suffolk County
Resolution No. 762-1986, and the PURCHASER, THE TOWN OF
SOUTHOLD, agrees to purchase in accordance with Resolution
dated January 19, 1999.
ALL, that certain piece or parcel of land, situated in the
Town of Southold, County of Suffolk, and State of New York, more
particularly bounded and described as follows: (see description
annexed hereto and made a part hereof):

BEING AND INTENDED to be part of the same premises conveyed
to Jack J. Levin and Joseph J. Snellenburg II, as Executors of
the Last Will and Testament of Irving I. Levin, who dies testate
04/09/1966 a resident of Suffolk County. (Suffolk County
Surrogate's Index # 593P66). Letters Testamentary issued
06/01/1966 [as to a ~ interest] and Jack J. Levin by deed from
EL JOANRAC CORP., A New York Corporation dated 06/30/2000 and
recorded on 09/25/2000 in Liber 12073 Page 360 [as to a ~
interest].

BEING ~ INTENDED to be the same premises conveyed to be
part of the same premises conveyed to Jack J. Levin and Joseph
J. Snellenburg II, as Executors of the Last Will and Testament
and Testament of Irving I. Levin, who dies testate 04/09/1966 a
resident of Suffolk County. (Suffolk County Surrogate's Index #
593P66). Letters Testamentary issued 06/01/1966 [as to a ~
interest] and Jack J. Levin by deed from EL JOANRAC CORP., A New
York Corporation dated 06/30/2000 and recorded on 09/25/2000 in
Liber 12073 Page 361 [as to a ~ interest].

ALL that certain plot, piece or parcel of land, situate, lying and being at Arshamomoque, Town of Southold,
County of Suffolk and State of New York, bounded and described as follows:
BEGINNING at a point on the southerly side of North Road (CounL-y Road 48) (Middle Road) at the northeast
corner of the premises herein described and the northwest corner of land now or formerly of Hegeman;
RUNNING THENCE South 17 degrees 07 minutes 25 seconds East along said land now or formerly of
Hegeman, 327.66 feet;
THENCE North 60 degrees 03 minutes 55 seconds East still along said land now or formerly of Hegeman,
135.9~. feet to land now of formerly of Papagatos;
THENCE South :[6 degrees 23 minutes :1.5 seconds East along said land now or formerly of Papgatos, 441.09
feet;
THENCE North 74 degrees 53 minutes 55 seconds East still along said land now or formerly of Papagatos,
104.79 feet to the westerly side of Chapel Lane;

3. North 34 degrees 39 minutes 35 seconds West, 424.95 feet;

THENCE North 39 degrees 16 seconds 25 minutes West, 332.10 feet to the southerly side of North Road;
THENCE North 59 degrees 25 minutes 05 seconds East along the southerly side of North Road, 881.31 feet to
the point or place of BEGINNING.
TOGETHER with all right, title and interest, if any, of the
party of the first part in and to any streets and roads abutting
the above described premises to the center lines thereof;
TOGETHER with the appurtenances and all the estate and
rights of the party of the first part in and to said premises;
TO HAVE AND TO HOLD the premises herein granted unto the
party of the second part, the heirs or successors and assigns of
the party of the second part forever.
AND the party of the first part covenants that the party of
the first part has not done or suffered anything whereby the
said premises have been encumbered in any way whatever, except
as aforesaid.
AND the party of the first part, in compliance with Section
13 of the Lien Law, covenants that the party of the first part
will receive the consideration for this conveyance and will hold
the right to receive such consideration as a trust fund to be
applied first for the purpose of paying the cost of the
improvement and will apply the same first to the payment of the
cost of the improvement before using any part of the total of
the same for any other purpose.
AND the following covenant and restriction shall be deemed
to be imposed only upon the TOWN OF SOUTHOLD's undivided fifty
percent (50%) interest in the subject premises, and only
applicable to it; and further shall not be deemed to be a
covenant and restriction imposed upon the COUNTY OF SUFFOLK's
undivided fifty percent {50%) interest in the subject premises,
and not applicable to it:

Pursuant to Chapter 59 the Town's interest in this parcel
of property shall not thereafter be alienated except upon the
affirmative vote of a majority of the Town Board after a public
hearing thereon and upon the approval by the electors of the
town voting on a proposition submitted at a special or biennial
town election. No subsequent amendment of the provisions of the
subsection shall alter the limitation imposed upon the
alienation of the fee or any lesser interest or right acquired
by the town prior to any such amendment. This covenant shall
run with the land in perpetuity, only as to the TOWN OF SOUTHOLD
and its undivided fifty percent (50%) interest therein.
And the TOWN OF SOUTHOLD has joined in the execution of
this deed as and for its acceptance of the aforestated covenant
and restriction, as set forth herein.
THE WORD "PARTY,, shall be construed as if it read "parties"
whenever the sense of this indenture so requires.
