Containing about 8 1/2 acres, more or less. BEING AND INTENDED to be thc same premises conveyed to the party of the first part by Deed dated January 10, 1979 and recorded in the Office of thc Clerk of the County of Suffolk on March 2, 1979, in Liber 8590, Page 135. TOGETHER with all right, title and interest, if any, of the party of thc first part and Irving Latham in and to any land lying in the bed of any street, road or avenue, open or proposed, in front of or adjoining said premises, to the center line thereof, and all right, title and interest, if any, of the parties of the first part in and to the adjacent lands under the waters of Sterling Basin. TOGETHER with the right, title and interest to the land now or formerly under thc waters of Sterling Basin adjoining the premises above described as granted by Letters Patent recorded in the Office of the Secretary of State, Albany, New York, in Book of Patents No. 75 at page 674. SUBJECT TO a certain consolidation extension modification and spread agreement made by and between Sterling Harbor Marina, Inc. and Ruth F. Preston, said agreement is dated January 31, 1974 and was recorded May 8, 1974 at the Office of the Clerk of the County of Suffolk, in Liber 7063, at Page 26 and on which agreement there is now due the sum of $48,000.00 and that the parties of the second part hereby assume and covenant to pay such debt as part of the consideration of the conveyance. TOGETHER with all right, title and interest, if any, of the party of the first part, in and to any streets and roads abutting the above-described premises to the center lines thereof; TOGETHER with the appurtenances and all the estate and rights of the party of the first part in and to said premises; TO HAVE AND TO HOLD the premises herein granted unto the party of the second part, the heirs or successors and assigns of the party of the second part forever. AND the party of the first part, in compliance with Section 13 of the Lien Law, hereby covenants that the party of the first part will receive the consideration for this conveyance and will hold the right to receive such consideration as a trust fund to be applied first for the purpose of paying the cost of the improvement and will apply th~ same first'to the payment of the cost of the improvement before using any part of the total of the same for any other purpose.
