THIS INDENTURE, made as of July 26~ 200.5, bctwcan Ronald M. Moms end Nency H.
Morris his wife, having an address at 45562 Ban'inger Rd., California, MD 20619 (referred to
herein as "Grantor"), end Michael Palermo and Melissa Palermo, his wife having en address at
47 Straight Path, Southampton. NY 11968 (referred to herein as "Grantee").
WITNESSETH, that Grantor, in consideration often Dollars and other valuable
consideration, the receipt and sufficiency of which hereby are acknowledged, do hereby 8rant end
release unto Grantee, its heirs, executors, administretors, successors and assigns forever,
ALL that certain plot, piece or parcel of lend, with the btfildJngs end
improvements thereon erected, situate, lying and being in thc Village of Southold,
Town of Southold, the County of Suffolk, end the State of'New York, being more
particularly described in Exhibit A attached hereto end made n pan hereof,
TOGETHER with all right, tide and interest, if any, of Granter in and to any
streets and reeds abutting said premises to ~he center lines thereof,
TOGETHER with the appurtenances and all the aslate end rights of Grentors in
end to said premises,
TO HAVE AND TO HOLD the premises harein f~ranted unto Grantee and his
heirs, executors, administrators, successors and assigns ~ore~er.
Grantor is the owners of said premises.
Grantor covensms that Grantor has not done or suffered anything whereby said
premises have been encumbered in any way whatever, except as set forth herein.
Grantor, in compliance with Section 13 of the Lien Law, covennents that it will
receive the consideration for this conveyance end will hold the right to receive such consideration
as a t~'ust fund to be applied first for the pu-,l~se ofpnying the cost of the improvement before
u~ing any part of the totnl of the same for any other purpose.

ALL that certain plot, piece or parcel of land, situate, lying and being in the Town
of Southold, County of Suffolk and State of New York, known and designated as
Lot 2 on a certain map entitled 'Map of Highpoint Meadows, Section 1' and filed
in the Office of the Clerk of the County of Suffolk on March 14, 1990 as Map No.
8910, said lot being mom particularly bounded and described as follows:
BEGINNING at a point on the westerly side of Odole Drive at the southerly
end of a curve having a radius of 40.00 feet a length of 62.26 feet, said curve
connects the southerly side of Usa Drive with the westerly side of Oriole Drive;
RUNNING THENCE from said paint or place of beginning along the southerly
side of Oriole Drive the following two courses and distances:
1. Southerly along the arc of a curve bearing to the left having a radius of 350.00
feet a distance of 22.88 feet;
2. Southerly along the arc of another curve bearing to the left having a radius of
250.00 feet a distance of 50.18 feet to the division line between Lots 2 and 3 on
the above mentioned map;
THENCE along said division line South 76 degrees 34 minutes 20 seconds West
197.33 feet;
THENCE North 02 degrees 38 minutes 20 seconds East 166.18 feet to the
southerly side of Lisa Drive;
THENCE along the southerly side of Lisa Drive South 87 degrees 21 minutes 40
seconds East 139.58 feet to the westerly end of the curve first above mentioned;
THENCE southeasterly and southerly along the am of said curve bearing to the
right having a radius of 40.00 feet a distance of 62.26 feet to the point or place of
BEGINNING.
