THIS INDENTt/RE, mede October 25, 2005, between Meredith Vineyards, LLC, a limited liability
company organized under the laws of New York, with offices ~ 275 Clearview Avenue, Southold. New York
11971, party of the first part, and New Suffolk Land Co. II LLC, a limited liability company organized under the
laws of New York. with offices nt ~/6.4~venu~ew York, New York 10011~, party of the second part:
WITNE~ETH, that the party ofthe first pan. in consideration ofone dollar and othes good and valuable
consideration., lawful money of the United States, paid bythe party of the second pm't, dons hereby grant and
releese unto the party ofthe second part, New Suffolk Land Co. II .LLC, and assigns forever:.
ALL certain plot, piece or parcel of land, with the buildings and improvements thereon erected, situate,
lying and being in the

Being and hereby intendih$ to convey the same prenises as conveyed to ~he pm'ty of the first part by Deed
dated October 27, 1997, and recorded in the Suffolk County Clark's Office on November 6, 1997, in Liber I 1860
at page 744;
TOGETHER with all fight, title and interest, if any, of the party of the first pan in and to any st.-ets and
roads abutting the above described premises to the center lines
TOGETHER with the appurtenances and all the estate and rights of the party of the first part in and to said
premises;
TO HA VE AND TO HOLD the premises herein granted unto the party of the second 'part, New Suffolk
t.and Co. Ii LLC, and assigns forever. And the party of the first part covenants that it has not done or suffered
an)qhing whereby the said premises have been encumbered in any way whatever.
And the partyof the first part/grantor, in compliance with Section 13 of the Lien Law, covenants that the
party ofthe first part/grantor will receive the consideration for this conveyance and will hold the right to receive
such consideration as a trust fund to be applied first for the purpose of paying the cost ofthe improvement and will
apply the same first to the payment ofthe cost of the improvement before using any part of the totsl of the same for
any other purpose. The word "party" or "grantor" shell be ~onstrued as if it read "parties' or "grantors" whenever the
sense oflhis document so requires.

County of Suffolk and State of New York, being known and designated as Parcel 2 on a certain
map entitled: "Final Plat for Dickerson Farms at Southold", filed in the Office of the Clerk of
the County of Suffolk on 9/23/97 as Map No. 10061, said lot being more particularly bounded
and described as follows:
