THIS INDENTURE, mede this~f ~~, in the
year 2005, between
CONSTANCE L. COOPER, residing at 8524 Overbrook Road, Fairfax,
Virginia 22031, party of the First Part, and
BERTRAM C. COOPER II~, residing at 8524 Overbrook Road,
Fairfax, Virginia 22031, party of the Second Part,
NHEREAS, the party of the First Part holds a one twenty-~ourth
(1/24) undivided interest as Tenant in Common, and not as
Joint Tenant, as Devises under the Last Will and Testament of
Robert LanE, an recorded in Will book 217 at page 510 with. the
Surrogate°s Court of Suffolk County, and as Grantee by deed of
Clara B. LanE, as reuorded in Deed book 5339 at page 391 in
the Clerk's Office of Suffolk County, and
WHEREAS, the party of the First Part ia n DEdLARANT of an
Agreement dated the 19th day of October, 1989, and recorded
the 2nd day of March, 1990, in Liber 11026, at Page 1, with
the Clerk's Office of Suffolk County, and,
WHEREAS, DECLAR~NTS of said Agreement recognized the interest
of the party of the First Part, and agreed each DECLARANT may
convey its undivided interest to s son, the party of the
Second Part being a son of the party of the First Part, and,
WHEREAS, the DECLARANTS of the said Agreement never agreed,
intended, or in any way provided, that said Agreement should
spply to their heirs or successors in interest, excepting the
specific restraint of Item 3 of said Agreement, and,
WHEREAS, Item 3 of said Agreement purports to suspend forever
the power of a tenant in common to conuuence an action for
partition, and an indefinite provision within Item 8 purports
to suspend forever the power of s weaker tenant to separate
its heirs or successors from the hostilities of stronger
tenants, in disregsrd of public policies on perpetuities,
iWHEREAS, the 'Governing Committee" of said Agreement has since
12001 ceased communication with party of the First Part,
~WITNESSETH, that the party of the First Part, in consideration
of TWENTY (20) DOLLARS gold lawful currency of the United
States and other good and valuable considerations paid by the
party of the Second Part, does hereby grant and release unto
the party of the Second Part, the heirs or successors and
assigns of the party of the Second Part forever,
ALL of its one-twenty fourth (1/24) undivided interest, as
Tenant in Cocoon, and not as Joint Tenant, in that certain
plot, piece or parcel of vacant land situate, lying and being
at Southold, Town Of Southold, County of Suffolk, in the State

of New York, hereinafter referred to as the Premises, and
more particularly described on Schedule A attached
hereto and made a part hereof,
TOGETHER with the appurtenances and all the estate and rights
of the party of the First Part in and to said Premises,
including all riparian rights, if any~
TO HAVE AND TO HOLD the Premises herein granted to the party
of the Second Part, the heirs or successors and assigns of the
party of the Second Part forever, subject to any lawful
covenants, rights, reservations, conditions and restrictions
of record~
AND the party of the First Part covenants that the party of
the First Part has not done or suffered anything whereby the
said Premises has been encumbered in any way whatever, except
as eforesaid~
The word "party' shall be construed to read 'parties" whenever
the sense of this indenture so requires.
IN WITNESS WHEREOF, the party of the First Part has duly

BEING THE SAME as described in a deed by Helen M. Latson, et. al.,
to Helen M. Latson, et. al., dated the 6th day of October, 1949,
and recorded in Suffolk County Clerk's Office in Liber 3002 at Page
552 on the 7th day of October, 1949, and,
BEING THE SAME as described in an agreement made by Susanne L.
Blankley, et. al., dated 19th day of October, 1989, recorded in
Suffolk County Clerk's Office in Liber 10026 at Page I on the 2nd
day of March, 1990,
ALL that certain piece or parcel of land situate, lying and being
in the Town of Southold, County of Suffolk, and State of New York,
bounded end described ss follows=
BEGINNING at a point on the northerly side of North Sea Drive
distant 1,775 feet eastwardly from the corner formed by the
intersection of said northerly side of North Sea Drive with the
easterly side of Kenny*s Road; running thence North 50 degrees, 36
minutes, 00 seconds West 194 feet, more or less, to the mean high
water line of Long ~slsnd Sound; running thence eastwardly along
said mean high water line of Long Island Sound 100 feet; thence
South 50 degrees, 36 ntinutes, 00 seconds East 196 feet, more or
less, to the northerly side North Sea Drive; running thence South
39 degrees, 24 minutes, 00 seconds West along said northerly side
of North Sea Drive 100 feet to the p~int or place of beginning;
The said parcel being designated as Plot No. Eighteen (18) by e
certain survey of william L. Miller, Licensed Surveyor, Wading
River, New York and guaranteed to the Inter-County Title Guarantee
and Mortgage Company July 21st, 1947.

Helen M. Latson, et. al., dated the 4th day of October, 1949, end
