simple title) to the PREMISES, free of all encumbrances except as herein stated. The deed will contain a covenant by

If SELLER is a corporation, it will deliver to PURCHASER at the time of CLOSING (a) a resolution of its Board of
Directors authorizing the sale and delivery of the deed, and (b) a certificate by the Secretary or Assistant Secretary of the
corporation certifying such resolution and setting forth facts showing that the transfer is in conformity with the
requirements of Section 909 of the Business Corporation Law. The deed in such case shall contain a recital sufficient to
establish compliance with that section.

15. SELLER has the option to credit PURCHASER as an adjustment of the purchase price with the amount of any unpaid
taxes, assessments, water charges and sewer rents, together with any interest and penalties thereon to a date not less than five
business days after CLOSING, provided that official bills therefor computed to said date are produced at CLOSING.
16. If there is anything else affecting the sale winch SELLER is obligated to pay and discharge at CLOSING, SELLER may
use any portion of the balance of the purchase price to discharge it. As an alternative, SELLER may deposit money with the
title insurance company employed by PURCHASER required by it to assure its discharge, but only if the title insurance
company will insure PURCHASER'S title clear of the matter or insure against its enforcement out of the PREMISES. Upon
request made within a reasonable time before CLOSING, PURCHASER agrees to provide separate certified checks as
requested to assist in clearing up these matters.
17. If a title examination discloses judgments, bankruptcies or other returns against persons having names the same as or
similar to that of SELLER, SELLER shall deliver a satisfactory detailed affidavit at CLOSING showing that they are not
against SELLER.
18. At CLOSING, SELLER shall deliver a certified check payable to the order of the appropriate State, City or County
officer in the amount of any applicable transfer and/or recording tax payable by reason of the delivery or recording of the
deed, together with any required tax return. PURCHASER agrees to duly complete the tax return and to cause the cheek(s)
and the tax return to be delivered to the appropriate officer promptly after CLOSING.
19. All money paid on account of this contract, and the reasonable expenses of examination of the title to the PREMISES
and of any survey and survey inspection charges are hereby made liens on the PREMISES and collectable out of the
PREMISES. Such liens shall not continue after default in performance of the contract by PURCHASER.
20. If SELLER is unable to transfer title to PURCHASER in accordance with this contract, SELLER'S sole liability shall
be to refund all money paid on account of this contract, plus all charges made for: (i) examining the title, (ii) any appropriate
additional searches made in accordance with this contract, and (iii) survey and survey inspection charges. Upon such refund
and payment this contract shall be considered cancelled, and neither SELLER nor PURCHASER shall have any further
rights against the other.
21. PURCHASER has inspected the buildings on the PREMISES and the personal propert3' included in this sale and is
thoroughly acquainted with their condition. PURCHASER agrees to purchase them "as is" and in their present condition
subject to reasonable use, wear, tear, and natural deterioration between now and CLOSING. PURCHASER shall have the
right, after reasonable notice to SELLER, to inspect them before CLOSING.
22. All prior understandings and agreements between SELLER and PURCHASER are merged in tins contract. It
:ompletaly expresses their full agreement. It has been entered into after full investigation, neither party relying upon any
~tatements made by anyone else that are not set forth in this contract.
23. This contract may not;lc changed or cancelled except in writing. The contract shall also apply to and bind the
:listributees, heirs, executors, administrators, successors and assigns of the respective parties. Each of the parties hereby
~uthorize their attorneys to agree in writing to any changes in dates' and time periods provided for in tins contract.

Inside the club 80% of the floors will be plush

~,~e as residents and businessmen in t~att£tuok
would never tolerate any public disturbances such as the ones
that were suggested at the last meeting. Above all it is a
fact that the .~'own, State and Alcoholic '~everage Commission
laws are very stringent when it comes to what is considered
proper management and customer behavior in an establishment
that serves alcoholic beverages. We in no way are going to
tolerate any abuse of the law. Also we are not going into
business, investing a lot of money and time only to flirt
with the possibility of being put out of business by the
authorities. ~e are looking forward to opening a sophisticated
establishment of beauty and enjoyment that will be an asset
to the community rather than a liability.
The reasonable level of sound was measured with a sound level
meter (DB meter) with a stereo unit turned up to 115 DB's (meas-
ured 1' from speaker) in the empty area of the building fronting
on the road. It should be noted that 98-110 DB is typical in a
Disco at this distance. This part of the building has 7-5' x 8'
picture windows in place at this time. These will be removed and
replaced by materials described in our proposal under insulation
for noise control. At this time there is no insulation on these
walls at all.
Noise Level Inside Building

With DB meter touching the outside of the windows in ali direc-
tions reading was 74 DB, the average light factory noise level.
10' away from glass 62 DB, level of background music 20, away
from glass - no reading on meter. Which means it was below 50
DB's which is average resonance of outside noise caused by wind.
We also took typical readings from the dual highway, a trailer
truck - 98 DB, a level recorded inside;pick up truck - 84DB,
Car - 76 DB. Regular traffic 100 yards away from meter was 65
DB.

Sunday at the Lions Club Cocktail Party held at the Coach Stoppe
these readings were recorded:
Live band at 10' 104 DB.
Bar conversation with band not playing at 88 DB.
Outside level 55 DB (normal background noise level).
In conclusion, based on these readings of noise absorbtion, that
windows will not be open, ~ouble door entry. Better insulation
construction, and the large distance to any residence, nuisance
noise will not be a problem. Typical highway traffic produces a
higher noise level.

.pproved, the following are the conditions set by this Board:

There shall be a barrier area constructed to stop any possible
backing out onto Highway Road 27. All parking areas shall be
properly s~rfaced with black top.
All grounds shalI be sufficiently lighted for safety and
proper surveillance. However, all lighting must be installed
as to not interfere with future neighbors.
Ventilation of building shall be such as to all doors to
outside to remain closed at all times of operation, winter
and s~er, so as to control escape of sounds to outside of
building.
Building shall have fire sprinkler system installed.that
meets with the requirements of the New York State Code or
greater.
There shall be at least two periods per week for teenagers
as per exhibit %1 submitted by owner with strict and proper
chaperoning.
Mattituck Fire Chief's recommendations shall become a part
of this Variance.
Disco area shall be properly separated from machinery area
in rear by a fence as proposed on plans submitted by owner.
The subject approval is hereby granted for a term of one year
from the date hereof, however, without prejudice to the
applicant to apply for an extension hereof.
