HomeMy WebLinkAboutL 12410 P 352THIS INDENTURE, made the C~ 4~ day of August, 2005 BETWEEN SARA PRESTON COSTELLO, us to un undivided fifty (50%) percent interest, residing ut 1210 North Road, Greenport, NY, ! 1944; and STEPHEN GEORGE KOHL, as to an undivided fifty (S0%) percent interest, residing ut 1000 Ninth Street, Grecnport, NY, 11944 ~rty of the first part, $TEPHEN GEORGE KOHL and ANGELA KOHL, husband and wife, both residing at 1000 Ninth Street, Grcenpart, NY, 11944 party of the second pan, WITNESSETH, that thc party o£the first pan, in consideration ofTEN ($10.00) dollars, lawful money ofthe United States paid by the party of the second pan, does hereby grant and release unto the party of the second paR, the heirs or successors and assigns of the party of the second part forever, ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon erected, situate, lying and being SEE SCHEDULE 'A' ANNEXED HERETO BEING AND INTENDED TO BE the same premises conveyed to thc parties of thc first pan by d~-d dated October 29, 1998 and recorded in the Office of thc Clerk of Ihe County of Suffolk on November 6, 1998 in Liber 11927 at page 208 and by deed dated May 30, 2003 and recorded in the Office of the Clerk of the County of Suffolk on June 12, 2003 in Liber 12255 at page 932. SARA PRESTON COSTELLO, her executors, administrators or assigns, shall have the first option to purchase the premises from the parties of the second part herein. The parties of the second part, their heirs or assigns shall give Sara Preston Costello, her executors, administrators, or assigns thirty (30) days written notice of such desire to sell. At this point, the purchase price of the premises shall be determined by the following thrce-appraisal method: each party shall obtain an independent appraisal of ibc premises. If the difference between the value ofthe premises as determined by two independent appraisals is $10,000.00 dollars or less, then the parties agree that the purchase price of the premises shall be the average of the two appraisals, if the two independent appraisals are more than $10,000.00 dollars apart, the two appraisers shall select a third appraiser and the value of the ipremises as determined by the third appraisal ~ha!l be binding un the parties as to the purchase price. Each party shall bear the cost of the initial mdependent appraisal and shall share the cost of the third binding appraisal if required. After the purchase price oftbe premises has been established, Sara Preston Costellu, her executors, administrators, or assigns shall have thirty (30) days to exercise the option to purchase in writing and sixty (60) days thereafter to close title. If Sara Preston Costego, her executors, administrators, or assigns shall fail to exercise this option or close title, then this right shall terminate. This option shag not affect the parties of the second parts' rights to mortgage the subject premises but shall be binding on the parties of the second part, their heirs or assigns. SCHEDULE #A~ ALL THAT CERTAIN PLOT, piece or parcel of lend, situate, lying end being in the Town of Southold, County of Suffolk end State of New York as shown and designated on a map entitled "Map of Fleetfield, Town of Southold" as and by Lot No. 1, Section 2, which said map was filed in the office of the Clerk of the County of Suffolk es and by No. 1351 on the 6~ day of February, 1942. TOGETHER with ail right, title and interest, if any, of the pa~y o£the first part in and to any s~'ccts and roads nbutling the above described premises to Ihe center lines thereof. TOG. AND THE pnny of the first pan, in compliance with Section 13 of the Lien Law, covenants that the party of the first pan will receive the consideration for this conveyance and will hold the right to receive such consideration as a ~ust fund to be applied first for the purpose ofpaying the cost oftbe improvement, and will apply the same first to thc payment of the cost of the improvement before using any part oftbe total of the same for any other ptupose. The word "party" shall be construed ns if it read "pm'ties" whenever the sense of this indenture so ~tuires.
