situate, lying and being in the Town of Southald, County of 8uff~k and State of New York aa shown and
designated on a map entitled 'Map of Fleatfisid, Town of Southold' aa and by Lot No. 1, Section 2,
which said map was filed in the Office of the Clerk of the County of Suffolk as and by No. 1351 on the
6~ day of February, 1942.
SAID prem'.~es also being known as 2 Middleton Road, Gresnport, New York 11944.
BEING and intended to be the same premises as conveyed to the parties of the first part by deed dated
August 9, 2005 and to be recorded in the Suffolk County Clerk's Office,
SARA PRESTON COSTELLO, her executors, adminiatmtors or assigns, shall have the first option to
purchase the premises from the parties of the second part herein. The parties of the second part their
heirs or assigns shall give Sara Preston Coatello, her executors, administrators, or assigns thirty
(30) days written notice of such desire to sell. At this point, the purchase price of the premises shall
be determined by the following threa-appreisal method: each party shall obtain an independent appraisal
ofthe premises. If the difference between the vsiue ofthe premisea ea determined by two indepandent
appraisals is $10,000.00 or less, then the parties agree that the purchase pdoa of the premises shall
be the average of the two appraisals. If the two independent appraisals are mom then $10,000.00
apart, the two appraisers shall select a third eppmiear end the value of the premises as determined
by the third appraisal shall be binding on the parties aa to the purchase pdce. Each party shall bear
the cost of the initial independent appraisal and shall share the cost of the third binding appraisal, if
required. After the purchase price of the promises has been established, Sara Preston Ccofallo, her
executors, adminisb'ators, or assigns shall have thirty (30) days to exercise the option to purchase in
writing and sixty (60) days thereafter to close fltie. If Sara Preston Coatello, her executors,
administrators, or assigns shall fail to exercise this option or close title, then this right shall terminate.
This option shall not affect the parties of b~ second parts' dghts to mortgage the subject premises but
shall be binding on the parties of the second part. their heirs or assigns.
TOGETHER with all right, ti'de and interest, if any, of the party of the first part in and to any streets and
roads abutting the above-described premises to the center lines thereof,
TOGETHER with the appurtenances and all the estate and rights of the party of the first part in and to
said premises,
TO HAVE AND TO HOLD the premises herein granted unto the party of the second part, rite heirs or
successors and assigns of the party of the second part forever.
AND the party of the first part, in compliance with Sec'don 13 of the Lien Law, hereby covenants that
the party of the first part will receive the consideration for this conveyance and will hold the right to
receive such consideration as a trust fund to be applied first for the purpose of paying the cost of the
improvement and will apply the same first to the payment of the cost of the improvement before using
any part of the total of the same for any other purpose.
The word 'party' shall be construed as if it read 'parties' whenever the sense of this indenture so
requires.
