LIBRARY DEED
THIS INDENTURE, made the 19°i day of May, 1999, between MATTITUCK-LAUREL
LIBRARY, a New York corporation chartered by the Board of Regents of the State Education
Department of the State of New York and an organization described in Section 501(c)(3) of the
Internal Revenue Code of 1986, as amended (the "Code"), which is exempt from federal income
taxation pursuant to Section 501(a) of the Code duly organized and validly existing under the
laws of the State of New York, having an office at 13900 Main Road, Mattituck, New York
11952, grantor, and SUFFOLK COUNTY INDUSTRIAL DEVELOPMENT AGENCY, a public
benefit corporation duly organized and validly existing under the laws of the State of New York,
having its principal office at 11. Lee Dennison Building, 2id Floor, 100 Veterans Memorial
Highway, Hauppauge, New York 11788, grantee
WITNESSETH that the grantor, in consideration of One Dollar ($1.00) and other good
and valuable consideration paid by the grantee, hereby grants and releases unto the grantee, the
heirs or successors and assigns of the grantee forever,
(See Schedule A attached hereto)

TOGETHER with the appurtenances and all the estate and rights of the grantor in and to
said premises,

TO HAVE AND TO HOLD the premises herein granted unto the grantee, the heirs or
successors and assigns of the grantee forever.
AND the said grantor covenants that the grantor has not done or suffered anything
whereby the said premises have been encumbered in any way whatever. This deed is subject to
the trust provisions of Section 13 of the Lien Law.
The words "grantor" and "grantee" shall he construed to read in the plural whenever the
sense of this deed. so requires.

Al) that certain plot, piece or parcel of land, with the buildings and
improvements thereon erected, situate, lying and being in the Hamlet of
Mattituck in the Town of Southold, County of Suffolk and State of New York
BEGINNING at a point on the southerly line of Main Road at the northeasterly corner of
land'of Lester, and running thence along said southerly line of Main Road, two courses, as
follows:
(1) North 74 degrees, 40 minutes. 10 seconds east 48.05 feet to a granite monument;
(2) THENCE. north 73 degrees, 11 minutes east 87.40 feet to other land of the party
of the first part;
(3) TF.IENCE along said other land of the party of the first part, south 5 degrees,
54 minutes east 505.10 feet to the northwesterly comer of land of Roman;
(4) TI-[ENCE along other land to be conveyed to the party of the second part, south
87 degrees, 19 minutes, 40 seconds west 134.12 feet;

AFFIDAVIT
Bruce E. Ferguson, being duly sworn, deposes and says:
1. That lie resides in the Town of Riverhead, New York, and is the duly
appointed Administrative Director of the Suffolk County Industrial Development Agency
2. That the Issuer is purchasing from Mattituck-Laurel Library (the
"Library") certain real property situate in Suffolk County and State of New York and
more particularly described on Exhibit A attached hereto.
3. That in the opinion of your deponent, the Issuer is a local development
authority which is all agency of a municipality within the State and therefor, no real estate
transfer tax is due upon the Deed conveying the real property to the Issuer.
4. That as security for the payment of the sums due or to become due
pursuant to the Installment Sale Agreement, (as defined below) the Issuer has executed
and delivered to the Trustee a certain Pledge and Assignment, dated as of May 1, 1999
(the "Pledge .and Assignment"), which is intended to be recorded in said Clerk's Office
immediately after the recording of the Installment Sale Agreement, or a memorandum
thereof, pursuant to which Pledge and Assignment, the Issuer has assigned to the Trustee
substantially all of its rights (except for certain Unassigned Rights) under the Installment
Sale Agreement.
5. That the Issuer covenants that it will record or cause the Installment Sale
Agreement or a memorandum thereof and the Pledge and Assignment to be recorded in
alI offices where recordation thereof is necessary.
r 6. That the Pledge and Assignment is given solely for the purpose of further
securing the same principal indebtedness and/or the unpaid balance thereof, to-wit:
$1,730,000, 'which under any contingency may be secured by the Installment Sale
Agreement.
7. That said Issuer is selling to the Library the real property described in
Exhibit A attached hereto pursuant to an Installment Sale Agreement, dated as of May 1,
1999 (the "Installment Sale Agreement"), between the Issuer, as seller, and the Library,
as purchaser, a Memorandum of which is to be recorded in the Suffolk County Clerk's
dffice.
8. That the Pledge and Assignment does not create any new indebtedness
which is not otherwise secured by the Installment Sale Agreement.

` 9. That in the opinion of your deponent, no mortgage recording taz is due or
1. payable in connection with the recording of the Pledge and Assignment and the
Mcmorandurn of Installment Sale Agreement because the Issuer is exempt from the
payment ol' mortgage recording tax by reason of Sections 874 and 876 of the General
Municipal Law ol'the State of New York.
