principal place of business at 11500 Sound Avenue, Mattituck,
New York 11952 , Grantee,
WITNESSETH, that the Grantor, in consideration of One
Dollar ($1.00) lawful money of the United states, and other
good and valuable consideration paid by the Grantee, does
hereby grant and release unto the Grantee, and assigns forever.
ALL THAT TRACT OR PARCEL OF LAND, situate in the Town of
Southold, Suffolk County, state of New York described on
attached Exhibit IIA" incorporated herein by reference.
SUBJECT to any and all conditions, covenants, easements
and restrictions of record, if any,
BY ACCEPTANCE of this Deed, the Grantee, for themselves,
their heirs, executors and assigns do hereby covenant and agree
that the property being conveyed by this Deed shall not be used
for the sale, storage or distribution of feed, seed,
fertilizer, farm chemicals, farm supplies and petroleum
products for a periOd of ten (10) years immediately after the
date hereof. The parties to this deed expressly agree that
this covenant shall run with the land.
Being and intended to be a portion of the same premises
conveyed to Grantor by Deed dated July 1, 1964 and filed in the
Office of the Clerk of the county of Suffolk on september 17,
1964 under Liber 5616 of Deeds at Page SS.
TOGETHER with the appurtenances and all the estate and
rights of the Grantor in and to said premises.

'1'0 HAVE AND TO BOLD the premises herein granted unto
Grante~, and assigns forever.
AND the party of the first part covenants that it has not
done or suffered anything whereby the said premises have been
encumbered in any way whatever.
The Grantor, in compliance with Section 13 of the Lien
Law, covenants that the Grantor will receive the consideration
for this conveyance and will hold the right to receive such
consideration as a trust fund to be applied first for the
purpose of paying the cost of the improvement and that the
grantor will apply the same first to the payment of the cost of
the improvement before using any part of the total of the same
for any other purpofie.
Not subject to credit line Mortgage.
IN WITNESS WHEREOF, Grantee has caused its corporate seal
to be hereunto affixed, and these presents to be signed by its
duly authorized officer the day and year first above written.
