BETVVEEN SOUTHAMPTON LUMBER CORPORATION, a New York corporation with an
office at Osborne & McGowan, P,C., 135A Main Street, East Hampton, New York 11937,
party of the first part, and JKNK, LLC, a New York limited liability company with an
office at Munn Lane, P.O. Box 607, Orient, New York 11957,
party of the second part,
WITNESSETH, that the party of the first part, in consideration of Five Hundred Thirty-Six
Thousand and 00/100 ($536,000.00) -------------------------------------------- dollars
paid by the party of the second part, does hereby grant and release unto the party of the second part, the heirs
or successors and assigns of the party of the second part forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon erected, situate,
lying and beingmlhec at Mattituck, Town of Southold, County of Suffolk and State of
New York, being more particularly bounded and described as set forth on Schedule A
hereto.
BEING AND INTENDED TO BE the same premises conveyed to the party of the first pari
by two deeds, one dated Nov"mber 18, 1983 and recorded in the Office of the Suffo'
County Clerk on November 25, 1983 in Liber 9464 page 480, and the other dated May
14, 1984 and recorded in the Office of the Suffolk County Clerk on June 6, 1984 i,
Liber 9576 page 106.
This conveyance is made pursuant to a Plan of Dissolution and Complete LiquidatioD
that was duly adopted by the shareholders of Southampton Lumber Corporation at a
meeting duly called at which a quorum was present and acting throughout.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any streets and roads
abutting the above described premises to the center lines thereof; TOGETHER with the appurtenances and all
the estate and rights of the party of the first part in and to said premises; TO HAVE AND TO HOLD the
premises herein granted unto the party of the second part, the heirs or successors and assigns of the party of
the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything
whereby the said premises have been encumbered in any way whatever, except as aforesaid.,
AND the party of the first part, in compliance with Section 13 or the Lien Law, covenants that the party of the
first part will receive the consideration for this conveyance and will hold the right to receive such consideration
as a trust fund to be applied first for the purpose of paying the cost of the improvement and will apply the same
first to the payment of the cost of the improvement before using any part of the total of the same for any other
purpose. The word "party" shall be construed as if it read "parties" when ever the sense of this indenture so
requires.

All that certain plot, piece or parcel of land, with the buildings and improvements
thereon erected, situate, lying and being at Mattituck, Town of Southold, County of
Suffolk and State of New York, being more particularly bounded and described as
follows:
BEGINNING at a point on the southerly side of Main Road at the northeast corner
of the premises being described herein and the northwest corner of land now or
formerly of Mattituck Free Library, said point being distant 533.50 feet westerly as
measured along the southerly side of Main Road from the corner formed by the
intersection of the westerly side of Reeve Avenue with the southerly side of Main
Road;
RUNNING THENCE from said point or place of beginning along land now or
formerly of Mattituck Free Library first above mentioned, South 05 degrees 46
minutes 00 seconds East, 392.25 feet to land now or formerly of H.R. Reeve, Sr.
Est.;
THENCE along said land the following three (3) courses and distances:
1) South 83 degrees 34 minutes 39 seconds West, 146.27 feet;
2) North 11 degrees 00 minutes 00 seconds West, 15.50 feet; and
3) South 79 degrees 47 minutes 00 seconds West, 35.00 feet to land
