HomeMy WebLinkAboutL 12554 P 842DISTRICT 1000 SECTION 087.00 BLOCK 06.00 LOT 012.001 SUFFOLK COUNTY B~RGAINAND SALE DEED WITH COV~N,MTTS THIS INDEnTurE, made the 11'~ day of June, 2008 BETWEEN THE NATURE CONSERVANCY, INC., a District of Columbia non-profit corporation, with a principal address at 4245 North Fairfax Drive, Arlington, Virginia 22203, and maintaining a New York office at 195 New Karner Road, Suite 200, Albany, New York 12205,hereinafter referred to as the party of the first part, AND the COUNTY OF SUFFOLK, a municipal corporation of the State of New York, having its principal offices at the Suffolk County Center, Center Drive, Riverhead, New York, which will acquire a fifty percent (50%) undivided interest in and to the parcels(s), and the TOWN OF SOUTHOLD, a municipal corporation, with principal offices at Southold Town Hall, 53095 Main Road, Southold, New York 11971, which will acquire the remaining fifty percent (50%) undivided interest in and to the parcel(s), as tenants-in-common, hereinafter referred to individually or as the party of the second part, WITNESSETH, that the party of the first part, in consideration of EIGHT MILLION and 00/100 DOLLARS ($8,000,000.00) and other valuable consideration paid by the party of the second part, does hereby grant and release unto the party of the second part, the heirs or successors and assigns of the party of the second part forever, ALL, that certain piece or parcel of land, situated in the Town of Southold, County of Suffolk, and State of New York, more particularly bounded and described as follows: (see description annexed hereto and made a part hereof): THIS DEED is given in accordance with the Suffolk County Environmental Legacy Fund for Open Space Preservation pursuant to Resolution No. 281-2007, Resolution No. 762-1986 et seq., Resolution No. 621-2004 and Resolution No. 165-2008, of the Suffolk County Legislature, and all on file with the Clerk of the Suffolk County Legislature. BEING AND INTENDED to be the same premises conveyed to party of the first part by deed from James V. Fal!on, Jr. and Rosemarie Kelly, as Trustees of The Julius G. Blocker Revocable Trust, dated May 16, 2008 and recorded in the office of the Suffolk County Clerk on May 28, 2008 in Liber 12552 at page 528; TO~ETHE~ with all right,.title and interest, if any, of the party of the first part in and to any streets and roads abutting the above described premises to the center lines thereof; TOGETHER with the appurtenances and all the estate and rights of the party of the first part in and to said premises; TO HAVE AND TO HOLD the premises herein granted unto the party of the second part, the heirs or successors and assigns of the party of the second part forever. AND the party of the first part covenants that the party of the first part has not done or suffered anything whereby the said premises have been encumbered in any way whatever, except as aforesaid. THIS CONVEYANCE is made in the regular course of business actually conducted by the party of the first part and upon the consent of all its stockholders. AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of the first part will receive the consideration for this conveyance and will hold the right to receive such cohsideration as a trust fund to be applied first for the purpose of paying the cost of the improvement and will apply the same first to the payment of the cost of the improvement before using any part of the total of the same for any other purpose. AS SET FORTH in Chapter 17 (Community Preservation Fund) and Chapter 185 (Open Space Preservation) of the Town Code of the Town of Southold, OPEN SPACE acquired by the Town pursuant to the provisions of said chapters shall not be alienated, except upon the affirmative vote of a majority of the Town Board after a public hearing and upon the approval of the electors of the Town voting on a proposition.submitted at a special or biennial town election. No subsequent amendment of the provisions of those chapters shall alter the limitations imposed upon the alienation of fee title acquired by the Town prior to any such amendment. This covenant shall run the land in perpetuity. THE WORD "PA~TY" shall be construed as if it read "parties" whenever the sense of this indenture so requires.
