BARGAIN & SALE DEED

BETWEEN Peter O. Crisp, having an address ofelo U.S. Trust Company, having an address at
114 Wesl471h Street, New York, New York 10036, Ann.: M. Davey,
party oflhc first part, and
Crisp Residential Properties LLC, c/o U.S. Trust Company, 114 West 47th Street, New York,
New York 10036, Attn.: M. Davey
party of the second pan,
WITNESSETH, that the party of the first pan, in consideration of Ten Dollars and other
valuable consideration paid by the party of the second part, does hereby grant and release unto
the party of the second part, the heirs or successors and assigns of the party of the Sl.'Cond part
forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon
erected, situate, lying and being on Fishers Island, Town of Southold, County of Suffolk and
State of New York, more particularly described in Schedule A attached hereto and made a part
hereof.
BEING and intended to be the same Premises conveyed by.deed dated June 19, 1987 from John
Gaston, Jr., Grantor to Pcter O. Crisp, Grantee and recorded on August 3, 1987 in the Suffolk
County Clerk's Office Liber 10380 page 560.
TOGETHER with all right, title and interest, if any, of the party of the first pari in and to any
streeL~ and roads abutting the above described premises to the center lines thereof; TOGETIlER
with the appurtenances and all the estate and rights of thc party of the first part in and to said
premises; TO HAVE AND TO HOLD the premises herein granted unto the party of the second
part, the heirs or successors and assigns of the party of the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered
anything whereby the said premises have been encumbered in any way whatever, except as
aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that
thc party of the first part will receive the consideration for this conveyance and will hold the
right to receive such consideration as a trust fund to be applied first for the purpose of paying the
cost of the improvement and will apply the same first to the payment of the cost of the
improvement before using any part of the total of the same for any other purpose. The word
"party. shall be construed as if it read "parties" whenever the sense of this indenture so requires.

Schedule A
All that certain plol, piecc or parcel ofland, with the buildings and improvements thcreon
erected, situate, lying and being on Fishers Island, Town ofSouthhoJd, County ofSulTolk
and State of New York bounded and described as follows;
BEGINNING at a point on the northwesterly side of Equcslrian A venue where same is
intersected by the division line between the hereinafter described premises and land now
or fonncrly of Peter O. Crisp and Emily R. Crisp, his wife. Said point of beginning also
being south 43 degrees 44 minutes 20 seconds West 103.40 feet from a monument which
is located 1545.88 feet North ofa point which is 3409.32 feet Westofa monument
marking the United Stales Coast and Geodetic Survey Triangulation Station "NIN"
RUNNING THENCE South 43 degrees 44 minutes 20 seconds West along
Equeslrian Avenue 16.05 feel to a point;
THENCE North 25 degrees 26 minutes 40 seconds West 442.7 fcelto a point;
THENCE North 43 degrees 44 minutes 20 seconds East 44.5 fcellO the shore of
Hay Harbor, the last two lines abutting Southwesterly and Northwesterly on land now or
fonnerly of the Estate ofBmon Kidd;
THENCE Southeasterly along the shore of Hay Harbor 98.3 fect more or less to a drill
hole in a boulder;
THENCE South 27 degrees 12 minutes 40 seconds East 123.75 feello land now.
or formerly of Peter O. Crisp and Emily R. Crisp, his wife;
THENCE southwesterly and southeasterly along land now or formerly of Peter O.
Crisp and Emily R. Crisp, his wife, the following two courses and distances;
South 39 degrees 34 minutes 00 seconds West 99.29 feet to a point;
South 25 degrees 26 minutes 40 seconds East 210.70 fcel to the northwesterly
division line of Equestrian Avenue to the point or place ofbegiMing.
SUBJECT however, 10 the right of way reserved over the existing driveway of the above
described premises for the use and benefit of the premises which adjoin the above
described premises on the West. See Liber 2486, CP 396.
TOGETHER WITH all right, title and interest, including riparian, which the Grantor may
have in and 10 the waters of Hay Harbor and the land underneath the same. Together
with any rights of Grantor in the nature of an easement 10 maintain a connection between
the above described premises and neighboring premises on the West for the pwpose of
using a septic tank located on said adjacent premises.
