THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2008-643 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
JULY 1, 2008:
RESOLVED that the Town Board of the Town of Southold hereby engages the professional
services of the Peeonie Land Trust~ Inc. to perform Stewardship Services related to the
Town's land preservation efforts and authorizes the Supervisor to sign the agreement
between the Peeonie Land Trust and the Town of Southol~d, subject to the review of the
Town Attorney. Compensation shall not exceed ten thousand dollars ($I0,000.) and the contract
term shall run for July 1, 2008 to December 31,2008.

STEWARDSHIP SERVICES AGREEMENT
WITH THE PECONIC LAND TRUST
THIS AGREEMENT made the'~J-/OIT- day ofChI~.~)~t~?fl,~t,)~,¢, , 2008, between the
TOWN OF SOUTHOLD, a municipal corporation with offices located at 53095 Main Road,
P.O. Box 1179, Southold, Suffolk County, New York, 11971, hereinafter referred to as the
"Town", and PECONIC LAND TRUST, INCORPORATED, a non-profit corporation organized
and existing under the laws of the State of New York, with a principal place of business at 296
Hampton Road, P.O. Box 1776, Southampton, New York 11969.
WITNESSETH:
Pursuant to §247 of the General Municipal Law of the State of New York, the Town of
Southold, Suffolk County, New York, is authorized to acquire interests or rights in real property,
for the preservation of open spaces and other protected areas; and
Pursuant to the Community Preservation Project Plan for the Town of Southold and
Chapter 17 of the code of the Town of Southold, the Town Board is authorized to acquire,
preserve, and protect properties which are integral to the unique community character, and is
further authorized to expend up to 10% of the fund for stewardship activities and services; and
The Town Board wishes to enter into a cooperative agreement with Peconic Land Trust
to assist the Town Land Preservation Department and Department of Public Works to maintain
town preserves and identify and implement management strategies for current and future town
acquisitions; and
Peconic Land Trust is a regional non-profit land conservation organization, organized
under §501 (c) (3) of the Internal Revenue Code, and has expertise in managing open space,
farmland and other protected lands;
NOW THEREFORE, IT IS MUTUALLY AGREED BY AND BETWEEN
THE PARTIES AS FOLLOWS:
The Town retains the services of Peconic Land Trust to assist the Town at the direction of
the Town Land Preservation Coordinator and/or the Director of the Department of Public
Works towards the following:
Assist with the refinement and implementation of services and activities related to
protected farmland and open space management including, but not limited to, trail
maintenance, trail creation, habitat maintenance, habitat restoration, invasive
species removal and control;
Assist with the creation and implementation of Management Plans or parts there
of, for Town of Southold Nature Preserves including, but not limited to, defining
sensitive habitat, planning for site specific lay-out including roads, trails, parking,
and restoration area, planning for appropriate structures including material choice,
creating work schedules and defining appropriate tasks for specific crews and/or
contractors, defining long term goals and/or objectives for preserves and
management centers;
Provide on site Stewardship and management services including: "Community
Education" to connect, educate, and inform the citizens of Southold to the
commtmity assets, as well as engage the public with the programmatic work and
use of the Town's protected lands. Activities will foster respect for the natural
environment, understanding of fragile habitats, and encourage further land
preservation within the Town. Specific programs and activities will be
undertaken at the direction of the Town Preservation Coordinator and/or the
Director of the Department of Public Works and will include but not be limited to
the following;
Regularly scheduled Educational programs at various Town of Southold
Preserves.
Build a net~vork of individuals and organizations (Audubon, NFEC, CCE
etc.) to assist the town as a specialized work force, with public relations
and to augment core programs described above.
3. Create a community minded stewardship program of Adopt a
Preserve/Park.
Coordinate Nature/Visitors center activities at Downs Farm Preserve to
include educational programs, exhibits, and events. Develop educational
progrmns with local educators as well as a volunteer base to assist with
preserve needs. Continue to maintain trail systems and work with DPW on
larger restoration projects.
Assist with programmatic work including, but not limited to, creating policies,
procedures, standards and practices with regard to town obligation as stewards of
the land and easements it holds. Help establish a "vision" plan to identify the
mission and goals for Town of Southold Preserves, and create a step-by-step
process for identifying and implementing the needs of a specific property.
Participate in monthly meetings with Town Preservation Coordinator and
Department of Public Works Director, in addition, assist with building a network/
ad hoc committee comprised of individuals who can assist various management
and stewardship activities as necessary.
It is understood Peconic Land Trust may also be working on behalf of landowners, or
other governmental or non-governmental entities, and themselves especially where
outreach is concerned and such arrangements, including any compensation arrangements,
will be disclosed to all involved parties on a case-by-case basis.
As compensation for such services, the Town will pay Peconic Land Trust a fee based on
Peconic Land Trust's actual time and project expenses (including consultant services or
outside contractors related to authorized projects, materials, mileage, postage, telephone,
and other relevant out-of-pocket expenses). It is understood that fees and expenses will
not exceed ten thousand ($10,000) dollars without further authorization from Town
Board. Peconic Land Trust shall supply information regarding services they have
performed as may be requested by the town.
This Agreement shall commence as of July 1, 2008, and shall expire December 31, 2008,
unless terminated pursuant to the terms of this Agreement.
Either party upon thirty (30) days written notice for any reason may terminate this
Agreement. In that event, Peconic Land Trust shall be compensated for the value of
services actually performed prior to termination.
The Town Board pursuant to resolution may modify only in writing and upon approval
this Agreement
7. This Agreement shall be construed according to the laws of the State of New York.
IN WITNESS WHEREOF, this Agreement has been duly executed by the parties hereto.
