party ofthc first part, and AUDREY N. LUDEMANN, 32 Saddle Ridge Road, Wilton,
Connecticut 06897, NICHOLAS B. NOYES. 21 Oak Road, Concord, Massachusetts 01742,
TALBOT!' NOYES,I009 Poplar Hill Road, Baltimore, Maryland 21210, and ROBERT T.
NOYES, 628 Scotswood Cirele, Knoxville, Tennessee 37919, as tenants in common, party of the
second part,
WITNESSETH, that the party of the first part does hereby grant and release unto
the panies of the second part, the heirs or successors and assigns of the party of the second part
forever,
ALL that certain plot, piece or parcel of land, with the buildings and
improvements thereon creeted, situate, lying and being on Fishers Island, in the Town of
Southold, County of Suffolk, State of New York, bounded and described as follows:
BEGINNING at a stone monument set on the northwesterly side of a road forty
feet wide, said monument being three thousand nine hundred and ninety-four and forty
hundredths feel West of a point w,!ich is six hundred thirty-four and six hundredths feet South of
another monument marking the U.S. Coast and Geodetic Survey Triangulation Station
"Chocomount 2" (which said "Chocomount 2" monumcnt is located on the summit ofthc'highest
hill on Fishers Island, N. Y. about two and one-quarter miles West of the Eastern end of Fishers
Island and lies South seventy-nine degrees twenty-nine minutes forty-six seconds East of north
Dumpling Light in Fishers Island Sound);
THENCE RUNNING along the northwesterly side of said road South sixty-one
degrees twenty-seven minutes forty seconds West two hundred and fifty and thirty-three
hundredths fcet to a stake marking a point of curve to the right whose radius is seven hundred
and eighty-three and ninety-five hundredths feet and the direction of whose radius al that point is
North twenty-eighl degrees thirty-two minutes twenty seconds West;
THENCE southwesterly along the northwesterly line of said road (following the
are of said curve) one hundred and seven and Iwenty-nine hundredths feet to a stake;
THENCE North twenty-five degrees Ihirty-eight minutes no seconds West eighty
and twcnty-cighl hundredths feet;
THENCE North thirty degrees sixteen minutes forty seconds East forty-four and
four hundredlhs feel;
THENCE North eighl degrees forty-six minutes twenty seconds East forty-two
and thirty-seven hundredths feet;
THENCE North thirty degrees thirty-seven minutes forty seconds West thirty-
nine and ten hundredths feet;

THENCE with the meanders of said sound, North eighty-six degrees forty-five
minutes fifty seconds East one hundn:d and five and ninety-five hundredths feet and North forty
degrees, forty-nine minutes no seconds East eighty-seven and sixty hundredths feet to a stake;
THENCE South thirty-three degrees four minutes fifty seconds East two hundred
and seventy-nine and ten hundredths feet to the point of BEGINNING.
TOGETHER with all right, title and interest of the party of the first part in and to
the land which may lie between the respective meander lines above described and the actual high
water mark and in and to the shore of Fishers Island Sound in front of and adjoining said
premises.
TOGETHER with an easement for ingress and egress from the premises hereby
conveyed over and along such private roads as now or may hereafter exist connecting the
premises hereby conveyed with the public highway; provided, however, that Fishers Island
Estates, Inc., its suceessors or assigns, may change the location, route or grade of said roads from
time to time, provided that sueh ehange shall not prevent adequate access to the premises hereby
conveyed.
BEING the same premises acquired by Jansen Noyes, Jr. as Executor of the Estate
of Blancke Noyes, deceased, by deed of Comfort P. O'Connor, dated November 2, 1978 and
recorded in the Suffolk County Clerk's Office at Liber 8534, Page 198 on November 16, 1978,
the same premises acquired by Margaret T. Noyes by deed of Jansen Noyes, Jr., as Executor of
the Estate of Blaneke Noyes, deceased, dated July 14, 1983 and recorded in the Suffolk County
Clerk's Office at Liber 9497, Page 135 on January 18, 1984 and the same premises acquired by
Margaret T. Noyes and Audrey N. Ludemann, as Trustees of the Trust under Agreement dated
June 16, 1993 and recorded in the Suffolk County Clerk's Office in Liber 11655 at Page MU.
TOGETHER with all right, title and interest, if any, of the party of the first part in
and to any streets and roads abutting the above described premises to the center lines thereof.
TOGETHER with the appurtenances, and all the estate and rights of the party of
the first part in and to said premises.
TO HAVE AND TO HOLD the premises herein granted unto the parties of the
second part, the heirs or successors and assigns of the parties of the second part forever.
AND the party of the first part covenants that the party of the first part has not
done or suffered anything whereby the said premises have been incumbered in any way
whatever, except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law,
covenants that the party of the first part will receive the consideration for this conveyance and
will hold the right to receive such consideration as a trust fund to be applied first for the purpose

of paying the cost of the improvement and will apply the same first to the payment of the cost of
tlte improvement before using any part of the total of the same for any other purpose.
The word ''party'' shall be conslnIed as ifit read "partics" whenever the sense of
this Indenture so requires.
