THIS INDENTURE, made the 28th day of December, in the year 2006

party of the first part, and KACHEM. LLC. a Delaware limited liability company, with office
and place of business at 88 Ely's Ferry Road, Lyme, CT 06371,
party of the second part,
WITNESSETH,that the party ofllhe lirst part, in consideration often dollars and other valuable
consideration paid by the party of the second part, does hereby grant and release unto the party of
the second part, the heirs or successors and assigns of the party of the second part forever,
ALL that certain plot, piece or parcel of land, situate, lying and'being at Fishers Island, in the
Town of Southold, County of Suffolk and state of New York. more particularly bounded and
described as follows:
BEGINNING at a point located on the northerly side of a 45 foot road, said point being
set 1171.84 feet north of a point which is 935.94 feet west of a point, marking the U. S. Coast &
Geodetic Survey Triangulation Station "Chocomount 2", which said ''Chocomount 2" is located
on the swnmit of the highest hill4)n Fishers Island, New York, about 2-1/4 miles west of the
eastern end of Fishers Island and llies South 79 degrees 29 minutes 46 seconds East of North
Dumpling Light in Fishers Island Sound;
running thence Westerly along the northerly side of said 45 foot road along the arc of a
curve bearing to the left, having a radius of247.99 feet, a distance of 171.09' feet to a point of
tangent;
thence South 81 degrees 59 minutes 40 seconds West still along the northerly side of said
45 foot road 66.67 feet to a point of curve;
thence Westerly and northwesterly still along the northerly and northeasterly side of said
45 foot road along the arc: of a cw'Ve bearing to the right, having a radius of 153.18 feet, a
distance of 251.42 feet;
thence North 54 degrees 27 minutes 30 seconds East 378.29 feet to fL monument situate
1,559.23 fed north and 1,030.86 feet west ofabove mentioned ''Chocomowlt 2";
thence South 1 3 degrees 46 minutes 00 seconds East 398.84 feet to the point or place of
BEGINNING.
TOGETHER WITH an easement or right-of-way for ingress to and egress from said
premises above described over 8I1td along such private roads of Fishers Island Development
Corporation as connect to the public highway.
BEING AND INTENDED TO BE the same premises as contained in Deed dated
December 14, 19n and recorded in the Suffolk County Clerk's Office in Liber 7335 Page 236.
BEING KNOWN AS Suffolk County Tax Map District 1000, Secticln 003.00, Block
03,00, Lot 004.000.
SUBJECT to Covenants and Restrictions recorded in the Suffolk County Clerk's Office
in !Liber 12404, Page 14, and Lib:r 12405, Page 261.

TOGETHER with all right, title and interest, ifany, of the party of the first part in and to any
streets and mads abutting the above described premises to the center lines thereof; TOGETHER
with the appW1enanees and all the: estate and rights of the party of the first part in and to said
premises; TO HAVE AND TO HOLD the premises herein granted unto the party of the second
part, the heirs or successors and assigns of the party of the second pan forever.
AND the party of the first part covenants that the party of the first part has not done or suffered
anything whereby the said premises have been encumbered in any way whatever, except as
aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Luw, covenants that
the party of1:he first part will TCCeiive the consideration for this conveyance and will hold the right
to receive such consideration as a trust fund to be applied first for the purpose of paying the cost
of the improvement and will apply the same first to the ilayment of the cost of the improvement
before using any part of the total (If the same for any other purpose.
The word "party" shall be constru,cd as if it read "panies. whenever the sense of this indenture so
requires.
