Map No. 9044, said Lot No.1 beling monl particularly bounded and described as set forth on Schedule A hereto.
BEING AND INTENDED TO BEa part of the same premises conveyed to the party of the first part by deed, dated
June 6, 1966 and recorded In th'l Office of the Suffolk County Clerk on June 12, 1966 in Liber5973 page 17.

Alii that certain plot, piece or parcel of land, situate, lying and being at Fishers Island, Town
of Southold. County of Suffolk llnd State of New York, bounded and described as follows:
BEGINNING at a point on the northerly line of Central Avenue, said point being located
3647.55 feet North of a point which is 1811.87 feet West of a monument marking the
United States Coast and Geodetic Survey Triangulation Station .PROS.; and
RUNNING THENCE North 11 (jegrees 46 minutes 00 seconds East, 129.86 feet;
THENCE North 78 degrees 14 minutes 00 seconds West, 7.22 feet;
THENCE North 10 minutes 49 minutes 00 seconds East, 100.00 feet;
THENCE North 82 degrees 40 minutes 00 seconds East, 180.00 feet;
THENCE North 82 degrees 40 minutes 00 seconds East. 41.83 feet;
THENCE South 14 minutes 31 minutes 20 seconds West. 324.82 feet to a monument on
thE! northerly line of Central Avenue;
THENCE along the northerly line of Crescent Avenue North 71 degrees 27 minutes 10
sec:onds West, 186.43 feet to the point of BEGINNING.
SUBJECT TO the rights-of-way for a water main and for a pOle line through strips of land
ten (10) feet in width as described in the deed recorded in Libel' 5973 page 23 to the
extent the same traverse the above-described premises.
SUBJECT TO an easement and right-of-way for the erection, use, maintenance and repair
of utility poles and wires over a strip of land ten (10) feet in width which is hereby reserved
by 'Ihe party of the first part, the westerly edge of such easement area being described as
follows:
BEGINNING at a point in the nClrtherly line of Central Avenue, said point being South 71
degrees 27 minutes 10 seconds East, 16.62 feet from the southwesterly comer of the
herein described tract being conveyed to Island Health Project, Inc., said comer also being
located 3647.55 feet North ofa point which is 1811.87 feet West of a monument marking
the United State Coast and Geodetic Survey Triangulation Station .PROS.; and
RUNNING THENCE North 08 degrees 34 minutes 17 seconds East. 210.39 feet to the
sOlJltherly edge of an existing utillily easemen!.
SUBJECT TO the following covenants and agreements which shall run with the land and
shall be binding upon and inure to the benefit of the party of the first part and the party of
the second part and their respective successors and assigns.
(1) The party of Ihe second part will nol sell, conveyor otherwise transfer the
premises conveyed hereby (the "Premises.) unless it shall have first offered the Premises
for :;ale to the party of the first part in accordance with the further terms set forth herein.
(2) If the party of the !;econd part desires to sell, conveyor otherwise transfer
,
the Premises, it shall first obtain a bona fide written offer from a third party for the purchase
of the Premises for cash. The party of the second part shall then offer to sell the Premises
to the party of the first part at the same price and upon the same terms and conditions as
the bona fide offer. Such offer shall be made by delivery to the party of the first part of a
ccmtract of sale containing the 'same price and the same terms and conditions as the bona
fide offer. The party of the first part shall have a period of twenty (20) business days from
receipt of such contract within which to accept such offer. The party of the first part may
ac:cept such offer only by signing and returning to the party of the second part or its
attorney an executed copy of such contract, together with any required down payment,
within thl!l aforesaid twenty-day period.
(3) If the party of the first part does not sign and return the contract for the sale
and purchase of the Premises, 'logetherwith the required down payment, within the twenty-
day period spedfied in clause (2) above, the party of the second part may consummate
the sale, conveyance or other transfer to the third party pursuant to the terms of the bona
fide offer without further action by the party of the first part so long as title passes to such
thiird party offeror within six months after the expiration of such twenty-day period at the
same price and on the same terms and conditions. If title does not so pass within such six-
mc)nth period, then the party of the second part shall be required to re-offer the Premises
to the party of the first part pursuant to the terms hereof before it shall be entitled to sell,
conveyor otherwise transfer the Premises to the third party offeror.
(4) Waiver of or failure to exerdse the foregoing right to re-purchase the
Premises by the party of the first part In one instance shall not terminate such right and the
covenants and agreements of the parties as set forth herein shall continue to apply to
future prospective sales, conveyances or other transfers by subsequent owners of the
Premises.
