BARGAIN AND SALE DEED WITH COVENANT AGAINST GRANTOR'S
ACTS (INDIVIDUAL OR CORPORATION)

CAUTION: THIS AGREEMENT SHOULD BE PREPARED BY AN ATTORNEY AND REVIEWED BY ATTORNEYS FOR SELLER AND
PURCHASER BEFORE SIGNING.
THIS INDENTURE, made the May / 2001,
between THOMAS R. CORNWELL, residing at 631 Glenridge Drive, Bridgewater, NJ 08807
party of the first part, and

WITNESSETH, that the party of the first part, in consideration of Ten Dollars and other lawful
consideration, lawful money of the United States, paid by the party of the second part, does hereby grant attd
release unto the party of the second part, the heirs or successors and assigns of the party of the second part
forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon erected,
situate, lying and being in the Town of Southold, County of Suffolk and State of New York,
SEE SCHEDULE `A' ATTACHED HERETO AND MADE A PART HEREOF
TOGETHER with all right, title and interest, if any, of the patty of the first part in attd to any streets and
roads abutting the above described premises to the center lines thereof,
TOGETHER with the appurtenances and all the estate and rights of the party of the first part in and to
said premises,
TO HAVE AND TO HOLD the premises herein granted unto the party of the second part, the heirs or
successors and assigns of the party of the second part forever.
AND the party of the first part, covenants that the party of the first part has not done or suffered anything
whereby the said premises have been encumbered in any way whatever, except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party
of the first part will receive the consideration for this conveyance and will hold the right to receive such
consideration as a trust fund to be applied first for the purpose of paying the cost of the improvement and will
apply the same first to the payment of the cost of [he improvement before using any part of the total of the same
for any other purpose.
The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so
requires.

SCHEDULE A-1 (Description)
AMENDED 12/20/00
ALL that certain lot, piece or pazcel of land, situate, lying and being at Nassau Point, Town of Southold, Suffolk County,
New York, known and designated on a certain map entitled, "Map of Proposed Subdivision, Section C, Nassau Point Club
Properties Inc., situate at Nassau Point, Suffolk County, New York," surveyed by Halsey and Van Tuyl C.E. & S. June 21,
1919 filed in the Suffolk County Clerk's Office 12-21-1920 under File No. 7S as the North half of Lot 277, all of Lot 276
and the South half of Lot 275, said lot and parts of lots being bounded and described as follows:
BEGINNING at a monument set in the Westerly side of West Cove Road (Broadwaters Road) at the Southeast corner of
the premises herein described;
RUNNING THENCE South 83 degrees 38 minutes 20 seconds West through Lot 277 and passing through a monument,
366.62 feet to the high water mark of Cutchogue Harbor;
RUNNING THENCE on a tie line course and distance of North 47 degrees 21 minutes 40 seconds West along said high
water mark 174.71 feet to the East side of Landing Road;
RUNNING THENCE North 14 degrees 42 minutes 40 seconds East along the East side of Landing Road 52.20 feet;
RUNNING THENCE South 88 degrees 36 minutes 40 seconds East through said Lot 27S and passing through a
monument 436.67 feet to a monument on the West side of West Cove Road (Broadwaters Road);
RUNNING THENCE in a Southeasterly direction along the West side of said road on the arc of a curve bearing to the lefr
as measured by a tie line course and distance of South 20 degrees OS minutes SO seconds East 12S.3S feet to the point or
place of BEGINNING.
THE POLICY TO BE ISSUED under this commitment will insure the title to such buildings and improvements on the premises which
by !aw constitute real property.
FOR CONVEYANCING ONLY.• Together with all the right, title and interest ojthe party ojthe first part, ojin and to the land lying
in the street in front ojand adjoining said premises.
