Dated: June /~, 2008 WHEREAS, the County of Suffolk Department of Public Works (hereinafter the "County") is intending to engage in certain road improvement activities along County Route 48 in Southold, New York; and WHEREAS, the County has contracted with NKC, Inc. (hereinafter the "Contractor") to perform such work; and WHEREAS, the Contractor desires to use a portion of the Town-owned parking lot at Town Beach, Southold, New York, in support of its road improvement activities; and WHEREAS, the Town is willing to support the County's road improvement activities, for a limited duration and subject to the circumscribed use of the Town's property, among other protections to be provided to the Town; THE PARTIES HEREBY AGREE, as follows: Beginning immediately, for a period of no longer than six (6) months, unless extended in a writing signed by both parties, the County and Contractor may use a certain portion of Town Beach in support of the County's road improvement activities. The portion of Town Beach that may be used by the County and Contractor is limited to the "Hatched Area" as depicted on the Town Beach Site Plan attached hereto and incorporated as part of this Agreement. 3. As noted on the site plan, the Contractor agrees to limit its use to the "Hatched Area", to maintain a 45-foot distance between the area to be used by the Contractor and the northerly end of the asphalt parking lot area, and to contain its activities such that sufficient room is maintained available for trailer access to the Town Beach boat ramp by the general public at all times. 4. The Contractor will install a hay bale line and silt fence to prevent construction run-off from reaching the natural protective features of the site. 5. Following the conclusion of its permitted use, the Contractor will restore the site to its condition prior to such use, including patching and repairing all asphalt surfaces and shoulder areas damaged by construction activity, to the sole satisfaction of the Town. 6. The Contractor shall provide the Town with an insurance certificate in an amount no less than $1 million, naming the Town as an additional insured as it relates to the Contractor's activities at the Town Beach site.
