County of Suffolk, as amended, and the right to preserve open

restrict the use of the premises for any purpose other than
agricultural production, to the property described as follows:
ALL, that piece or parcel of land, situated in the Town of
Southold, County of Suffolk, and State of New York, more
particularly bounded and described as follows: (see description
annexed hereto and made a part hereofl :

successors and assigns, forever;

Main Road (NYS Route 25) over a strip of land 25 feet in width
as set forth in Schedule -A".

righ't of way that runs from Cedar Lane North and eaBterly to lot
number 3. in order to obtain the normal right of ingress and
egre;sB to and from the North Parcel and South Parcel of the
premises conveyed herein, as Bet forth-in Schedule -A-.
AIlD the PARTY OF THE FIRST PART covenantB that the PARTY OF

said premises have been encumbered in any way whatever, except
aB a,foreBaid. The PARTY OF THE FIRST PART, as a covenant

TBB development rights conveyed herein are subject to the
further terms and provisions as set forth in a certain contract
of sale between the parties hereto dated June 29,2001 as the
same is recorded in the office of the Suffolk County Clerk on
September 25, 2001 in Liber 12143 cp 578, portions of which as
contained herein have and will survive the delivery of this
instrument of conveyance.

other arrangement, covenants and agrees that it will not remove

Agreement (N.Y.S. Contract No. C800500. CIA Ref. No. MNSRV #01-
PL-OCl3I, dated Auaust 15. 2000, between New York State
Depa>:tment of Agriculture and Markets, having its principal
plaCE! of business at 1 Winners Circle, Albany, N.Y. and PARTY OF
THE SECOND PART, as Contractor, acting through its duly
const,ituted DEPARTMENT OF PLANNING, located at 100 Veterans
Memor'ia1 'Highway, P.O. Box 6100, Hauppauge, New York 11788; and
is applicable only for that portion of funds received pursuant
to Appendix "EO and Appendix "FO thereof, pursuant to a
Cooperative Agreement between the United States of America
Commodity Credit Corporation and the N.Y.S. Department of
Agric:u1ture and Markets for the Farmland Protection Program:

Contingent Right in the united States of America:
In the event that the PARTY OF THE SECOND PART
fails to enforce any of the terms of this
easement (or other interests in land), as
determined in the sole discretion of the
Secretary of the United States Department of
Agriculture, the said Secretary of Agriculture
and his or her successors and assigns shall have
the right to enforce the terms of the easement
through any and all authorities available under
Federal or State law.

In the event that the PARTY OF THE SECOND PART
attempts to terminate, transfer, or otherwise
divest itself of any rights, title, or interests
of this easement (or other interests in land)
without the prior consent of the Secretary of
the United States Department of Agriculture and
payment of consideration to the United States,
then, at the option of such Secretary, all
right, title, and interest in this easement (or
other interests in land) shall become vested in
the UNITED STATES OF AMERICA, by and through the
united States Department of Agriculture, its
successors and assigns.
