THIS INDENTURE, made Ihe 25th day of April 2003, hetwHD Richard L. O'Toole, as Executor of the
Last Will and Testamenl of Joan B. Halligan (Joan B. Halligan, being the surviving tenant by the entirety of
Joseph P.l-lalligan and Joan B. Halliganl, late of 2475 Bay Avenue, Mallitoek, New York 11952, who died on
the Nineteenth day of September, Two Thousand Two, party oflhe first part, and
Stephen Cubclls and Karen Cubells, his wife, of 10 Imperial Drive, Miller Place, New York 11764, partl' of the
second pari,
WITNESSETH, that the party of the first part, to whom Lellers Te.~tamentary were issued by th<<:
Surrogate's Court, Suffolk Counly, New York on November 4, 2002 and by virtue of the power and authority
giYell in and by said Last Will and Testament and/or by Article II of the Estates, Powers and Trusts Law, and in
consideration 01'$670,000.00 dollars, lawful money of the United States, paid by the party of the second part,
does hereby grant and release unto the party of the second part, the distributees or successors and assigns oflhe
party of the second part forever,
AU that certain plot, picce or pareel ofland, situate, lying and being at Mallituck, in the Town elf
Southold, County of Suffolk and State ofNcw York, being more particularly bounded and described as filllows:
BEGINNING al a point on the easterly side of Bay Avenue distant 260.57 feet northerly from the comer
formed by the intersection ilf the easterly side of Bay A venue and the northerly side of Rochelle 1>lace
and from said point of beginning:
RUNNING THENCE along the easterly side of said Bay Avenue, North 34 degrees 42 minutes 20
seconds West, 125.38 feet to land now or formerly of Mercurio;
RUNNING THENCE along land, North 67 degrees 26 minutes 50 seconds East 342.95 feet to James
Creek:
RUNNING THENCE along the Same on a tie line bearing South 06 degrees 53 minutes 11 seconds East
123.45 fect to land now or formerly of Sian ley;
RUNNING THENCE along said land, South 66 degrees 38 minutes 30 seconds Wesl 283.18 feet 10 the
easterly side of Bay Avenue to the point or place of BEGINNING.
TOGETHER with all the right, title and interest oflhe panics orlhe firsl part of, in and to the land lying
in front of and adjoining said premises to the center line thereof.
TOGETHER with all right, title and interest, ifany, of the party of the first part in and 10 any streets and
roads abutting the above described premises to the center lines thereof,

TOGETHER with lhe appurtenances, and also all the estate which Ihe said dccedenl had at the time of
decedent's death in said premises, and also the estate therein, which the party of the lirst part has or has power 10
conVll)' or dispose of. whether individually, or by virtue of said will or otherwise.
TO HA VE AND TO HOLD Ihe premises herein granted unlO Ihe party of Ihe second part, the heirs or
successors and assigns of lhe party of the second part forever.
AND the party oflbe first part covenants that the party of the first part has not done or suffcred anything
whereby the said premises have been encumbered in any way whatever, except as albresaid.
AND the party ofthe first part, in compliance wilh Section 13 of the Lien I.aw, covenants that the party
of the first part will receive the consideration for this conveyance and will hold the right to receive such
consideration as a trust fund to be applied first for the purpose of paying lhe costs of the improvement and will
apply the same first to tho payment of the cost of the improvement before using any part of the total oftbe same
for an:r other purpose.
The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so

SAID PREMISES being and intended to be the same premises conveyed to Joseph P. Halligan and Joan
B. Halligan, his wife, from Harold G. Baldwin by Deeddatcd May 17, 1976 and recorded in theOffiee of the
