WITNESSETH, that the party oftbe first part, in consideration ofTen Dollars and other valuable
consideration paid by the party of I:hc second pan, does hereby grant and release unto thc party
ofth'e second part, the hcirs or succlessors and assigns of the party of the second part forever,
ALL THAT CERTAIN plot, piece or parcel of land, with the buildings thereon erected,
siw8Ite, lying and being in the Town of Southold, County of Suffolk, and Slate of New York,

Tuyl. C.E., and filed as Map No. 1275, in the Office of the Clerk of Suffolk County on
3113/39.
BEING AND INTENDED TO BE the same premises conveyed to the party of the first part by
deed from James I. Monsell dated December 9, 2002, and heretofore recorded in the Suffolk
County Clerk's Office.
RESERVING, HOWEVER, a legal life estate in the above-described premises with the
buildings and improve!11eilts thereon erected, in and to the party of the'first pari.
THE PARTY OF THE FIRST PART HEREBY RESERVES A SPECIAL POWER OF
APPOINTMENT, exercisable as cften as they may choose, to change thejr remaindennan as
follows:
TO or among anyone or more members of a class consisting of the party of Ihe first part's
descendants, in any degree, whelhc:r presently living or born hereafter, in such proportions and
amounts, wilhout regard to equality, oUlright or in trusl, as !be party of Ihe first pan may
direct and appoint during Iheir Iifi:time by a properly wriuen and acknowledged instrument,
and recorded prior to dealh, making specifIC reference to this power of appointment. The
party of Ihe first pari may not apP(Iint Ihemselves, their estaleS, their creditors or Ihe creditors
of Ihl:ir eslate, under any circumstances.
TOGETHER with all right, title a.nd interest, if any, of Ihe party of the first pan in and 10 any
streds and roads abutting the above described premises 10 the center lines thereof; TOGETHER
with the appunenances and all the~ eslale and rights of thc party of the first part in and 10 said
premises: TO HAVE AND TO HOLD the premises herein granled unto the party of the second
part" the heirs or successors and assigns of the party of the second part forever.
AND the party of the firsl part eo~'enants that the party of the first part has not done or suffered
anything whereby the said prcmi!ics have becn encumbered in any way whatcvcr, except as
afofl~said.
AND the party of the first pan, in compliance with Section 13 of the Lien Law, covenants that
the party of the first pan will recl~ive the consideration for this conveyance and will hold the
righ! to receive sueh eonsidcrationas a trust fund to be applied first for the purpose of paying the
cost of Ihe improvement and willi apply the same first to the payment of the cost of the
improvement before using any pan of Ihe total of the same for any other purpose.
The word "pany" shall bc construed as if it read "parties" whenever the sense of this indenture so
requ ires.
