party of the first part, and LAUREL LINKS, LTD., with an address at Main Road, Jamesport, New York 11947
party of the second part,
WITNESSETH, that the party of the first part, in consideration of ten ($10.00) and other valuable
consideration paid by the party of the second part, does hereby grant and release unto the party of the
second part, the heirs or successors and assigns of the party of the second part forever,
ALL that certain plot, piece or palCcel of land, situate, lying and being at Laurel, in the Town of Southold,
County of Suffolk and State of New York, known and designated as Lots 1 through 29 inclusive, Open Space
Parcel A, Open Space Parcel B and the roads known as Laurel Trail, Laurel Way and Laurel Court, all as
more particularly set forth on a certain map entitled 'Map of Laurel Links at Mattituck, Town of Southold,
Suffolk County, New York" which map was filed in the Office of the Clerk of the County of Suffol.k on
November 23, 2001 at Map NO.1 0712 and which property is more particularly bounded and dllscribed on
Schedule 'A", annexed hereto an,j made a part hereof.
RESERVING to itself for the benefit of the party of the first part, its successors and assigns, the easements,
Iic:enses, rights and privileges of a right of way in, through, under, over and across the roads known as Laurel
Trail, Laurel Way and Laurel Court, the 25' Emergency Access Easement, the Utility Easement on Lot no.
17and Open Space Parcel 'A" all as shown on the Map of Laurel Links Map No. 10712 referred to above for
the purpose of completing its work and maintaining same, and to that end, the party of the first part reserves
the right to grant and reserve easements and rights of way in, through, under, over and across aforesaid
property for the installation, maintenance and inspection of lines and appurtenances for public or private.
water, sewer, drainage, cable television, gas, electricity and other utilities and for any other materials and
se'rvices necessary for the completion and maintenance of the improvements on the adjoining property of the
party of the first part.
RESERVING to itself for the benefit of the party of the first part, its successors and assigns, the right to
connect with and make use of the utility lines, wires, pipes, conduits, cable television, sewers and drainage
lines which may from time to time be in or along the roads, Emergency Access Easement andthe Utility
Easement being conveyed hereunder.

TOGETHER with all right, title and interest, if any, of the party of the first part in and to any streets and roads
at'utting the above described premises to the center lines thereof; TOGETHER with the appurtenances and
all the estate and rights of the party of the first part in and to said premises; TO HAVE AND TO HOLD the
pr,emises herein granted unto the party of the second part, the heirs or successors and assigns of the party of
the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered any1hing
whereby the said premises have been encumbered in any way whatever, except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of the
first part will receive the consideration for this conveyance and will hold the right to receive such consideration
as a trust fund to be applied first for the purpose of paying the cost of the improvement and will apply the
same first to the payment of the cost of the improvement before using any part of the total of the same .for
any other purpose. The worn 'party" shall be construed as if it read 'parties" when ever the sense of this'
indenture so requires.
