to whom Letters Testamentary were issued by the
Surrogate's Court, Suffolk County, New York on May
3, 2002, (File .B33P2002) and by virtue of the
power and authority given in and by said Last Will
and Testament, and/or by Article 11 of Estates,
Powers and Trusts Law, and in consideration of
Three-Hundred Twenty-Seven Thousand ($327,000.001
Dollars paid by the party of the second part, does
hereby grant and release unto the party of the
second part, the distributees or successors and
assigns of the party of the second part forever,

with the buildings and improvements thereon
erected, situate, lying and being at Mattituck, in
the Town of Southold, County of Suffolk, and State
of New York, known and designated as Lot 2 as shown
on a certain map entitled, -Map of Village MAnor,.
filed in the Office of the Clerk of the County of
Suffolk on 10/24/62 as Map NO. 3669, being bounded
and described as follows:
BEGINNING at a point on the westerly side of
Village Lane, distant 362.15 feet northeast, as
measured along the westerly side of Village Lane,
from the corner formed by the intersection of the
westerly side of Village Lane and the northerly
side of Main Road (N.Y.S. Rte. 25);

Being and Intended to be the same
premises conveyed to Evelyn A. Merchant and Thomas
Merchant, her husband, herein by Deed dated October
30, 1978, and recorded in the Office of the Clerk
of Suffolk County on November 6, 1978, in Liber
8528 at Page 33.
Together with all right, title and interest, if
any, of the party of the first part in and to any
streets and roads abutting the above described
premises to the center lines thereof,
Together with the appurtenances, and also all
the estate which the said decedent had at the time
of decedent'S death in said premises, and also the
estate therein, which the party of the first part
has or has power to conveyor dispose of, whether
individually, or by virtue of said will of
otherwise;
To have and to hold the premises herein
granted unto the party of the second part, the
distributees or successors and assigns of the party
of the second part forever.

the party of the first part has not done or
suffered anything whereby the said premises have
been encumber,ed in any way whatever. except as
aforesaid.

with Section 13 of the Lien Law, convenants that
the party of the first part will receive the
consideration for this conveyance and will hold the
right to receive such consideration as a trust fund
to be applied first for the purpose of paying the
cost of the improvement and will apply the same
first to the payment of the cost of the improvement
before using any part of the total of the same for
any other purpose.
