MACARI FARMS WEST, LLC, a New York limited iiability company having offices at 95-40
Roosevelt Avenue, Jackson Heights, New York 11372, party of the second part,

valuable consideration paid by the party of the second part, does hereby grant and release unto the party of
the second part, the heirs or successors and assigns of the party of the second part forever,

lying and being in the Hamlet of Mattituck, Town of Southold, County of Suffolk and State of New York,
bounded and described as follows:
BEGINNING at a point on the northerly side of Sound Avenue distant 438,20 feet westerly when measured
along the northerly side of Sound Avenue from the corner formed by the intersection of the northerly side of
Sound Avenue with the westerly side of Bergen Avenue;
RUNNING THENCE North 70 degrees 56 minutes 00 seconds West along the northerly side of Sound Avenue
78.60 feet;
THENCE North 72 degrees 08 minutes 30 seconds West still along the northerly side of Sound Avenue 247.40
feet to land ':low or formerly of William Entenmann;
THENCE northerly, easterly and southerly along last mentioned land, the following three courses and
distances:
1. North 14 degrees 11 minutes 30 seconds East 160.00 feet;
2. South 85 degrees 06 minutes 50 seconds East 200.00 feet;
3. South 16 degre~s 3_:3. ll1_i[1utes 50 seconds East 250.00 feet,to the northerly side of Sound Avenue at the
point or place of BEGINNING:
BEING _AND 'INTENDED' TO BE the same premises conveyed to the party of the first part by deed dated
August',16, 1999""re~cir~eq~C?vember 12, 1999 in Liber 12000 page 420.
This conveyance is made in the regular course of business actually conducted by the party of the first part and
does not constitute a conveyance of substantially all of its assets. This conveyance was approved by a vote of
at least two-thirds of the stockholders of the party of the first part
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any streets and roads
abutting the above described premises to the center lines thereof; TOGETHER with the appurtenances and all
the estate and rights of the party of the first part in and to said premises; TO HAVE AND TO HOLD the
premises herein granted unto the party of the second part, the heirs or successors and assigns of the party of
the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything
whereby the said premises have been encumbered in any way whatever, except as aforesaid.
AND the party of the first part, incompliance with Section 13 of the Lien Law, covenants that the party of the
first part will receive the consideration for this conveyance and will hold the right to receive such consideration
as a tn.lst fund to be applied first for the purpose of paying the cost of the improvement and will apply the same
first to the payment of the, ~o:ttof the improvement before using any part of the total of the same for any other
purpose. The word ~party" shall be construed as if it read "parties" when ever the sense of this indenture so
requires.
