County Center, Center Drive, Riverhead, New York 11901, party of

WITNESSETH, that the party of the first part, in
consideration of ONE MILLION FORTY-FOUR THOUSAND and 00/100
($1, 044, 000 . 00) DOLLARS and other valuable consideration paid by
the party of the second part, does hereby grant and release unto
the party of the second part, the heirs oro successors and
assigns of the party of the second part forever,
ALL, that certain piece or parcel of land, situated in the
Town of Southold, County o$, Suffolk, and State of New
York, identified as Parcel I and Parcel II, more particularly
bounded and described as follows : (see description annexed
hereto and made a part hereof) :
THIS CONVEYANCE is made pursuant to Suffolk County Charter
Article XII, Section 3 (entitled "Suffolk County Drinking Water
Protection Program" ) as amended by Local Law No. 35 of 1988
which authorizes those portions of the premises which may later
be determined by Resolution of the Suffolk County Legislature as
being necessary for use for ' water supply production and
distribution, including ancillary facilities required
specifically for such production and distribution and all
rights-of-way for ingress and egress to the water supply
production and distribution facilities not to be dedicated to
naturepreserve purposes as set forth in Article I, Section, 7 of
the Suffolk County Charter. Once specified areas of the land
for the purposes hereinbefore set forth have been determined by
Resolution of the Suffolk County Legislature, those areas of the
land may be used for all purposes not inconsistent with Article
XII of the Suffolk County Charter as it now exists, or as it may
be amended in the future. This conveyance is further made
pursuant to Resolution Nos . 372-91, 677-96 and Resolution No.
920-93 of the Suffolk County Legislature.
BEING AND INTENDED to be part of the same premises conveyed
to JOSEPH T. MACARI and NISSIM ALHADEFF granting each an
undivided one-half interest from Mets Homes, Inc. , by deed dated
12/16/75 and recorded 12/22/75 in Liber 7962 cp 282 ;
BEING AND INTENDED to be part of the same premises conveyed
to JOSEPH T. MACARI by simultaneous deed dated May 10, 1999 from
JOSEPH T. MACARI and NISSIM ALHADEFF, said deed intended to be
recorded prior in time to this deed;
BEING AND INTENDED to be part of the same premises conveyed
to Peconic Land Trust by simultaneous closing deed dated October
25, 1999, said deed intended to be recorded prior in time to
this deed;
TOGETHER with all right, title and interest, if any, of the
party of the first part in and to any streets and roads abutting
the above described premises to' the center lines thereof;
TOGETHER with the appurtenances and all the estate and
rights of the party of the first part in and to said premises;
TOGETHER with benefits and subject to the burdens of a
right of way to and from Sound Avenue over a 20 foot right of
ay known as Laurel Lake Drive and a 25 foot right of way known
as Laurel Way, and a 25 foot right of way known as Crescent Way.
TOGETHER with benefits and subject to the burdens of a use
easement dated October 25, 1999 granted in perpetuity to the
Suffolk County Water Authority over Parcels lA and 1B being
art of Parcel I and described in Schedule A, annexed hereto
and made a part hereof, intended to be recorded prior in time to
this deed;
TO HAVE AND TO HOLD the premises herein granted unto the
arty of the second part, the heirs or successors and assigns of
the party of the second part forever.
AND the party of the first part covenants that the party of
the first part has not done or suffered anything whereby the
said premises have been encumbered in any way whatever, except
as aforesaid.
THIS CONVEYANCE is made in the regular course of business
actually conducted by the party of the first part and upon the
consent of its Board of Directors .
AND the party of the first part, in compliance with Section
13 of the Lien Law, covenants that the party of the first part
ill receive the consideration for this conveyance and will hold
the right to receive such consideration as a trust fund to be
applied first for the purpose of paying the cost of the
improvement and will apply the same first to the payment of the
cost of the improvement before using any part of the total of
the same for any other purpose.
THE WORD "PARTY" shall be construed as if it read "parties"
whenever the sense of this indenture so requires .
IN WITNESS WHEREOF, the party of the first part has duly
