THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2006-706 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
AUGUST 22,2006:
RESOLVED that the Town Board of the Town of Southold hereby authorizes and directs
Supervisor Scott A. Russell to execute the amendment to the contract with the Town Of
Southold dated February 11, 2005, proposed by Designed Learned, Inc. on August 18,
2006, with the proviso that Designed Learned, Inc. understands the Towns' goal of building an
animal shelter at a cost not to exceed $2.1 million(not inclusive of contingencies and
approximately $.5 million in site and other work not to be included in prospective bids).

Reference: Southold Animal Shelter Design Contract dated February 11,2005
This document is an Addendum to our existing contract under Exhibit A Part 2 Section A2.01(A)(3)(additional
services)for the purpose of redesigning the animal shelter to meet a smaller budget.
I. Town Contact: We understand that we will now report directly to the Council. Mr.Russell and Mr.
Wickham will act as liaisons to us for the purpose of communications and decisions.
2. Civil Engineering: Exhibit B (Owner's Responsibilities) Section B2.01(Q)of the original contract states that
the Town of Southold will: `Perform or provide the following additional services: All civil engineering,
surveying, environmental engineering, and soils engineering". We have assumed that this responsibility
remains intact with the Town and that they will provide civil engineering services on the redesigned concept.
We will provide:
J A redesign for an approximately 6,000 to 8,000 square foot building
I The associated changes in building type,building materials,&previous cost saving suggestions
I The redesign of the architectural&structural work
4 The redesign of the mechanical,plumbing,electrical,noise control,&animal care equipment
J One design meeting to review schematic design concepts approximately one month after approval
4 One meeting to review final construction documents approximately two months after fust meeting
I One bid meeting to review the plans with the bidders&respond to questions
We will provide the above services for a fixed fee of$80,860. This includes the fees for Design Learned, Inc.,
Studio a/b,and the structural engineer only. The previous low bid(inclusive of site work)came in at over
$320/square foot. This is one of the highest costs we have seen in the nation and astonished us. It is notable that we
have had similar cost issues in other New York projects(and only in New York). We will make every effort to
bring the new concept in at the budget based on this cost per square foot,however we cannot guarantee that New
York contractors will not further increase their costs.
The Town understands:
"k1d The construction administration portion of the original contract remains intact at$45,500
'k1d This funding is available to us in its entirety during construction
717{ The result of a smaller building will be a need for phasing additional kennel space in the future
')N4 This project will have reduced office space&fewer areas for get-acquainted rooms
Observation areas &animal control officer areas will also be reduced or possibly shared
1* There is a risk of animals being caged in hallways and offices during peak periods
