The responsibility for the prepazation of the strawberry festival and the pumpkin Festival and the holding of the festivals shall be the responsibility of MATTITUCK LIONS CLUB, and not that of MATTITUCK ASSOCIATES or Anthony Pirrera. It is fiuther understood and agreed that the MATTITUCK LIONS CLUB shall hold harmless and indemnify MATTITUCK ASSOCIATES, Anthony Pirrera, and each of his partners, from any liability arising out of the prepazation of the Leasehold Property for the festival or for any incidents arising from or during the festival itself, or any other claims made as a result of MATTITUCK LIONS CLUB'S negligence or willful acts through the termination date of this Lease. )n the event that MATTITUCK ASSOCIATES or any of its partners are sued as a result of the prepazation of the Leasehold Property for the strawberry festival or the pumpkin festival or incidents occurring during or after the festival, it is understood and agreed that the MATTITUCK LIONS CLUB will pay for any and all attorneys' fees to MATTITUCK ASSOCIATES .and/or any of its partners for defending such suit. MATTITUCK LIONS CLUB agrees to pay any and all reasonable attomeys' fees for the prosecution of any summary proceeding by Landlord to evict Tenant from the leasehold. MATTITUCK LIONS CLUB also agrees tc post a security deposit in the amount of $4,000.00, no later than April 1, 2000, to guazanty clean-up and removal of all debris caused by MATTITUCK LIONS CLUB or by the festival, and signs, no later than five days after the termination of this Lease. Nevil Southold Town Clerk LEASE dated this 4 day of ~ . , 1999, between MATTITUCK ASSOCIATES, a New York partnership, having an office at 239B East Main Street, Patchogue, New York 11772 ("Landlord"), and MATTITUCK LIONS CLUB, c/o W. Araneo, 460 Village Lane, Mattituck, New York 11952-0064 ("Tenant"), for property located north of County Road 48 and west of Shirley Road, Mattituck, New York, bearing a legal description of District 1000; Section 113; Block 12; Lot 15 (the "Leasehold Property"). The Leasehold Property is approximately 37 acres. The term of the Lease is from April 18, 2000, through and including June 25, 2000, and from October 1, 2000 through October 31, 2000. The parties agree that this Lease will automatically terminate upon ten days notification to Tenant. The MATTITUCK LIONS CLUB shall have the right to enter the property at its own cost and expense to prepaze the Leasehold Property for the festival. The prepazations shall include removing trees and shrubs, mowing, and seeding the property, installing a dry well for drainage and the posting of signs on the property to advertise the festival. Any and all modifications to the Leasehold Property must have the prior written consent of the Landlord, which will not be unreasonably withheld. It is fiuther understood that the MATTITUCK LIONS CLUB will procure all necessary permits for the operation of the strawberry festival and the pumpkin festival, and that they will comply with all local, state, and federal laws. Permits shall be obtained at the sole cost and expense of the MATTITUCK LIONS CLUB. The MATTITUCK LIONS CLUB will not be permitted to enter upon the Leasehold Property for any reason until MATTITUCK ASSOCIATES is famished with an insurance policy indicating coverage in the amount of $1,000,000.00 for liability, with MATTITUCK ASSOCIATES as named insured. The term of the policy must be for the full term of this Lease, and must indicate that it has been paid in full. ON CONDITION THAT the bond (indemnity insurance) required shall continue in full force and effect in favor of the Town of Southold, and PROVIDED that the actual point at which the fireworks are to be fired shall be at least two hundred feet from the nearest building, public highway or railroad, or other means of travel, and at least fifty feet from the nearest above ground telephone or telegraph line, trees or other overhead obstruction; that the audience at such display shall be restrained behind lines at least one hundred and fifty feet from the point at which the fireworks are discharged and only persons in active charge of the display shall be allowed inside these lines; that all fireworks that fire a projectile shall be so set up that the projectile will go in the air as nearby as possible in a vertical direction, unless such fireworks are to be fired from the shore or a lake or other large body of water, then they may be directed in such manner that the falling residue from the deflagration will fall into such lake or body of water; that any fireworks that remain unfired after the display is conducted shall be immediately disposed of in away safe for the particular type of fireworks remaining; that no fireworks display shall be held during any wind storm in which the wind reaches a velocity of more than thirty miles per hour; that all persons in actual charge of firing the fireworks shall be over the age of eighteen years, competent and physically fit for the task, that there shall be at least two such operators constantly on duty during the discharge and that at least two sodaacid or other approved type fire extinguishers of at least two and one-half gallons capacity each shall be kept at such widely separated points as possible within the actual area of the display.
