The following took place at a special meeting of the Southold Town Planning Board
held on Monday, November 22, 2004:
The public hearing was closed.
WHEREAS, MarketSpan, a KeySpan Energy Delivery Company, did submit to the
Town of Riverhead Planning Board an application for approval of a subdivision, Holly
Farms, which premises are located in both Riverhead and Southold at Sound Avenue,
Jamesport and Mattituck, NY; and
WHEREAS, this proposal is to subdivide SCTM#1000-120-1-1.2 into three lots where
Lot 10 equals 24.2 acres, the second lot (unnumbered) is a 25.5 foot right-of-way
sewing Lo[ 9 and is equal to .43 acres and the third lot, SCTM#1000-1 12-1-22, equals
10.39 acres and comprises a portion of Lot 11 on the Subdivision Map of Holly Farms;
therefore be it
RESOLVED, that the Southold Town Planning Board grant final approval on the plat
dated as revised August 9, 2004, and authorize the Chairperson to endorse the final
plat.
Enclosed please find a copy of the map that was endorsed by the Chairperson. The
mylar maps, which were also endorsed by the Chairperson, must be picked up at this

Town of Riverhead Planning Board an application for approval of a subdivision, Holly
Farms, which premises are located in both Riverhead and Southold at Sound Avenue,
Jamesport and Mattituck, NY; and
WHEREAS, this proposal is to subdivide SCTM#1000-120-1-1.2 into three lots where
Lot 10 equals 24.2 acres, the second lot (unnumbered) is a 25.5 foot right-of-way
serving Lot 9 and is equal to .43 acres and the third lot, SCTM#1000-112-1-22, equals
10.39 acres and comprises a portion of Lot 11 on the Subdivision Map of Holly Farms;
and
WHEREAS, no development is proposed within the Town of Southold; pursuant to
Chapter A106, the action is classified as a Conservation Subdivision; and
WHEREAS, the Town of Southold Planning Board supports the preservation of the
parcels in the Town of Southold. The subdivision and proposed conveyance of the land
to the State is consistent with the Town of Southold goals for the preservation of open
space and continuation of agriculture; and
RESOLVED, that the Southold Town Planning Board, acting under the State
Environmental Quality Review Act, do an uncoordinated review of this unlisted action.

The Planning Board establishes itself as lead agency, and as lead agency, makes a
determination of non-significance and grants a Negative Declaration; and be it further
RESOLVED, that the Southold Town Planning Board grant sketch plan approval on the
map dated as revised August 9, 2004; and be it further
RESOLVED, that the Southold Town Planning Board set Monday, November 22, 2004,
at 4:30 p.m. for a final public hearing on the maps, dated as revised August 9, 2004.
Please refer to the enclosed copy of Chapter 58, Notice of Public Hearing, in regard to
the Town's notification procedure. The notification form is enclosed for your use. The
sign and the post will need to be picked up at the Planning Board Office, Southold
Town Annex. Please return the enclosed Affidavit of Posting along with the
certified mailing receipts AND the signed green return receipt cards before 12:00
noon on Fridav. November 19th. The sign and the post need to be returned to the
Planning Board Office after the public hearing.
Sketch plan approval is conditional upon the submission of final maps within six months
of the date of sketch plan approval, unless an extension of time is requested by the
applicant, and granted by the Planning Board. The final maps must contain a current
stamp of Health Department

This notice is issued pursuant to Part 617 of the implementing regulations pertaining to
Article 7 (State Environmental Quality Review Act) of the Environmental Law.
The Southold Town Planning Board, as lead agency, has determined that the proposed
action described below will not have a significant effect on the environment and a Draft
Environmental Impact Statement will not be prepared.

Description of Action
This proposal is to subdivide SCTM#1000-120-1-1.2 into three lots where Lot 10
equals 24.2 acres, the second lot (unnumbered) is a 25.5 foot right-of-way serving Lot 9
and is equal to .43 acres and the third lot, SCTM#1000-112-1-22 equals 10.39 acres
and comprises a portion of Lot 11 on the subdivision map of Holly Farms.
Reasons Supporting This Determination:
An Environmental Assessment Form has been submitted and reviewed. No significant
impacts are expected to occur as a result of this action.
The determination was based upon the following:
No improvements are proposed at this time for either parcel.
No substantial adverse change in existing air quality, ground or surface water quality or
quantity, traffic or noise levels; increase in solid waste production; increase in potential
for erosion, flooding, leaching or drainage problems are expected to occur if the
proposed action is implemented as planned.
No removal or destruction of large quantities of vegetation or fauna is expected to occur
as a result of this action.
No substantial interference with the movement of any resident or migratory fish or
wildlife species; impacts on a significant habitat area; substantial adverse impacts on a
threatened or endangered species of animal or plant, or the habitat of such a species; or
other significant adverse impacts to natural resources will occur as a result of this
action.
No Critical Environmental Area as designated pursuant to subdivision 617.14(8) is
contiguous with the parcel.
The proposed action is not in a significant material conflict with a community's current
plans or goals as officially approved or adopted. Conversely, the action meets the
community's plans.
The parcels have been farmed and will remain in farming and/or open space. No known
archeological resources exist on site. The proposed action will not impair the character
or quality of important historical, archaeological, architectural, or aesthetic resources or
of existing community or neighborhood character. The action is consistent with the
community and neighborhood character.
No major change i the use of either the quantity or type of energy will occur.
No creation of a hazard to human health is expected to occur.
The proposed action will not cause a substantial change in the use, or intensity of use,
of land including agricultural, open space or recreational resources, or in its capacity to
support existing uses.
Based upon such, no significant adverse impacts to the environment are expected to occur
should the project be implemented as planned.

We are pleased to submit this minor subdivision application on behalf of the Trust for
Public Land. Along with this Cover Letter please find attached:
- Eight copies of sketch plan,
- Subdivision Application Form,
- Owner's Authorization Letter,
- Copy of New York State Dept. of Parks Easement,
- Copy of Property Deed from the Trust for Public Land to the State of New York,
- Environmental Assessment Form,
- Transactional Disclosure Form, and
- Copy of wetlands approvals from the NYSDEC and the Town of Southold Trustees
Peconic Land Trust is acting as managing agent for the Trust for Public Land in this
subdivision. New York State acquired the northern 224 acres of this property by deed on Sept.
30, 2003 (Liber 12275 p42 and 43). We have included this portion of the property as Lot 11 in
this subdivision application as a courtesy to Riverhead and Southold Towns so that the Planning
Boazds can approve the division. The State will manage the property as a State Park.
The southern 305 acres is owned by the Trust for Public Land and encumbered by an
easement held by New York State Department of Parks, Recreation and Historic Preservation
that restricts the property to agricultural use in perpetuity. Eight (8) farmers have been chosen to
purchase the proposed agricultural lots and return them to production. 20 acres will be given to
Hallockville Museum, and 5 acres will go to the Long Island Antique Power Association.

All of the proposed lots are located in the Town of Riverhead, except for portions of Lot
9, Lot 10 and Lot 11.
Due to the fact that the property is restricted and thus there will be no further residential
development, we respectfully request that this subdivision be reviewed under the standards for
minor subdivisions.

The following took place at a meeting of the Southold Town Planning Board held on
Monday, September 29, 2003:
WHEREAS, MarketSpan, a KeySpan Energy Delivery Company, did submit to the
Town of Riverhead Planning Board an application for approval of a subdivision, Holly
Park, which premises are located in both Riverhead and Southold at Sound Avenue,
Jamesport and Mattituck, NY, more particularly known as SCTM#0600-3-1-2.3 and
SCTM#1000-120-1-1.1; and
WHEREAS, the application made to the Town of Riverhead was to subdivide from
529.52 acres three lots: one lot being for the newly constructed Jamesport Substation
on 5.01 acres, a second lot for the existing emergency communications tower on 11.39
acres and the final large lot which is proposed to be used as open space and
agriculture on 497.63 acres within the Town of Riverhead and 31.89 acres within the
Town of Southold with a total of 529.52 acres to be preserved; and
WHEREAS, the Southold Town Planning Board did review the proposed map of Holly
Park which was submitted to the Town of Riverhead Planning Board, and has no
jurisdiction over the matter; and
WHEREAS, no action or development was proposed within the Town of Southold; and

WHEREAS, the acreage in the Town of Riverhead required approval from the
Riverhead Planning Board for subdivision of the existing structures referred to above,
which subdivision was granted by resolution on September 4, 2003 (resolution
attached), however, the acreage in the Town of Southold required no action by the
Southold Town Planning Board; and
WHEREAS, the Town of Southold Planning Board supports the preservation of the
parcel in the Town of Southold. The subdivision and proposed conveyance of the land
to the State is consistent with the Town of Southold goals for the preservation of open
space and continuation of agriculture; and
WHEREAS, the Town Of Southold supports the efforts of GoYYernor Pataki and the State
of New York in the preservation of this magnificent jewel on Atie North Fotk;~nd_

WHEREAS, even though no action was taken by the Plannin~'Board in the Town of
Southold, the Southold Town Planning Board Chairman's signature on the map is
technically required in order to file the subdivision map in the Office of the Suffolk
County Clerk in accordance with Real Property Law Section 335; therefore, be it
RESOLVED, that the Southold Town Planning Board authorized its Chairman to sign
the map of Holly Park on September 25, 2003.

Dear Chairman and Members of the Board:
I represent Keyspan with regard to the enclosed
application for a minor subdivision. The purpose of the
enclosed subdivision application is retain certain land
with Keyspan and convey to LIPA. The balance of the land
not retained by Keyspan -will be conveyed to "Trust for
Public Land", agent of the State. The ultimate goal is
to preserve the majority of the land.
In order to accomplish the State, County and Town
goal for preservation of 500 acres, the parcel must be
subdivided as follows:
Lot 1: The existing Jamesport substation (5 acres)
Keyspan will convey to LIPA for the operation and
maintenance of the newly constructed and approved
substation.
Lot 2:Keyspan will retain with the existing Emergency
antenna (11.39 acres)
Lot 3: Trust for Public Land will acquire as an agent
for New York State 529 acres for active and passive
•
recreation. The majority of the parcel will be
acquired through State funds and developed as a park
and open space.
The State wishes to accomplish these transfers this
year. No water or sanitary is required for any of the
existing uses to be designated on the retained lots.

THOUSAND ($4,200,000) DOLLARS and of the mutual coveeanta, terms, conditions and
restrictions herein contained, Caantor does hereby grant and convey to Oramx, its successors
and assigns forever, a Conservation Easement pursumt to ARicle 99, in perpetuity consisting of
the terms, covenants and obligations on Geantor's part to be observed and performed and

1. Purpose. The purpose ofthis Conservation Easement is to great to Grantee certain rights to
restrict the use and develapmmt of the Protected Property and to seams that the Protected
Property will be retained forever in a condition suitable for continued agricultural use. Grantor

Property, except to the extent permitted by Paragiaph 4 hereof:
(a) any industrial use of the ProteUed Property whatsoever,
(b) any commercial or iesidwtitd assn of the Protected Property, except as expressly
permitted pursuant to Paragraph 4 hereof;
(c) the division or subdivision of the Protected Property into more than ten (10) lots;
(d) any use or activity oa any porfion of tlx Protested Property which hrterferes with the
agricultural use as expresslype~itted purauaot to Paragraph 4 hereol;
(e) conslroction, erection, mainteoenca or replacem~t of anybuildings, made, roadways,
signs (other than directional signs), billboards, satellite dishes, fences or other structures or
improvements of any load or nauae whatsoever accept as expressly peamitted pursuant to
Paragraph 4 hereof

(h) the dumping or storage of ashes, leash, waste, garbage and sawdust on any partioa of
the Protected Property, except such storage of the aforementioned material as maybe normally
and reasonably incidental to uses permitted heceuader. No chemical wastes or other hazardous
waste materials may be dumped or stored on the Protected Property;
(i) Development of dumps, new pipelines, sew kao~ission lines and towere, landfills,
waste disposal sites, hazardous waste facilities, sewage disposal or composting sites;
except as-
otherwiserequired bylaw and exrzlrt where such composting is part of an agriailuaal waste
manag~fem practice approved by the Cuantce;
(j) Disturbances of the Protected Propatys surface topography, including but not limited
W Suing, excavation, grading, removal of topsoil, sand, gravel, rocks or minerals, or chmgiog of
the topography of the Imd in any matmer errcept as maybe normally and reasonably incidental
to any of the uses of the Protected Property expressly permitted pursuant to Parageaph.4 hercot;
(k) The use of toxic chemicals, including, without limitation pesticides and herbicides, on
the Protected Property, except in support of agricultural activities sad in aceorderrce with ell
applicable govermneatal laws end regulations. Spraying of pesticides or herbicides fiom ai:craft
~ m ibe Protected Property is absolutely forbidden, i~huling forbidden in support of
agricultural activities;
(I) Construction ofrcereational facilities or the raxestioml use of the Protected Properly,
including but rot limited to no construction or use for riding rings, soccer, fermis, polo, basebap,
or swimmhrg; and .
(m) Noxious types of agriculture such as hog ferns, feed lots or more than limited raising
of livestock
3. Maintenance. Should the Protected Properly cease to be used for agricultural purposes for
more than three (3) years, Grmtor iffi sue:cossors or assigns must mow the agricultural fields oa
the Protected Property at least triemiatly or otherwise maintain it m a condition whichwill

reserved:
(a) the right to use the Protected Property for agricuhural use, consistent with the tams
and cgaditiwa of this Conaervafion Easemem, including such activities u plowing, planting,
raising and harvesting corps, fertilizing, controlling weeds and agricultural pests, eonshuction
and maintwanceaf soil and water conservation practices (including artificial drainage systeara
s)
and raising livestock (except as proln7rited by Paragraph 2(m) of this Conservation Easanmt);
(b) the right to coneavct facilities and improvements necessary for farm operation,
pmvrded, however that the section of stmctures related to farm operations stall be subject m the
requirements of subparagraph 4 (f) here
(c) the right to use the Protected Property for commercial purposes reasonably incidental
to the use of the Protected PropeAy for agricuhural purposes provided that the construcfioaof
any atntcnnes for commercial purposes shall be subject to the roquirenrmt of subparagaph 4(f)
herein;
(d) the right to use the Protected Property for. and to coffihus facilities and
improvement necessary for, fit-for-pro5t educational pmpoaes, including limited commercial
use reaBOnab1Y incid®fal to such purposes. The erection of struduras related to rot for profit
educational purposes shall be subject fo the regaic~ems of subparagraph 4 (f) hereof,
(e) the right to use the existing residental stnrctrnes solely in support of farm operafloua
on the Protected Property. In connection with such residential use, Grantor may demolish,
coasQUC4 modernize, alts. maintain, or. is the event of material damage or destruction, replace
only those buildings and other site improvement that are in existence on the date of this
Conservation Easement, provided that any such replacemans or improv~e~ shall be sited on
the identical footprint of the original structure and provided that the size, height, and design of
say exterior conshuction, renovations or rephtcsnem shall be subject to the prig written
approval of Caaatee.
(f) the right W conshuct sauclures, facilities or other improvements as described in
subparagraphs 4 (b), 4(c) and 4(d) is subject to the requiremeura of this subparagaph 4(t):
(i) The size, height, siting, exterior color, and design of any atnicluro shall require the
prior written approval of liraatee.
(ii) The total area coverage of etnrctures, facilities, other impamoable surfaces, and
roads and parking lots if permeable, shall be no more than 10'/ of the land area of the Protected
Property or 1M/o of the land area ofatry individual subdivided Iot drereot, except that, in the case
of coosuuction for erne
for-profit educational purposes on subdivided lot having a land area
equal to or less than five saes, such coverage limittion shall not apply,

consistency with the purpose of this Conservation Eesemenf end Grantce shalt render Grantce's

approval shall be in its sole reasonable discretion. Examples of reasons for refusing to grant
approval may be a determination by Gtantoe thatthe action as preposedwould be incen®sleat
with the purpose of this Conservation Easanmf or would umnocesearily be located on prune sod
/or unique soils, or would substantially diminish the agricultural production capacity of tin
Protected Property or would mgativelY impact the view of historic farm operations from the
road or the adjoining stela park. The foregoing list of reasons is illustrative only and is not, in
arty way. a limitation oo Grantee's discretion ~ .
6. Inapeelfon. Gramce and its duly authorized agents, employees and tepreeeatatives ahatl have the
right ro enter the Protected property upon reasonable entice >b Grantor, at such times dutiag
normal business horns and in such manrrer as will not unreasonably interfere with Grantors use
of the Protected Property in accordance with this Conservation Easement, to examine and
inspect the Proteced Property to ensure there aro m violations, breachoq or defaults of any term,
provisioq covenant of obligation on Grantors part to ba observed of performed Hader this
ConaervatioaEeaemmt.
T. Enforcement Rights of Grantee. Granter acknowledges and agrees that Grantee's remedies at
law for say violation of this Conservation Basement are inadequate. Therefore, in addition W,

any breach, default or violation of a~ term, provision, coverant or obligation on Grantors part

failure, delay or election to eo act by Graaree shall not be deemed to be a waive or a forfeiture
of any tight or available remedy oa Grantee's part with reapxt to such breach, default or
violation or with respect to any other breach, default ocviolation of eery term, condition,
wvenant or obligation urrda this Conservation Beaemrnt..4ny coat incuaed by Grantce in
enforcing the terms of this Conservation Easement against Grantor, imluding.without iimitatioq
cost of silt and attonreys' fees, and any cost of reswration imitated by Grantor's violation of
the terms oftbis Conservaton Easem~t, shall be home by Grantor.
8. Bsadiite~Data. In order to oatablish the pressor uses and condition of the Protected Property
tto as to be able to properly monitor it future oats and condition and assure compliance with the
terms hereoi, Grantor will make available to Grantee existing dvcumwtation in its possession of
the Hernial condition of the Protected Properly and Qrantce has caused to be prupared such
additional doctioa deemed appropriate by Grantee, including a survey of the Protected
Properly showing its relationsbip to adiacent features and pruportics, and on-site photographs.
The afor~mtiontd dacumrmttion shall wnstitute ea inveutoryof the Protected Ptoputy's
relevmt features and conditions (the "Baseline Data"). The Baseline Data shall be kept on file at
Grantee's offices and shall be accesaiblz to Grantor upon reasonable notice during twm}al
business hours. The parties aclmowledge and agree that in the event a controversy arises with
respect to the nahno and etnent of the present uses or condition of the Protected Property, the
parties shall not 6e foreclosed from utilizing all other relevant or materiel documents, aurvtrys,
report, and other evidence to assist in the rewlution of the conhovusy. To the extent Grantor
and G[eotce have initialed the Baseline Data, aueh Baseline Data shall be presumed to be a
coaect depiction of the Protected Property as of the date hereof.
9. Grant In Perpetuity. .
(a) The provisions of this Conservation Easement shall run with and be a burden upon the
Protected Property in papeluity and shall be binding on Grantor and Grantee trod their
respective auccansors and assigns, and any party in possession of or using the Protceted Property
while such party is in or enti0ed to such possession or use. Any successor or assign ofGtantee
shall be a "qualified organization" within the meaning of Article 49 and shall expressly asar~e
the obligation to eaecy oat the conservation purpose for which tbie Conservation Easement is
grmted and the other obligations of Crrantce hereunder. (b) Tf Grantce or any successor or aeffign
ceases or fails (i) m enforce this Conservation Easement, (ii) to exist, or (iii) to be a "qualified
organization". a~ upon the occurrence of such oven[, fails to assign all ire right and interest in
the Protected Ptopaty, and delegate all it responsibilities tinder tiffs Consevation Easem~t [o a
"qualified orgsmi~ation", then the right and interest of Grantce undo this Conservation

10. Atnendusmt. Grantor and Grantee recogava [bat cireurnstnces could arise which would

Protected Property, including the maintenance of adequate comprehensive general liability
insurance coverage. Grantor shall kcep the Protected Property five of my liens arising out of
eery work perfomred for, materials furnished to, or obligations incurred by Grantor. Grantor

Dear Ms. Duffy:
The Department of Enduonmental Conservation has completed a review of your recent jurisdictional inquiry
under the Tidal Wetlands Act for a proposal to subdivide the referenced 529.52 acre pazcel into three lots of
5.01 acres, 11.39 acres and 513.12 acres as shown on the survey by Roy D. Hunt, L.S., dated April 15, 2003.
Based on the information you have submitted, we have determined that the project (land division) is located
landwazd of the topographic crest of a bluff which exceeds ten feet above mean sea level and is therefore outside
the azea regulated by this Departtnent under the Tidal Wetlands Act and the Tidal Wetlands Land Use
Regulations (6 NYCRR Part 661).
Therefore, in accordance with Part 661, no permit is required under the Tidal Wetlands Act for the subdivision of
land depicted on the referenced plan. Please be advised, however, that no construction, sedimentation or
disturbance of any kind may take place seawazd of the tidal wetlands jurisdictional boundazy (the crest of the
bluff) without a permit.
Please also note that three regulated freshwater wetland systems are located on this property. These aze Hallocks
Pond (system MT-31) and Lily Pond (system MT-30) on the portion of the property in the Town of Riverhead,
and an unnamed system (MT-21) on the portion of the property in the Town of Southold. Any construction,
clearing of vegetation or ground disturbance which occurs in a regulated freshwater wetland or within 100 lineaz
feet of the landwazd boundary of a regulated freshwater wetland requires a permit from this Department.
It is the responsibility of the property owner to notify any purchasers, lessees, or tenants of the presence of the
regulated tidal and freshwater wetlands on this property and to advise them to contact this Department before
undertaking any work in the vicinity of the bluff crest or within 100 feet of the three freshwater wetland systems
identified above. Please be further advised that this letter does not relieve you of the responsibility o5obtaining
any necessary permits or approvals from other agencies. -

The Southold Town Board of Trustees reviewed the survey prepared by Keyspan
Engineering & Survey, Inc. last dated May 24, 2004 and determined the proposed
subdivison to be out of the Wetland jurisdiction under Chapter 97 of the Town Wetland
Code and Chapter 37 of the Town Code.
Therefore, in accordance with the current Tidal Wetlands Code (Chapter 97) and the
Coastal Erosion Hazard Area (Chapter 37) no permit is required. Please be advised,
however, that no construction, sedimentation, or disturbance of any kind may take place
seaward of the tidal wetlands jurisdictional boundary or seaward of the coastal erosion
hazard area as indicated above, without a permit. It is your responsibility to ensure that
all necessary precautions are taken to prevent any sedimentation or other alteration or
disturbance to the ground surface or vegetation within Tidal Wetlands jurisdiction and
Coastal Erosion Hazard -Area, which may result from your project. Such precautions
may include maintaining adequate work area between the tidal wetland jurisdictional
boundary and the coastal erosion hazard area and your project or erecting a temporary
fence, barrier, or hay bale berm.

However, any activity within 100' of a Wetland line or seaward of the Coastal Erosion
Hazard Area would require permits from this office.
