THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION WAS
ADOPTED AT A REGULAR MEETING OF THE SOUTHOLD TOWN BOARD
HELD ON SEPTEMBER 28, 1999:
RESOLVED that the Town Board of the Town of Southold hereby sets 8:32
P.M., Tuesday, October 12, 1999, Southold Town Hall, 53095 Main Road,
Southold, New York, as the time and place for a public hearing on the
question of the acquisition of certain parcel of property from H. Wells for
Open Space Preservation Purposes. The property is located on the easterly
side of terminus of Wells Road, fronting on Richmond Creek, Peconic, New

NOTICE IS HEREBY GIVEN that pursuant to the provisions of Chapter
59, Open Space Preservation, of the Code of the Town of Southold, the Town
Board of the Town of Southold will hold a public hearing on the 12th of
October 1999, at 8:32 P.M., on the question of the acceptance of the offer
"of H. Wells for acquisition by the Town of Southold for Open Space
Preservation Purposes 011 the following described properties:
Suffolk County Tax Map No. 1000-086-02-012.1 comprising approximately
1.~ acres, located on the easterly side of terminus of Wells Road, fronting on
Richmond Creek, Peconic , New York. The total price would be costs
associated with transfer of title of land to be gifted.
FURTHER NOTICE is hereby given that a more detailed description of the

JUSTICE EVANS: "Notice is hereby given that pursuant to the provisions of Chapter 59, Open
space Preservation of the Code of the Town of Southold, the Town Board of the Town of
Southold will hold a public hearing on the 12th day of October, 1999, at 8:32 P.M., on the
question of the acceptance of the offer of H. Wells for acquisition by the Town of Southold for
Open Space Preservation Purposes on the following described properties: Suffolk County Tax
Map No. 1000-86-02-012.1 comprising approximately 1.4 acres, located on the easterly side of
the terminus of Wells Road, fronting on Richmond Creek, Peconic, New York. The total price
would be costs associated with transfer of title of land to be gifted. Further Notice is hereby
given that a more detailed description of the above mention parcel of land is on file in the
Southold Town Clerk's Office, Southold Town Hall, 53095 Main Road, Southold, New York,
and may be examined by any interested person during business hours. Dated: September 28,

There is an affidavit that it was published in the Suffolk Times, and that it was placed on the
Town Clerk's Bulletin Board. There is a Short Environmental Assessment Form, and no
correspondence.

DICK RYAN: My name is Dick Ryan, and I am your Chairman of your Town of Southold Land
Preservation Committee. Mr. Wells has offered to give the property by application to the
Committee on September of 1999. Further the Planning Board has advised the Land Preservation
Committee of its approval of the proposed gift. The proposed gift parcel is also designated as Lot
5 of a minor subdivision for Wells Estate approved by the Planning Board in July of 1972. The
area of the proposed gift fronts on Wells Road. It also has frontage on the east side of the upper
reaches of Richmond Creek. It is mostly comprised of tidal wetlands and provides views of the
waters and shoreline of Richmond Creek. The land parcel is also located opposite lands formerly
.
of the Peconic Land Trust over which the Town of Southold now holds the development rights
easement. Some will remember this land as a former Fiore Farm, now owned by Pellegrini
Vineyards. The Lane Preservation Committee urges the Town Board to accept the offer of the
charitable gift of this 1.4 acre property pursuant to provisions of Chapter 59 of the Town Code.
In doing so I ask the Town Board to also give acknowledgement to the charity and concerns for
his neighbors and residents of the Town of Southold by Mr. Wells' generous offer.
SUPERVISOR COCHRAN: Anyone else like to address the Board in relation to the gift? Mr.
Huntington.
RAY HUNTINGTON: This is a marvelous gift with a magnificent vista. I would like to say the
same on the last one. These are two terrific gifts for the Town.
SUPERVISOR COCHRAN: Thank you. We think so, too. I know the day Mr. Wells came in
the first day I took a ride down there immediately, and I said, 300 feet on the creek, wetlands,
beautiful. Anyone else like to address the Board? (No response.) I don't' know if Mr. Wells
would be available at the next Town Board we would like very much on behalf of the Town to
thank him. We certainly appreciate your staying this late in the evening. I will close this public
hearing.

interested persons were given an opportunity to be heard; and
WHEREAS, the Town Board deems it in the public interest that the Town of
Southold acquire the H. Wells property; now, therefore, be it

On October 12, 1999 the Town Board RESOLVED to accept the gift-
transfer of title to the above-noted, pu,'suant to the provisions of Chapter 59
Open Space Preservation of the Town Code.
I offer the following to assist you in completing the title closing:
-Mr. Wells' attorney in this matter is Justice William H. Price, Jr.
-A copy of survey map of gift-parcel. as certified to the Town of Southold.
This survey has been accepted by the LPC as fairly and accurately depicting
the gift-parcel.
Please note that the "stored construction material" has been subsequently
removed.
Also
note that the in-fact toad line of Wells Road does not match the record
line. I suggest that the Town accept title, subject to that existing
condition.
Please call me if I may be of further assistance in completing this transaction.

executor of the last will and testament of GEORGE H. WELLS, the party of the first part, and
TOWN OF SOUTHOLD, a municipal corporation having its principal place of business at 53095 Main /
Road, Southold, New York 11971, party of the second part,
WITNESSETH, that the party of the first part, to whom letters testamentary were issued by the
Surrogate's Court, Suffolk County, New York, under File No. 397P39 and by virtue of the power and
authority given in and by said last will and testament and/or by Article 11 of the Estates, Powers and
Trusts Law, and in consideration ofTEN ($10.00) DOLLARS, paid by the party of the second part, does
hereby grant and release unto the party of the second part, the distributees or successors and assigns of
the party of the second part forever,
ALL THAT CERTAIN plot, piece or parcel ofland, situate, lying and being in the Town of Southold,
County of Suffolk and State of New York, being bounded as follows:
North by Wells Road, 130 feet, more or less;
West by Wells Road, 380 feet, more or less;
South by Richmond Creek 300 feet, more or less;
East by land of Susan Hallock 300 feet, more or less.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any streets and
roads abutting the above described premises to the center line thereof,
TOGETHER with the appurtenances, and also the estate which the said decedent had at the time of
decedent's death in said premises, and also the estate therein, which the party of the first part has or has
the power to conveyor dispose of, whether individually, or by virtue of said will or otherwise,
TO HAVE AND TO HOLD the premises herein granted unto the party of the second part, the
distributees or successors and assigns of the party of the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything
whereby the said premises have been incumbered in any way whatever, except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party
of the first part will receive the consideration for this conveyance and will hold the right to receive such
consideration as a trust fund to be applied fitst for the purpose of paying the cost of improvement and
will apply same first to the payment of the cost of improvement before using any part of the total of the
same for any other purpose.
