TIllS INDENTURE, made the 15th day of November , 2000, BETWEEN NORTH SEA
ASSOCIATES, a partnership comprised of VINCENT M. CLAPS and ALFRED M. CILETTI, JR.,
with offices at 44655 County Road 48, P. O. Box 3 I 2, Southold, New York 11971, party of the first
part, and C & C PARTNERS, INC., a New York corporation wl)ose address is 44655 County Road
48, P.O. Box 312, Southold, New York 11971, party of the second part.
WITNESSETH, that the party of the first part, in consideration ofTen ($10.00) Dollars and
other valuable consideration paid by the party of the second part, does hereby grant and release unto
the party of the second part, the heirs or successors and assigns of the party of the second part
forever,
ALL that certain plot, piece or parcel ofland, with the buildings and improvements thereon
erected, situate, lying and being in the Town of South old, County of Suffolk and State ofNew York,
boundec;l and described as follows:

BEGINNING at a point on the southeasterly side of North Sea Road, where the same is
intersected by the Northeasterly side ofland now or fonnerly of Tracy C. Demos and Helen Demos;
said point or place of beginning being also distant 583.48 feet northeasterly as measured along the
southeasterly side ofN orth Sea Road from the corner fonned by the intersection of the southeasterly
side ofNorth Sea Road, with the Northeasterly side of Kenny' s Road; running thence from said point
or place of beginning along the Southeasterly side of North Sea Road North 39 degrees 24 minutes
00 seconds East 100.00 feet to the southwesterly side ofland now or fonnerly of Blanche Seibert;
thence along said last mentioned laiid South 50 degrees 36 minutes 00 seconds El!5t 399.30 feet to
the northwesterly side ofland now or fonnerly ofL & 1. Herzog; thence along said last mentioned
land South 34 degrees 10 minutes 30 seconds West 52.16 feet to land now or fonnerly of the Town
of Southold; thence along said last mentioned land South 33 degrees 04 minutes 30 seconds West
48.35 feet to the northeasterly side ofland now or fonnerly of Tracy C. Demos and Helen Demos
first above mentioned; thence along said last mentioned division line North 50 degrees 36 minutes 00
seconds West 409.38 to the Southeasterly side of North Sea Road at the point or place of
BEGINNING. '
BEING AND INTENDED TO BE the same premises conveyed to the party of the first part
by deed dated November 15,1994 recorded in the Office of the Suffolk County Clerk on March 10,
1995, in Liber 11717, Page 757.
TOGETHER with all right, title and interest, ifany, of the party of the first part in and to any
streets and roads abutting the above described premises to the center lines thereof; TOGETHER
with the appurtenances and all the estate and rights of the party of the first part in and to said
premises;
TO HAVE AND TO HOLD the premises herein granted unto the party of the second part,
the heirs or successors and assigns of the party of the second part forever.

AND the party of the first part covenants that the party of the first part has not done or
suffered anything whereby the said premises have been encumbered in any way whatever, except as
aforesaid
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that
the party of the first part will receive the consideration for this conveyance and will hold the right
to receive such consideration as a trust fund to be applied first for the purpose of paying the cost of
the improvement and will apply the same first to the payment of the cost of the improvements before
using any part of the total of the same for any other purpose.
The word "party" shall be construed asifit read "parties" wheneverthe sense of this indenture
so requires.
