TERMS AND CONDITIONS
The Permittee Noank Aquaculture Cooperative. residing at 10273 North Bavview Road.
Southold. as part of the consideration for the issuance of the Permit does understand and
prescribe to the following:
I. That the said Board of Trustees and the Town of Southold are released from any and all
damages, or claims for damages, of suits arising directly or indirectly as a result of any
operation performed pursuant to this permit, and the said Permittee will, at his or her own
expense, defend any and all such suits initiated by third parties, and the said Permittee
assumes full liability with respect thereto, to the complete exclusion of the Board of
Trustees of the Town of Southold.
2. That this P~rmit is valid for a period of 24 months, which is considered to be the estimated
time required to complete the work involved, but should circumstances warrant, request for
an extension may be made to the Board at a later date.
3. That this Permit should be retained indefinitely, or as long as the said Permittee wishes to

maintain the structure or project involved, to provide evidence to anyone concerned that
authorization was originally obtained.
4. That the work involved will be subject to the inspection and approval of the Board or its
agents, and non-compliance with the provisions of the originating application may be cause
for revocation of this Permit by resolution of the said Board.
5. That there will be no unreasonable interference with navigation as a result of the work
herein authorized.
6. That there shall be no interference with the right of the public to pass and repass along the
beach between high and low water marks.
7. That if future operations of the Town of Southold require the removal and/or alterations in
the location of the work herein authorized, or if,' in the opinion of the Board of Trustees,
the work shall cause unreasonable obstruction to free navigation, the said Permittee will be
required, upon due notice, to remove or alter this work project herein stated without
expenses to the Town of Southold.
8. The Permittee is required to provide evidence that a copy of this Trustee permit has been
recorded with the Suffolk County Department of Real Properties Office as a notice
covenant and deed restriction to the deed of the subject parcel. Such evidence shall be
provided within ninety (90) calendar days of issuance of this permit.
9. That the said Board will be notified by the Permittee of the completion of the work
authorized.
10. That the Permittee will obtain all other permits and consents that may be required
supplemental to this permit, which may be subject to revoke upon failure to obtain same.

The Board of Town Trustees took the following action during its regular meeting held on
Wednesday, December 12, 2007 regarding the above matter:
WHEREAS, Karen Rivara on behalf of NOANK AQUACULTURE COOPERATIVE
applied to the Southold Town Trustees for a permit under the provisions of Chapter 275
of the Southold Town Code, the Wetland Ordinance of the Town of Southold,
application dated October 19, 2007, and,
WHEREAS, said 'application was referred to the Southold Town Conservation Advisory
Council and to the Local Waterfront Revitalization Program Coordinator for their findings
and recommendations, and,
WHEREAS, the LWRP Coordinator issued a recommendation that the application be
found Consistent with the Local Waterfront Revitalization Program policy standards,
and,
WHEREAS, a Public Hearing was held by the Town Trustees with respect to said
application on December 12,2007, at which time all interested persons were given an
opportunity to be heard, and,
WHEREAS, the Board members have personally viewed and are familiar with the
premises in question and the surrounding area, and,

WHEREAS, the Board has considered all the testimony and documentation submitted
concerning this application, and,
WHEREAS, the ~tructure complies with the standards set forth in Chapter 275 of the
Southold Town Code,
WHEREAS, the Board has determined that the project as proposed will not affect the
health, safety and general welfare of the people of the town,
NOW THEREFORE BE IT,
RESOLVED, that the Board of Trustees have found the application to be Consistent
with the Local Waterfront Revitalization Program, and,
RESOLVED, that the Board of Trustees approve the application of NOANK
AQUACULTURE COOPERATIVE to install aquaculture gear; deploy four (4) additional
FLUPSY's on the aquaculture dock for nursery cultivation of shellfish seed, and floating
bags and cages off the aquaculture dock, for the grow-out of shellfish seed; place cages
and racks with trays in the renovated shellfish barn to cultivate shellfish seed and to
hold market shellfish for winter harvest; and add two additional land-based upweller
tanks 4' x 12' in the shellfish barn, and as depicted on the project plan prepared by
Noank Aquaculture Cooperative, received on October 19, 2007.
Permit to constru<:;t and complete project will expire two years from the date the permit
is signed. Fees must be paid, if applicable, and permit issued within six months of the
date of this notification.
Inspections are required at a fee of $50.00 per inspection. (See attached schedule.)

Dear Board of Trustees,
We are members ofthe Plock Shellfisher Home Owners Association and we oppose the
project requested by Noank Aquaculture Cooperative. As members of the HOA we have
the right to use the west side of the dock. Ifthe east side ofthe dock will be filled with
Flupsy systems and cages we can only assume that the permanent dock will be consumed
with equipment related to this project. We would like the dock to be free and clear of any
object so that our guests can dock their boats on the west side and not have any safety
issues.
Secondly, we do not approve ofthis project since it no longer seems to be a small
research project, but a commercial project that is getting bigger and bigger. We all have a
right to use the area at the dock as a HOA member and we all also have our own dock.
The Noank Aquaculture Coop brings unwanted traffic, noise, safety issues and potential
liability issues to our HOA. When we purchased the lots from the Plock Shellfisher HOA,
we were told that the shellfish project being run by The Peconic Land Trust through
Cornell Coop Extension would be kept as is and only maintained. Now, there are 2
corporations (Noank and Aeros) operating on the property leased from the Peconic Land
Trust, an educational center being constructed and bus tours ofthe property. This
property at the dock is not for the exclusive use of the Peconic Land Trust or its lessee's.
It is a common area for all ofthe HOA members to use and enjoy. Currently, this area is
a mess (and has been for months) and this area is filled with potential dangers for us, our
children and our animals.
Please consider our position to halt anymore development of the property and stop
commercial projects at the property. If you have any questions please feel free to call

The proposed action has been reviewed to Chapter 268, Waterfront Consistency Review
of the Town of South old Town Code and the Local Waterfront Revitalization Program
(L WRP) Policy Standards. Based upon the information provided on the L WRP
Consistency Assessment Form submitted to this department, as well as the records
available to me, it is my recommendation that the proposed action is CONSISTENT
with the below Policy Standards and therefore is CONSISTENT with the L WRP.

THE NOANK
A2UACULTURE COOPERATIVE
Project Description
This application is for additional aquaculture gear at the Peconic Land Trust's
Shellfisher Preserve. The additional gear will enable more shellfish to be cultivated at
this site. In 1995, the Peconic Land Trust helped the Plock family preserve 13.6 acres
of this unique aquaculture facility. It was the site of the former Shelter Island Oyster
Company and contains several unique structures and bodies of water that comprised
their shellfish farm.
Several members of the Noank Aquaculture Cooperative have leased space at the
site beginning in 2000. We have worked with the Peconic Land Trust and Cornell
Cooperative Extension of Suffolk County - Marine Program to devise a plan that
would restore the site's run-down aquaculture buildings and waterways. The goal of
this project was to restore the site to its former productive state, provide space for
small scale shellfish farmers and enhance the research and education capabilities of
the site.
In 2007, the Peconic Land Trust was awarded two grants to restore the largest
aquaculture building, a 140 foot X 24 foot .Shellfish Bam" that straddles a creekway
running from Southold Bay to a salt water lagoon on the site. The Keyspan
Foundation and the US Department of Agriculture contributed funding for this project.
The partnership with the Peconic Land Trust and the Keyspan Foundation has
resulted in the initiation of a cause-related marketing program, whereby the proceeds
from the sale of premium shellfish will be used to fund land conservation and
research and education projects that benefit the Peconic Estuary. The premium
shellfish will be grown and marketed by Noank Aquaculture Cooperative members
from shellfish produced in the renovated buildings at Shellfisher Preserve. The
aquaculture permits addressed in this application are a vital part of this program.
The aquaculture gear included in this permit application will accommodate the new
cooperative members that need permits for their aquaculture gear. Currently, one
member, Aeros Cultured Oyster Company, has the required Town of Southold
Trustees, New York State DEC and DOS, and US Army Corps of Engineers permits
for aquaculture gear at Shellfisher. We are applying for permission to deploy: flwr (1)

THE NOANK
AQUACULTURE COOPERATIVE
The Noank Aquaculture Cooperative is a farmer's cooperative formed in August
of 2000. The funding to initiate the cooperative was provided through the USDA
Rural Development, Rural Business Enterprise Grant Program. The products and
services offered by the cooperative are predominately hatchery raised oysters,
hard clams and bay scallops. We are also involved in research, public education
and resource enhancement projects focused on these commercially important
species of shellfish.
The Noank Aquaculture Cooperative has eight founding members who have
taken the time to organize the cooperative. Seven of these members base their
operations in Noank, Connecticut, on the Mystic River. Cooperative members are
small-scale shellfish farmers who recognized that they must combine their efforts
to maintain commercial viability. The result is a vertically integrated business
entity capable of spawning, rearing, harvesting, processing and marketing
oysters, hard clams and bay scallops.
The cooperative has recently expanded its membership to ten additional
growers, seven of whom are based in New York State. The eight New York
members will base their operations at the Shellfisher Preserve, owned by the
Peconic Land Trust and co-managed with Cornell Cooperative Extension Marine
Program.
In the short time we have existed we have doubled our membership and
expanded our operations. These operations include two shellfish hatcheries, four
nursery sites, the numerous grow-out facilities of our members, packaging and
distribution. In the future we will concentrate on expanding our production of
premium oysters, hard clams and bay scallops. We will continue to work closely
with researchers, educators and local shellfish restoration efforts to enhance the
shellfish populations in our area.
The Noank Aquaculture Cooperative provides a unique foundation for small-
scale shellfish aquaculture to grow and thrive in the New York and Connecticut.

I. All applicants for permits* including Town of Southold agencies, shall complete this CCAF for
proposed actions that are subject to the Town of South old Waterfront Consistency Review Law. TIlls
assessment is intended to supplement other information used by a Town of SouthoId agency in
making a determination of consistency. * Except minor exempt actions including Building Permits
and other ministerial permits not located within the Coastal Erosion Hazard Area.
2. Before answering the questions in Section C, the preparer of this form should review the exempt
minor action list, policies and explanations of each policy contained in the Town of Southold Local
Waterfront Revitalization Program. A Proposed action will be evaluated as to its silDlificant

Shellfish improve water quality as they
feed by filtering microscopic particles
from the water. This removes problematic
sediments and phytoplankton and their
associated nutrients. Some of the nitrogen
is incorporated into protein and the rest is
deposited on the bottom, where it can be
consumed by worms and other organisms.

keystone species, meaning they
control the environment in which
they live by cleaning the water,
while the spaces between their
shells provide habitat
for juvenile fish, crabs, and
the organisms on which they feed.

As both water clarity and light
penetration are improved, the
eelgrass is able to recover in
waters that have not supported
sea grasses for decades. Clearly
shellfish aquaculture should
be an element of any eelgrass
restoration project.

B) Rack and Tray system - Metal frame built to hold stacks of trays. Will be used in
Shellfish Barn only.
C) Cage holding Bays - Coated wire mesh cage built hold ADPI bags. Cages can be
2 feet wide to hold 4 bags or 4 feet wide to hold 8 bags. 2 foot wide cages will be
used off of Aquaculture Dock and 4 foot wide cages will be used in Shellfish
Barn.
D) Floating Bag - Plastic mesh ADPI bags. These bags have floats attached to either

This letter is in response to the letter dated November 10, 2007 (copy attached) written
to the Trustees from some of the members of the Plock Shellfisher Homeowners Association
in regard to the Noank Aquaculture Cooperative permit application for activities located at
the Peconic Land Trust's Shellfisher Preserve. I would like to respond to some of the
statements in that letter.
First, please note that Peconic Land Trust is also a member of the Plock Shellfisher
Homeowners Association. Second, the statement in the letter regarding the use of the west
side of the mariculture dock is not correct. The HOA has sole use of both southern docks
and PL T has sole use of the northern dock for mariculture activities. The HOA members are
allowed, per Article I H of the Covenants and Restrictions, to temporarily dock boats along
the wood bulkhead as long as they do not interfere with boat traffic. Thirdly, the Trust has
only one lease at this time and that is with Noank Aquaculture Company which is a
cooperative. Aeros is a member of that cooperative.
Finally, there are Covenants and Restrictions that were placed on this property by the
Plock Family giving oversite of the mariculture activities to the Southold Town Planning
Board and Board of Trustees. These C&R's clearly define which areas can be used for
mariculture and which areas are common use areas. (Please see highlighted sections of
attached document.)
The site, as you know, has been under construction for a year now. The major work
has just been completed and we hope to have the roadway erosion repairs and revegetation
completed in the spring. We believe our neighbors will be very satisfied with the completed
project.

Weare members of thc Plock Shellfisher Home Owners Association aud we oppose the
project requested by Noank Aquaculture Cooperative. As members of the HOA we have
the right to use the west side ofthc dock. If the east side of the dock will be filled with
Flupsy systems and cages wc can only assume that the pCn)lanent dock wiII be consumed
with equipment related to this project. Wc would like the dock to be free and clear of any
objcct so that our guests can dock thcir boats on the west side and not have any safety
issues.
Secondly, we do not approve of this project sincc it no longer seems to bea small
research project, but a commercial project that is getting bigger and bigger. We all have a
right to use the area at the dock as a HOA membcr and we all also have our own dock.
The Noank Aquaculture Coop brings unwanted traffic, noisc, safety issues and potential
liability issues to our HOA. When we purchased the lots from the Plock Shell fisher HOA,
we were told that the shellfish project bcing lUll by The Peconic Land TlUst through
Cornell Coop Extensiou would be kept as is and only maintained. Now, there are 2
corporations (Noatlk and Acros) operating on the property leased from the Peconic Land
Trust, an educational center being constructed and bus tours of the property. This
property at the dock is not for the exclusive use of the Peconic Land Trust or its lessee's.
It is a common area for all of the HOA members to use atld enjoy. Currently, this area is
a mess (atld has bcen for months) and this area is filled with potential dangers for us, our
children and our animals.
Please consider our posilionto halt anymore developmcnt of the property and stop
commercial projects at the property. If you have any questions please feel free to call

I am writing in response to a letter written by sev~ral ~embers of t!j.e Shellfisher HOA
opposing the aquaculture permit (wetlands) application subhiitte4~Y'.the Noank
Aquaculture Cooperative. On November 16th I delivered a copy of the Dectaratioo of
Protective Covenants, Restrictions and Easements for Plock Shellfisher Preserve that was
filed with County of Suffolk in 1995. This document was included in our lease agreement
with the Peconic Land Trust. Article I, I. of this document states that the guests of Lot
owners 1-4 may dock their boats along the wooden bulkhead on Lot 5. Article VI, B.
(iv) states that "the dock in the lagoon area north of the residential Boat Easement Area
will be used for boats used by the Peconic Land Trust, its successors and assigns, in its
mariculture program." Therefore the west side of the dock is designated for mariculture
activities.
I would also like to address other concerns raised by 3 of the 5 HOA members.
I) Aeros Cultured Oyster Company is a member of the Noank Aquaculture Cooperative.
2) Until December 2006 there were two companies at Shellfisher Preserve. Paradise Point
Shellfish Company has left the site. Their abandoned equipment has been removed from
the area east of the Shellfish Barn, thereby eliminating debris from the viewshed and
safety concerns.
3) In 2004, there were 13 FLUPSY's on the east side of the aquaculture dock and 2
culling machines. There were 2 - 50 foot + vessels and one barge on the west side of the
dock. HOA members did not complain about this level of activity to either of the tenants.
4) HOA members have been notified of the plans to develop Shellfisher Preserve for
many years. (See attached brochure send to all neighbors.) No complaints were
expressed.
5) The cultivation plans of the cooperative members do not represent a big commercial
operation either individually or in their entirety.

6) When asked by HOA owners of Lots 1-4, the cooperative members have addressed all
concerns regarding noise, safety and aesthetics to the satisfaction of the lot owners. We
obey all traffic rules for the preserve.
7) Part of the Noank Aquaculture Cooperative mission is to be a good steward and a
benefit to the communities in which we work. To that end, we work with researchers on
issues that affect the health of the Peconic Estuary. We are involved in education
programs that promote good stewardship. We have donated shellfish seed to the Town of
Southold's shellfish restoration program managed by Cornell Cooperative Extension.

8) The "commercial activity" at Shellfisher Preserve is managed in a way that enhances
the Peconic Estuary. The Peconic Land Trust, Keyspan Foundation and the Noank
Aquaculture Cooperative have put a lot of time and effort into developing a cause related
marketing program that will provide proceeds from the sale of market shellfish to
programs that benefit the Peconic Estuary. We can begin this program once the
Cooperative members are able to use the restored shellfish bam. This marketing program
is widely supported.
9) It is tme that the work being done to improve the Shellfish bam has made the property
untidy. However, a new building stands where an unsafe and unsightly building once
stood. It is our understanding that the PL T plans to revegetate the site in the spring. The
result will be a site that is much safer and more attractive than it was prior to the
renovations.
10) The cooperative members will ouly give tours to more than 5 people by permission of
or at the pleasure of the Peconic Land Trust as part of the education mission for the
property.
The members of the Noank Aquaculture Cooperative look forward to continuing to work
with the Town of South old to enhance the health of the Peconic Estuary.

Cooperative Extension Marine

Cooperative, a shellfish blfower's
cooperative comprised of small-scale
business operators who together
comprise a vertically integrated
shellfish cultivation and marketing

Aquaculture Cooperative is to augment

responsible small-scale shellfish farms

constructed these state-of-the-art
cultivation systems during the infancy of
the modern shellfish farming industry
when oyster farmers found they could no
longer depend upon natural sets of
oysters to survive.
