THIS INDENTURE, made the 26th dayof Oc~oher, 2007

GREENPORT LLC, a'New York Limited Liability Company, wilh an address of 50 Chadas Undbergh
Blvd., Suite 400, Uniondale, New York 11553, and
218 MAIN, LLC, a New York Umited Liability Company, with an address of 19995 Soundview Avenue,
Southold, New York 11971, party of the second part,
WITNESSETH, that the party of Ihe first part, in consideration of Ten and 00/100-($10.)--Dollars, and
other good and valuable consideration paid by the party of the second part, does hereby grant and release
unto the party of the second part, the heirs or suc, cessare and assigns of the party of the second part
forever,
ALL that certain plot, piece or parcel of land, situate, lying and being in the Village of Greenport, e Town of
Southold, County of Suffolk and State of New York, being bounded and described as follows:
BEGINNING at a point on the Easterly line of Main Street distant 288.59 feet Southerly from the comer
formed by the intersection of the Easterly side of Main Slreet with the Southerly side of Bay Avenue;
RUNNING THENCE North 83 degrees 23 minutes 10 seconds East, 110.81 feet;
RUNNING THENCE South 6 degrees 55 minutes 10 seconds East 19.81 feet;
RUNNING THENCE South 83 degrees 23 minutes 10 seconds West 110.7.~feet to the Easterly side of
Main Street;
~UNNING THENCE North 07 degrees 04 minutes ~econds West, along the Eastedy side of Main
l./'Street, 19.99 feet to the point or place of BEGINNING.
Together with the benefits of that certain ten foot wide (10 feet) right of way created in Liber 4130 of
Dccds Page 557 from the Southeast corner of the above described premises over the Easterly 10 feet of
the land immediately adjoining Southerly and continuing Easterly to the Westerly side of Carpenter Street.
BEING AND INTENDEDTO BE part of the same premises conveyed to the party of the first part by deed
dated August 3, 2005, recorded on August 25, 2005 In Liber 12405, page 802.
TOGETHER with all right, title and interest, if any, of the party of the flint part in and to any streets and
roads abutting the above described premises to the center lines thereof; TOGETHER with the
appurtenances and all the estate and rights of the party of the first part in and to said premises.
TO HAVE AND TO HOLD the premises herein granted unto the party of the second part, the heirs or
su(x:essors and assigns of the party of the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything
whereby the said premises have been encumbered in any way whatever, except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of
the first part will receive the consideration for this cenveyance and will hold the right to receive such
consideration as a trust fund to be applied first for the purpose of paying the cost of the improvement and
will apply the same first to the payment of the cost of the improvement before using any part of the total of
the same for any other purpose. The word 'party' shall be construed as if it read 'parties" whenever the
sense of this indenture se requires.
