RESOLUTION 2007-852 ADOPTED DOC ill: 3273 THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2007-852 WAS ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON NOVEMBER 7, 2007: WHEREAS, the Land Preservation Committee has made a recommendation to the Town Board that the Town of South old participate as a vendor in the 27th Annual Long Island Agricultural Forum taking place on January 10 & 11,2008, at the Eastern Campus of Suffolk County Community College in Riverhead, New York; and WHEREAS, it has been recommended that Melissa Spiro, Land Preservation Coordinator, attend this event as a forum participant at a complimentary exhibitor's booth to promote farmland preservation programs within the Town of South old; now, therefore, be it RESOLVED that the Town Board of the Town of South old hereby directs SUDervisor Scott A. Russell to execute an Outside Vendor Contract 2008 AI! Forum exhibitor's contract between Cornell Cooperative Extension of Suffolk Countv and the Town of Southold for the Durpose of participatinl! in the 2008 AI! Forum sponsored by Cornell Cooperative Extension of Suffolk County at Suffolk County Community CollegelEastern Campus, 121 Riverhead-Speonk Road, Riverhead, New York on January 10 & 11,2008; and, be it further RESOLVED that the Town Board of the Town of Southold hereby I!rants permission to Melissa Spiro. Agreement between CORNELL COOPERATIVE EXTENSION OF SUFFOLK COUNTY (EXTENSION) and (VENDOR) for participation in the 2008 Ag Forum at Suffolk County Community College/Eastern Campus, 121 Riverhead-Speonk Road, Riverhead, NY 11901 on January 10 & 11,2008. The above Vendor agrees as a condition of participating in the 2008 Ag Forum sponsored by Extension to the following terms and couditions: I. To the fullest extent permitted by law the VENDOR shall indellUlif)1, hold harmless and defend the EXTENSION, the County of Suffolk and Suffolk COWlty Community College and their respective officers, directors, employees, agents and volunteers from and against any and all claims, demands or causes of action brought against any or all of them for any actual or alleged injury to any person or persons, including death, or damage to or destruction of property arising out of any act or omission on the part of VENDOR, its employees, agents or subcontractors and arising out its/their participation in the 2008 Ag Forum. A. VENDOR shall provide 2 Certificates of Insurance, one with CORNELL COOPERATIVE EXTENSION OF SUFFOLK COUNTY as the certificate holder, and one with the COUNTY OF SUFFOLK and SUFFOLK COUNTY COMMUNITY COLLEGE as the Certificate holder showing proof of the following minimum limits of insurance, or as required by law, whichever is greater: CORNELL COOPERATIVE EXTENSION OF SUFFOLK COUNTY and THE COUNTY OF SUFFOLK and SUFFOLK COUNTY COMMUNITY COLLEGE shall be added as an "additional insured" on the General Liability insurance. Certificates must be originals signed by authorized representative of insurauce company. I. General Liability, including contractual, independent contractors, products/completed operations and Workers Compensation Each Occurreuce General Aggregate Umbrella/Excess Business Auto Workers Compensation $1,000,000 $2,000.000 $2,000,000 $1,000,000 (if vehicles used by Vendor) Statutory 2. All insurance shall be placed with insurance companies licensed to do business in the State of New York, with a "Best's" rating of "A-" or better. Vendor's Insurance shall be primary and noncontributory in all respects to any insurance carried by Extension or the County. 3. Certificates ofInsurance shall contain a provision for at least thirty (30) days notice to the certificate holder of cancellation or non-renewal of the insurance indicated in the certificate. Both of the original certificates shall be mailed to CORNELL COOPERATIVE EXTENSION OF SUFFOLK COUNTY, 423 GRIFFING AVE, RIVERHEAD, NY 11901 within five business days ofthe execution of this contract and on each subsequent renewal of said insurance.
