~ ~ BARGAIN AND SALE DEED
THIS IND NTURE, made the 26i° day of July, 2007, between Warcx Terminals
Corporatior~party of the first part, and GAMA Properties-Deer Park, Inc. of 320 Frost
Pond Road, Old Brookville, NY 11545, party of the second part,

WITNESSETH,drat the parry of the first part, m consi erasion of Ninc Hundred
and Filly Thousand (5950,000.00} dollars and other valuable rnnsideration paid by the
party of the second part, does hereby grant and release unto the party of the second part,
the heirs or successors and assigns of the party of the second part forcvi;r,
ALL that certain plot, piece or parcel of land, with the buildings and
improvements thereon erected, situate, lying and being at Mattituck, Town of Southold,
County of Suffolk and State of New York, more particularly bounded and described as

! BEGINNING at the corner formed by the intersection of the easterly side of
Factory Avenue and the northwesterly side of Main Road, New York State Route 25;
Rtuming thence north 20 degrees 22 minutes 40 seconds west along the easterly
side of Factory Avenue 150 feet;
Running thence north 48 degrees 57 minutes 30 seconds east 146 feet;
Running thence south 40 degrees 39 minutes 45 seconds east 140.34 feet to the
northwesterly side of Main Road, New York State Route 25;
Running thence south 48 degrees 57 minutes 30 seconds west along the
northwesterly side of Main Road, New York State Route 25, a distance of 198 feet to the
point or place of BEGINNING.
This conveyance has been made with the unanimous consent in writing of all
stockholders of the party of the first part.
SAID PREMISES being and intended to be the same premises conveyed to
Warcx Terminals Corporation, as grantee, by deed dated 07/14/94, and recorded
08/31/94, in the office of the Clerk of the County of Suffolk, in Liber 11692 of Dccds, at
page 25, said deed made by Sun Company, Inc., as grantor.
SAID PREMISES being commonly known as no. 9945 Main Road, Mattituck,
New York.
UNDER AND SUBJECT to all restrictions and casements of record, local zoning
laws and any condition which an accurate and complete survey would disclose.

TOGETHER'with all right, title and interest, if any, of the party of the first part in
and to any streets and roads abutting the above-described premises to the ccntcr lines
thereof; TOGETHER with the appurtenances and all the estate and rights of the party of
the first part in and to said premises; TO HAVE AND TO iiOLD the premises herein
granted unto the parry of the second part, the heirs or successors and assigns of the party
of the second part forever.
AND the party of the first part, incompliance with Section 13 of the Lich Law,
covenants that the parry of the first part will receive the rnnsideradon for this conveyance
and will hold the right to receive such consideration as a trust fund to be applied first for
the purpose of paying the cost of the improvement and will apply the same first to the
payment of the cost of the improvement before using any part of the total of the same for
any other purpcue.
The word party" shall be construed as if it read "parties" whenever the sense of
this indenture so requires.
