ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
JULY 31, 2007:
RESOLVED that the Town Board of the Town of South old hereby authorizes and directs
Supervisor Scott A. Russell to execute an Al!reement with Cornell Cooperative Extension in
connection with 2007 Southold Town Shellfish Program in the amount of$18,OOO for the term
January 1,2007 through December 31, 2007, all in accordance with the approval ofthe Town
Attorney.

CONTRACT FOR SERVICES
THIS AGREEMENT, entered into this I" day of January 2007, between the Town of
Southold, with offices at 53095 Main Road, Southold, New York 11971, hereinafter
called the "Town" and Cornell Cooperative Extension, with offices at 423 Griffing
Avenue, Riverhcad, New York 11901 hereinafter called the "Consultant"
WITNESSTH
WHEREAS, the Town of Southold desires to engage the consultant to render certain
professional services hereinafter described in connection with an undertaking.
NOW, therefore, the parties hereto mutually agree as follows:
1. Emplovment of the Consnltant - The Town hereby agrees to engage the
Consultant and the Consultant hereby agrees to perform the services hereinafter
set forth.
2. Scope of Work - The Consultant shall perform and carry out, on a satisfactory
and proper manner the services described in Exhibit A: attached hereto and made
a pmi of the contract.
3. Personnel- A. The Consultant represents that all personnel engaged in the work
shall be fully qualified by reason of training and experience to perform such
service set forth herein. B. None of the work or services covered by this contract
shall be subcontracted without the prior written approval of the Town.
4. Time of Performance - The services of the Consultant are to commence upon
execution of this contract and shall end on December 31, 2007 or at the
completion of the task outlined in Exhibit A.
5. Compensation - The Town agrees to pay the Consultant the total sum not to
exceed $18,000.
6. Method of Payment - The payment shall be made in accordance with the billing
schedule and upon receipt by the Town of Southold of a properly completed
voucher form supplied by the Town. It is expressly understood and agreed that in
no event will the total compensation and reimbursement be paid hereunder exceed
the maximum sum of $18,000 for all of the services required
7. Monthlv Reports and Activity Reports - Monthly activity reports should be
submitted along with a monthly voucher for reimbursement of approved
expenditures.
8. Additional Ril!'hts and Remedies - This contract shall be governed by, subject to
and construed according to the laws of the State of New York

2007 Town of South old Shellfish Budget
and Program Description
Contractual Expense:
Suffolk County Marine
Environmental Learning Center - Staff and Equipment
$18,000
The above represents the contractual expense for the operation of the hatchery and grow-
out facility for the Town of Southold' s 2007 Shellfish Program(s).
The Suffolk County Marine Environmental Learning Center will spawn and grown-out
hard clams, oysters and scallops in the quantities recommended by the Town of Southold,
for seeding Southold's Creeks and Bays.
