the day of December, 1967, and recorded on June 20, 1968,
in the Office of the Clerk of Suffolk County, in Liber 6367
page 167 of Deeds.
This deed has been executed and delivered by the party of the
first part to the party of the second part for the purpose of
effectuating the plan of complete liquidation of Mattituck
Holding Co. , Inc . , the party of the first part hereto, ; in.
accordance with Section 333 of the Internal. Revenue Code of
1954, duly adopted by 'the unanimous vote of all of the stock-
holders and all. of the directors of said corporation at a
,Joint meeting duly called and held on May 30, 1974, the party
of the second part, collectively, being the owners and holders
of all of the issued and outstanding shares of said Mattituck
Holding Co., Inc .

• TOGETHER with all right, title and interest, if any, of the party of the first part in an*7 to any streets and
roads abutting the above described premises to the center lines thereof,
TOGETHER with the appurtenances and all the estate and rights of the party, of the first part in and to
said premises,
TO HAVE AND TO HOLD the premises herein granted onto the part), of the second part, the heirs or
successors and assigns of the party of the second part forever, in the following shares and
proportions :
Unto Frederick W. Pape, Jr. an undivided interest therein
to the extent of twenty- _tv�' e ar�d one-half percent (25-1/2q) thereof;
Unto William L. Pape an undivided interest therein to
the extent of wenty-five and one-half percent (25-1/2/) thereof;

AND the party of the first part, in compliance- with Section 13 of the Lien Lacy, covenants that the party of
the first part will receive the consideration for this conveyance and will hold the right to receive such consid-
eration as a trust fund to be applied first for the purpose of paying the cost of the improvement and will apply
the same.first to the payment of the cost of the imprmement before using any part of the total of the same for
any other purpose.
The word 'party'shall be construed as if it read "parties" whenever the sense of this indenture so requires.
