EQUIPMENT AND RENT. Lessor hereby leases to Lessee, and Lessee hereby rents from Lessor, at a total rent for the term of the lease of TEN THOUSAND FOUR HUNDRED EIGHTY-THREE and 92/ 100 ($10, 483. 92) DOLLARS, which Lessee agrees to pay to Lessor as hereinafter set forth, the following personal property (hereinafter called "Equipment"): ONE (1) new Allis-Chalmers crawler-loader model HD3 tractor equipped with one cubic yard bucket. 2, TERM. This lease, upon the rents, premises, terms and con- ditions set forth herein, is for a term of 36 months commencing on the 1st day of January, 1963, and ending on the 31st day of December, 1965. 3. PAYMENT OF RENT. Lessee agrees to pay to Lessor the total rent as hereinabove set forth in thirty-six (36) consecutive monthly install- ments, each in the amount of Two Hundred Ninety-one and 22/ 100 ($291. 22) Dollars on the 15th day of each and every month during the term hereof, commencing on the 15th day of January, 1963. 4. TITLE. The Equipment shall at all times be the sole and exclusive property of the Lessor and Lessee shall have no right, title or interest in or to the Equipment except the right to use the same upon the terms and conditions herein contained. 5. USE OF EQUIPMENT. Lessee shall be entitled to the absolute right to possession and control of the Equipment and the use thereof during the term of this Agreement. Lessee will comply with all laws, regulations and ordinances applicable to the physical possession, operation and use of the Equipment and agrees to save Lessor harmless against any actual or asserted violations thereof. Lessee agrees to obtain all permits and licenses necessary for the operation of the Equipment. The Equipment shall be used only by the Lessee, its agents and employees and Lessee agrees not to permit any other person, firm or corporation to use the same. It is understood by and between the parties hereto that the Equipment is to be used by the Lessee at the Public Dump owned, operated and maintained by the Lessee at Cutchogue, New York, for the purpose of properly maintaining the same. 6. MAINTENANCE AND REPAIR. During the term of this Agreement; the Lessor, at its own expense, agrees to fully maintain and service said Equipment and to keep the same in good repair and to provide and install all parts and other equipment necessary to the safe and continued good operation of said Equipment except that the Lessee, at its own expense, shall: (a) supply all necessary fuel, water, and antifreeze; (b) change crankcase oil after every 200 hours of operation; (c) properly grease loader, rollers and tractor final drive. 7. LOSS AND DAMAGE, Lessor hereby assumes and shall bear the entire risk of loss of and damage to the Equipment from any and every cause except such loss and/or damage caused to the Equipment by the negligence of the Lessee in the operation thereof. In the event of damage of any kind whatever of the Equipment, Lessor, at its option, shall at Lessor's expense (a) place the same in good repair, condition and working order, or (b) replace the same with like Equipment of the same make and of the same or a later model, and in good repair, condition and working -2- order. Lessor further agrees that it will promptly make all repairs and necessary maintenance or promptly replace such Equipment to the end that the Lessee will not be without the use of such Equipment or any replacement thereof for more than 24 hours. In the event that the Lessor fails to comply with the provisions of this paragraph, the Lessee shall have the right to lease similar Equipment from any other source and shall be entitled to deduct the expense thereof from any amounts due or to become due to the Lessor. 8. Lessee shall indemnify and save Lessor harmless from any and all liability arising out of the possession, operation and use of said Equipment and Lessee shall carry public liability insurance both personal injury and property damage covering such Equipment. 9. On termination of this Lease, Lessee shall at its own cost and expense, return Equipment to Lessor at Lessor's place of business at Mattituck, New York, in the same condition as received, reasonable wear and tear and normal depreciation excepted. 9. DEFAULT. In the event that either party hereto shall default in the performance of any of the provisions of this Agreement and such default shall continue for a period of 10 days after notice therebf to the defaulting party, then and in that event, such party may, without notice or demand immediately terminate this Agreement and the defaulting party's rights hereunder. 10, NOTICES.
